explanatory notes financial review The financial review contains a summary of the 2006 annual accounts of Koninklijke Haskoning Groep B.V. The financial review should be read in conjunction with the complete 2006 annual accounts for more information about the company’s financial position and results. The complete annual accounts have been filed at the Chamber of Commerce. Nature of the activities Koninklijke Haskoning Groep B.V. is the holder of all shares, through Haskoning Advies Beheer B.V. of the companies belonging to the Royal Haskoning Group. Consolidation Companies over which Koninklijke Haskoning Groep B.V. exercises decisive control are consolidated. The items reported in the financial results of the consolidated companies are fully incorporated in the consolidation. The minority interests in the consolidated capital and in the consolidated results are reported separately. Key companies included in the consolidation are: Koninklijke Haskoning Groep B.V. Haskoning Advies Beheer B.V. 100% Haskoning Nederland B.V. 100% Raadgevend Technies Buro van Heugten B.V. (from 1 July 2005) 100% BM Managers van het bouwproces B.V. (from 1 August 2005) 100% IM Infra consultancy en management B.V. (from 1 August 2005) 100% Dordtse Engineering B.V. (from 23 November 2005) 100% VHP Stedebouwkundigen + Architekten + Landschapsarchitekten B.V. (from 18 April 2006) 100% Haskoning UK Holdings Ltd 100% Haskoning UK Ltd 100% Haskoning Belgium B.v.b.A. 100% Haskoning International B.V. 100% Haskoning Asia B.V. 75.2% On pages 72-73 of this annual report you can find a list of the group companies and subsidiaries of the Koninklijke Haskoning Group. Because of changes in the shareholder relationship in Thailand, the holdings in CDW and D-103, part of Haskoning Asia B.V., were consolidated at the end of 2006. Explanatory notes to the consolidated cash flow statement The cash flow statement has been drawn up according to the indirect method. The financial resources in the cash flow statement consist of the cash in hand and the bank credit included under the current liabilities. Cash flows in foreign currencies have been converted at the average exchange rates. (Dis) investments in group companies have been stated at the transaction price with a deduction for the financial resources present in the group company concerned. 52
explanatory notes financial review principles of valuation and determination of the result General The annual accounts have been drawn up in accordance with the financial reporting requirements of Part 9 Book 2 of the Dutch Civil Code and the authoritative statements in the financial reporting guidelines, issued by the Dutch Accounting Standards Board. Foreign currencies Functional currencies The group company items in the annual accounts have been valued taking into account the exchange rates in the economic environment in which the group company concerned has carried out most of its activities. The consolidated annual accounts have been drawn up in euros, the functional and presentation currency of the Koninklijke Haskoning Groep B.V. Transactions, assets and debts Transactions in foreign currency during the year under review are stated in the annual accounts at the exchange rate at the time of the transaction. Monetary assets and liabilities in foreign currency have been converted at the rate at the balance sheet date. The exchange rate differences resulting from the settlement and conversion have been incorporated in the profit and loss account. Where covering transactions have been entered into to cover the currency risk associated with monetary assets and liabilities, currency results have not yet been incorporated in the profit and loss account, but have been incorporated under the accrued income and liabilities if results not realised on the balance sheet date counterbalance these currency results. Translation differences relating to long term intra-group loans that are in fact an expansion or reduction of the net investment of foreign holdings are charged or credited directly to total equity in the statutory translation difference reserve. If loans have been taken out in order to finance the net investment in a foreign holding, the translation differences have been incorporated in the statutory translation difference reserve to the extent that the loan is effective in covering the translation differences on the net investment in the foreign holding. Group Companies The assets and liabilities of the foreign holdings included in the consolidation in foreign currencies are converted at the exchange rate on the balance sheet date and the income and charges at the average exchange rate during the financial year. Goodwill and conversions to the actual value of identifiable assets and liabilities are viewed as part of foreign holdings and have also been converted at the exchange rate as per the balance sheet date. The resulting translation differences have been directly charged or credited to equity capital in the statutory translation difference reserve. 53 annual report 2006 >>
