TO THE SHAREHOLDERS OF BANK OF CHINA LIMITED:
We have reviewed the accompanying balance sheet of Bank of China Limited (the "Bank") as of 30 June, 2006, and its profit
and loss account and cash flow statement for the period then ended, and the consolidated balance sheet of Bank of China
Group (the "Group" comprising the Bank and its subsidiaries) as at 30 June 2006 and its consolidated profit and loss
account and cash flow statement for the period then ended. The Bank's management is responsible for preparing these
condensed financial statements. Our responsibility is to issue a report on these financial statements based on our review.
We conducted our review in accordance with the Independent Auditing Practice Pronouncement No.10 - Engagements to
Review Financial Statements. A review is limited primarily to inquiries of company personnel and analytical procedures
applied to financial data and thus provides less assurance than an audit. We have not performed an audit and, accordingly,
we do not express an audit opinion.
Based on our review, nothing has come to our attention that causes us to believe that the accompanying financial statements
are not prepared, in all material respects in accordance with the Accounting Standards for Business Enterprises, the
Accounting System for Financial Institutions and other relevant accounting regulations.
