36 Singapore Land Limited - Annual Report 2012 DIRECTORS’ REPORT For the fi nancial year ended 31 December 2012 Share options There were no options granted in respect of unissued ordinary shares of the Company or any subsidiary during the fi nancial year. No shares have been issued during the fi nancial year by virtue of the exercise of options to take up unissued ordinary shares of the Company or any subsidiary. There were no unissued ordinary shares of the Company or any subsidiary under option at the end of the fi nancial year. Audit committee The Audit Committee comprises three non-executive directors, namely, Yang Soo Suan (Chairman), James L. Go and Alvin Yeo Khirn Hai, majority of whom including the Chairman, are independent directors. The Audit Committee carried out its functions in accordance with Section 201B(5) of the Companies Act. At a series of meetings convened during the twelve months up to the date of this report, the Audit Committee reviewed reports prepared respectively by the external and the internal auditors and approved proposals for improvements in internal controls. The announcement of quarterly and full year results, the fi nancial statements of the Group and the Independent Auditor’s Report thereon for the full year were also reviewed prior to consideration and approval of the Board. Independent auditor The independent auditor, PricewaterhouseCoopers LLP, has expressed its willingness to accept re-appointment. Singapore Land Limited - Annual Report 2012 37 STATEMENT BY DIRECTORS For the fi nancial year ended 31 December 2012 In the opinion of the directors, (a) the statement of fi nancial position of the Company and the consolidated fi nancial statements of the Group as set out on pages 40 to 96 are drawn up so as to give a true and fair view of the state of affairs of the Company and of the Group as at 31 December 2012 and of the results of the business, changes in equity and cash fl ows of the Group for the fi nancial year then ended; and (b) at the date of this statement, there are reasonable grounds to believe that the Company will be able to pay its debts as and when they fall due.
