Annual Report 2005The Board of Directorsof Dexia SAMembershipThe bylaws of Dexia SA stipulate that theBoard is composed of between sixteen andtwenty directors. As of December 31, 2005, theBoard of Directors was composed of nineteenmembers.The Board of Directors of Dexia SA reflectsthe European identity of the Group with fivenationalities represented. There is also thesame number of French and Belgian directors,consistent with the Franco-Belgian legalidentity of Dexia SA, with each nationalityrepresenting at least one third of the Board.On January 1, 2006 Pierre Richard took overfrom François Narmon (whose directormandate came to an end) the chairmanship ofthe Board of Directors.
