SPECIAL TERMS AND CONDITIONS OF TENDER & CONTRACT 1) Payment Terms and Schedule Payment schedule - Payments to the SI, after successful completion of the specified project deliverables & related services as per SoW, would be made as under: - S.No. Milestone Deliverables Payable Amount 1. Implementation Phase 2. Testing & Commissioning Phase 3. Warranty Support Services for a period of 5 Years Submission of Receipt (Old Computers under buy-back) Delivery Challan (New Computers) & OEM Warranty Certificate followed by the Inspection report by DoIT&C Submission of Installation Reports (New Computers) followed by the Acceptance Testing (AT) report by DoIT&C Quarterly SLA attainment reports as per Clause No. A-3 of SoW 80% of total value of actual items delivered of respective delivery (Delivery Lot-1/2/3) & inspection lot 15% of total value of actual items installed and accepted (commissioned) of respective delivery (Delivery Lot-1/2/3) & inspection lot Remaining 5% of total value of actual items tested and commissioned in 5 equated yearly installments over a period of 5 years i.e. 1% per year a) Any liquidated damages/ penalties, as applicable, for delay and non-performance, as mentioned in this bidding document, will be deducted from the payments for the respective milestones. b) Taxes, as applicable, will be deducted/ paid as per the prevalent rules and regulations. c) The supplier’s/ selected bidder’s request for payment shall be made to the purchaser in writing, accompanied by invoices describing, as appropriate, the goods delivered and related services performed, and by the required documents submitted pursuant to general conditions of the contract and upon fulfilment of all the obligations stipulated in the Contract. d) Due payments shall be made promptly by the purchaser, generally within sixty (60) days after submission of an invoice or request for payment by the supplier/ selected bidder, subject to successful execution of work to the satisfaction of the purchaser. e) The currency or currencies in which payments shall be made to the supplier/ selected bidder under this Contract shall be Indian Rupees (INR) only. f) All remittance charges will be borne by the supplier/ selected bidder. g) In case of disputed items, the disputed amount shall be withheld and will be paid only after settlement of the dispute. h) Payment in case of those goods which need testing shall be made only when such tests have been carried out, test results received conforming to the prescribed specification. Final RFP - IT Hardware for e-Secretariat & other Projects i) In case of Site not ready, the payment to the supplier shall be released for actual number of items installed and commissioned under respective lot. The payment for rest of the items which are not installed and commissioned by the supplier shall be released only after their installation and commissioning at the respective site. 2) Service Level Standards/ Requirements/ Agreement Mean Time to Resolve (MTTR) a reported complaint Within 72 hours of lodging the complaint Penalty to be deducted from yearly payable amount >72 hours of lodging the complaint 0.5% of the value of the item for every 24 working hours past after expiring of 72 working hours of lodging the complaint Note: Maximum applicable penalty/ damages shall not exceed 1% of the total order value in an year. In the event of any two such consecutive years where the maximum penalty is imposed on the SI, the event shall be treated as breach of contract by DoIT&C. NIL Page 57 of 90
