ARTICLE IV<br />
MEETINGS OF MEMBERS<br />
Section 4.1. Annual Meetings.<br />
There shall be an annual meeting of the Members for the purpose of electing<br />
Directors and for the transaction of such other business as may come before the<br />
meeting consistent with the Notice of Meeting requirements of applicable Georgia<br />
law. The annual meeting shall be held at such time and place as the Board of<br />
Directors may determine.<br />
Section 4.2. Special Meetings.<br />
Special meetings of the Association may be called by the President, by two-thirds<br />
(2/3) vote of the Board of Directors or upon the written request of not less than<br />
one-fifth (1/5) of the Members.<br />
Section 4.3. Monthly Meetings.<br />
There shall be monthly membership meetings of the Association as established by<br />
the Board of Directors.<br />
Section 4.4. Place of Meetings.<br />
The Board of Directors may designate any place within or outside of the State of<br />
Georgia as the place of meeting for any monthly or special meeting called by the<br />
Board of Directors.<br />
Section 4.5. Notice of Meetings.<br />
A written, electronic or printed notice stating the place, day and hour of any<br />
meeting of Members shall be delivered to each Member entitled to vote at such<br />
meeting, not less than ten (10) days nor more than sixty (60) days before the date<br />
of such meeting, by or at the direction of the President, or the Secretary, or the<br />
Directors or other persons calling the meeting.<br />
In the case of a Special Meeting called by written request of one-fifth (1/5) of the<br />
Members, such meeting shall be held within thirty (30) days after delivery to the<br />
Secretary such written demand. Additionally, in case of a special meeting or when<br />
required by applicable law or by these By-Laws, the purpose or purposes for which<br />
the meeting is called shall be stated in the notice. Any such notice required to be<br />
given hereunder, shall be effective if delivered either personally, by first class mail<br />
or by electronic mail, or a combination of such methods. If mailed, the notice of a<br />
meeting shall be deemed to be delivered when deposited in the United States mail<br />
and addressed to the Member at his, her or its address as it appears on the records<br />
of the Association, with postage prepaid. If given by electronic mail, the notice of<br />
