The registered shares of <strong>Julius</strong> <strong>Baer</strong> <strong>Holding</strong> <strong>Ltd</strong>. required for the staff participation programs are procured in<br />

the market.<br />

Long-Term Incentive Plan<br />

The <strong>Julius</strong> <strong>Baer</strong> Long-Term Incentive Plan is aimed at employees who have a significant influence on the<br />

Group’s long-term development and financial results as well as at the members of the Board of Directors. The<br />

purpose of the Incentive Plan is to strengthen the long-term commitment to the Group and to foster interdisciplinary<br />

teamwork in that the entitled employees are granted <strong>Julius</strong> <strong>Baer</strong> <strong>Holding</strong> <strong>Ltd</strong>. registered shares and/or<br />

options on such registered shares (taking into account the adjustment at a ratio of 1:1.1805 as a result of the<br />

capital increase in November <strong>2005</strong>) whose value depend, among other things, on the long-term success of the<br />

organization as a whole. In line with the objectives of the plan, the shares and options are tied to a vesting<br />

and forfeiture clause. The shares and options acquired in this way are subject to a sales restriction period.<br />

Further details regarding options ownership are disclosed in section 5.6 on page 54. Until expiration of the<br />

vesting period, the Loteco Foundation manages the shares and options that have been distributed to the beneficiaries<br />

within scope of the LTI plan. In the course of the capital increase during the period from 14 November<br />

until 22 November <strong>2005</strong>, the Loteco Foundation exercised all of the subscription rights relating to the<br />

non-vested registered shares of <strong>Julius</strong> <strong>Baer</strong> <strong>Holding</strong> <strong>Ltd</strong>. at the time.<br />
