PROTOCOL<br />
Protocol signed by Statoil ASA (Statoil), <strong>Norsk</strong> Hydro ASA (Hydro) and <strong>Norsk</strong> <strong>Industri</strong> (the<br />
National Association of Technology Companies) (NI):<br />
Statoil, Hydro and NI have prepared a version of <strong>NTK</strong> <strong>07</strong> for modification contracts called<br />
<strong>NTK</strong> <strong>07</strong> <strong>MOD</strong>.<br />
Statoil and Hydro and NI's member companies undertake to use <strong>NTK</strong> <strong>07</strong> <strong>MOD</strong> for<br />
modification contracts which contain a significant share of newbuilding work, ref art. 1.1, last<br />
paragraph in the Protocol to <strong>NTK</strong> <strong>07</strong>.<br />
The objective for the preparation of <strong>NTK</strong> <strong>07</strong> <strong>MOD</strong> has been only to make such adjustments<br />
to <strong>NTK</strong> <strong>07</strong> which is justified by the fact that the modification contracts also consist of offshore<br />
activities, in addition to the EPC-obligations <strong>NTK</strong> <strong>07</strong> primarily aims to regulate.<br />
This means the following:<br />
• To the extent there are changes agreed to, there shall be made parallel changes to<br />
<strong>NTK</strong> <strong>07</strong> <strong>MOD</strong>.<br />
• The provisions in the Protocol to <strong>NTK</strong> <strong>07</strong> will apply to <strong>NTK</strong> <strong>07</strong> <strong>MOD</strong>. It will be held<br />
mutual meetings to discuss the experiences of using <strong>NTK</strong> <strong>07</strong> and <strong>NTK</strong> <strong>07</strong> <strong>MOD</strong>, ref.<br />
<strong>NTK</strong> <strong>07</strong>-Protocol art. 2.2.<br />
<strong>NTK</strong> <strong>07</strong> <strong>MOD</strong> is adjusted for different implementation strategies as far as it concerns the<br />
performance of the offshore part of modification works. The offshore works may be<br />
performed under Contractor’s management or under Company’s management.<br />
Articles 1.17, 1.18, 10.4, 19.5, 23.2 and 29.1 in <strong>NTK</strong> <strong>07</strong> <strong>MOD</strong> reflects this difference by<br />
allowing different regulation dependant upon which implementation strategy that has been<br />
chosen. If an implementation strategy is chosen, where the offshore works are being<br />
performed under Contractor’s management, these provisions can be changed or omitted<br />
without having to notify NI of such changes under the Protocol.<br />
