(ii) Phase II<br />

After open<strong>in</strong>g the <strong>in</strong>-depth Phase II <strong>in</strong>vestigation, the <strong>Competition</strong> Authority must<br />

communicate its f<strong>in</strong>al decision to the parties <strong>and</strong> the M<strong>in</strong>ister <strong>of</strong> Industry <strong>and</strong> Trade with<strong>in</strong><br />

45 days. <strong>The</strong> period can be extended by an additional 30 days whenever the parties fail to<br />

supply <strong>in</strong>formation <strong>and</strong> data that is requested. <strong>The</strong> <strong>Competition</strong> Authority sometimes<br />

postpones its decision when the parties <strong>of</strong>fer undertak<strong>in</strong>gs or propose to amend their<br />

agreements. 267<br />

When open<strong>in</strong>g an <strong>in</strong>-depth <strong>in</strong>vestigation, the <strong>Competition</strong> Authority may<br />

simultaneously order the undertak<strong>in</strong>gs concerned not to proceed with the concentration until<br />

the <strong>in</strong>vestigation is concluded. In <strong>20</strong>02, for the <strong>first</strong> time s<strong>in</strong>ce its establishment, the<br />

<strong>Competition</strong> Authority ordered merg<strong>in</strong>g parties not to implement their notified concentration<br />

until the Authority’s f<strong>in</strong>al determ<strong>in</strong>ation. 269<br />

It did so <strong>in</strong> two cases <strong>in</strong> which the suspension<br />

order was adopted together with the decisions to open a Phase II <strong>in</strong>-depth <strong>in</strong>vestigation. In<br />

each case, the <strong>Competition</strong> Authority justified the suspension order on the ground that<br />

consummation <strong>of</strong> the transaction would have had restrictive effects <strong>and</strong> would have<br />

irreparably altered the competitive relationships between the companies concerned.<br />

In Phase II, the <strong>Competition</strong> Authority has the same powers as dur<strong>in</strong>g proceed<strong>in</strong>gs<br />

under Sections 2 <strong>and</strong> 3 <strong>of</strong> the <strong>Competition</strong> <strong>Law</strong>. Accord<strong>in</strong>gly, the parties enjoy certa<strong>in</strong><br />

procedural safeguards. <strong>The</strong> parties have the right to: (i) be heard by the competent<br />

<strong>Competition</strong> Authority’s <strong>of</strong>ficials with<strong>in</strong> the time limit <strong>in</strong>dicated <strong>in</strong> the decision to open a<br />

Phase II <strong>in</strong>vestigation; (ii) obta<strong>in</strong> a f<strong>in</strong>al oral hear<strong>in</strong>g before the <strong>Competition</strong> Authority’s<br />

Board shortly before the end <strong>of</strong> the <strong>in</strong>vestigation; (iii) submit documents <strong>and</strong> memor<strong>and</strong>a;<br />

<strong>and</strong> (iv) access the <strong>Competition</strong> Authority’s file.<br />

Access to the Authority’s file is regulated by Article 13 <strong>of</strong> Decree No. 217/1998.<br />

Documents <strong>in</strong> the file conta<strong>in</strong><strong>in</strong>g personal, commercial, <strong>in</strong>dustrial, or f<strong>in</strong>ancial <strong>in</strong>formation<br />

<strong>of</strong> a confidential nature are accessible, <strong>in</strong> whole or <strong>in</strong> part, only if they <strong>in</strong>clude evidence<br />

aga<strong>in</strong>st the proposed merger or <strong>in</strong>formation essential to the parties <strong>in</strong> argu<strong>in</strong>g <strong>and</strong> defend<strong>in</strong>g<br />

their case.<br />

In l<strong>in</strong>e with the European Commission’s <strong>practice</strong>, the <strong>Competition</strong> Authority does not<br />

grant access to its notes, proposals, or any other documents drafted by its <strong>of</strong>ficials for<br />

<strong>in</strong>ternal purposes <strong>in</strong> the course <strong>of</strong> the <strong>in</strong>vestigation or <strong>in</strong> preparation <strong>of</strong> the <strong>of</strong>ficial<br />

documents relat<strong>in</strong>g to the case. In addition, the Authority may choose to deny access to their<br />
