<strong>Fiat</strong> S.p.A.
❚ Purchase of <strong>in</strong>surance services provided by Augusta
Assicurazioni S.p.A.
❚ Purchase of automobiles from <strong>Fiat</strong> Auto S.p.A.
Details about the transactions <strong>in</strong>volv<strong>in</strong>g the most significant
amounts are provided <strong>in</strong> the analysis of the <strong>in</strong>dividual items
of the Notes to the Statutory F<strong>in</strong>ancial Statements.
All the transactions <strong>in</strong>volv<strong>in</strong>g <strong>in</strong>tra-<strong>Group</strong> deliveries of goods
and services that are part of the regular operations of the
companies <strong>in</strong>volved are discussed <strong>in</strong> the other sections of
this <strong>Report</strong>.
Based on the <strong>in</strong>formation received from the various <strong>Group</strong>
companies, the ma<strong>in</strong> <strong>in</strong>tra-<strong>Group</strong> transactions of an
extraord<strong>in</strong>ary nature and those with related parties are
as follows:
❚ Sale by <strong>Fiat</strong> Auto S.p.A. to Magneti Marelli S.p.A. of an
<strong>in</strong>terest <strong>in</strong> Sistemi Sospensioni S.p.A. at a price of 79 million
euros; and sale to Comau Services S.r.l. by <strong>Fiat</strong> Auto S.p.A.,
Iveco S.p.A. and Sevel S.p.A. of their activities specialized
<strong>in</strong> the ma<strong>in</strong>tenance of mach<strong>in</strong>ery and equipment at their
Italian factories for a total consideration of 2 million euros.
❚ Purchase by Ingest S.p.A. of build<strong>in</strong>gs belong<strong>in</strong>g to <strong>Fiat</strong>
Auto S.p.A. and other <strong>Group</strong> companies at a cost of 215
million euros.
It should be noted that, with respect to potential conflict of
<strong>in</strong>terest considerations, these transactions are carried out at
standard market terms and, whenever necessary, they are
based on appraisals provided by <strong>in</strong>dependent experts.
Pursuant to Article 79 of the Consob Regulations set forth <strong>in</strong>
Resolution No. 11971 of May 14, <strong>1999</strong>, the table on the previous
page conta<strong>in</strong>s <strong>in</strong>formation on the <strong>in</strong>terests held <strong>in</strong> <strong>Fiat</strong> S.p.A.
and its subsidiaries by its Directors and Statutory Auditors.
