There are no other potential conflicts of interest between any duties to the Company, of the persons referred to<br />

above and their private interest or other duties expect for the related party relations described in section 14.4<br />

below.<br />

10.4 REMUNERATION AND BENEFITS<br />

The remuneration of the members of the board is determined on a yearly basis by the Company in its annual<br />

general meeting. The directors may also be reimbursed for, inter alia, travelling, hotel and other expenses<br />

incurred by them in attending meetings of the directors or in connection with the business of the Company.<br />

As the Company was established in fourth quarter 2005, there are no comparable figures for the remuneration to<br />

the management or Board in 2005.<br />

The Company’s Board received a total remuneration of USD 47,000 in 2006.<br />

The Company has no employees. The CEO of <strong>Arrow</strong> has been hired under a service agreement with GC Rieber<br />

Shipping AS, currently an affiliate company of <strong>Arrow</strong>. The service agreement has an annual fee of USD<br />

400,000, starting 1st January 2006, and can be cancelled by both parties giving 6 months notice. See section 14.4<br />

for further description of the agreement.<br />

No agreements have been entered into with the CEO or any of the board directors with regard to special<br />

payments upon the termination or change of their employment or appointment. In addition, there are no<br />

agreements that entitle employees or representatives to subscribe for or purchase Shares in the Company.<br />

10.5 EMPLOYEES<br />

The Company has no employees. Management services are purchased under service agreements with GC Rieber<br />

Shipping AS and GC Rieber Shipping Ltd., currently affiliate companies of <strong>Arrow</strong>. Please refer to section 14.4.<br />

for further description of the agreements<br />
