5.08 President<br />

That a President be elected at the Annual General Meeting for a two year term<br />

beginning on an odd numbered year. The President shall:<br />

a) preside at all Association and Board Meetings;<br />

b) be an ex-officio member of all Association Committees;<br />

c) supervise the general administration and management of the Association;<br />

d) supervise the work of the Executive Director;<br />

e) supervise tasks assigned to members of the Board and ensure that all<br />

Association Constitution, Bylaws and Operating Rules and Policies are<br />

respected;<br />

f) shall, at the first meeting of the Board, following the Annual General Meeting,<br />

ensure that the meeting of the Board elect a Director as Vice-President who<br />

shall perform the duties of the President in his/her absence.<br />

5.09 Treasurer<br />

The Board shall appoint a Treasurer for a one (1) year term that shall:<br />

a) be responsible for supervising the receipt of all monies received by the<br />

Association and for the deposit of the same in such bank, credit union or trust<br />

company as may be designated by the Board;<br />

b) present a full and detailed account of receipts and disbursements to the Board<br />

whenever requested;<br />

c) when directed by the Board, cause to be prepared an audited statement of<br />

financial position of the Association;<br />

d) perform such other duties as usually pertain to the office of Treasurer.<br />

5.10 Votes to Govern<br />

Every question at all meetings of the Board shall be decided by majority of the votes<br />

cast on the question. In case of an equality of votes, the President shall be entitled to<br />

cast a vote.<br />

5.11 Remuneration and Expenses<br />

The directors shall serve without remuneration and no director shall directly or<br />

indirectly receive any profits from his or her position as such except:<br />

a) a director may be reimbursed for such reasonable expenses as may be incurred<br />

in the performance of his or her duties; and<br />

b) a director who is also appointed an officer of the Association by the Board, in<br />

his capacity as an officer, be entitled to receive such remuneration as is<br />

established by the Board pursuant to paragraph 6.01.<br />

5.12 Committee of Directors<br />

The Board may, from its numbers, appoint committees of directors and may<br />

delegate to such committees any of the powers of the Board except those which,<br />

under the Act, a committee of directors has no authority to exercise. Any committee<br />

so appointed may, subject to the resolution of the Board and the Bylaws, meet for<br />

the transaction of business, adjourn and otherwise regulate its meetings as it sees fit.<br />
