a) all cost, charges and expenses whatsoever which such Director, Officer or<br />

other person sustains or incurs in or about any action, suit or proceedings<br />

which is brought, commenced or prosecuted against him, or in respect of any<br />

act, deed, matter of thing whatsoever made, done or permitted by him, in or<br />

about the execution of the duties of his office or in respect of any such<br />

liability;<br />

b) all other costs, charges and expenses which he sustains or incurs in or about or<br />

in relation to the affairs thereof, except such costs, charges or expenses as are<br />

occasioned by his own wilful neglect or default.<br />

Section Ten - Amendment<br />

10.01 Amendment Of Bylaws<br />

a) Amendments to the Bylaws shall be made by resolution from a member or the<br />

Board of Directors.<br />

b) A notice of motion to amend the Bylaws must be received in writing by the<br />

Provincial Office of the Association by April 1st and the Provincial Office of<br />

the Association shall forward copies of all Notices of Motions to the<br />

Membership at least seven (7) days prior to the Annual General Meeting for<br />

those members registered for the Annual General Meeting.<br />

c) When a Notice of Motion has not been served as provided for in b) above of<br />

this section 10.01, the bylaws may be enacted, repealed or amended at any<br />

Annual General Meeting provided all voting members present at the Annual<br />

General Meeting are in favour of having the matter discussed on the floor. If<br />

such a unanimous vote is obtained then a two-thirds (2/3) majority is required<br />

to enact, repeal or amend the particular bylaw.<br />

d) This bylaw shall be amended in accordance with the provisions of the act.<br />

Section Eleven - Effective Date<br />

11.01 Effective Date<br />

Subject to its confirmation by the members in accordance with the Act, this bylaw<br />

shall come into force on the date it is passed by the Board.<br />
