Section Nine - Financial Matters<br />
9.01 Accounts<br />
a) all approved accounts shall be paid by cheque.<br />
b) all cheques written on the operating account at the Provincial Office of the<br />
Association shall be signed by two of the President, Treasurer or Executive<br />
Director.<br />
c) in the event that the Treasurer is unable to act, the President or appointed<br />
Director shall perform the duties of the Treasurer.<br />
9.02 Audit And Inspection Of The Books<br />
a) the books and records of the Association shall be kept by the Executive<br />
Director under the strict supervision of the Treasurer, and shall be audited each<br />
year by an independent auditor. This independent auditor shall be designated<br />
by the Board at its first regular meeting following the Annual General<br />
Meeting.<br />
b) the books and records of the Association may be inspected by members of the<br />
Association, by appointment made through the office of the President, at the<br />
Provincial Office of the Association. Such a member must be in good standing<br />
with the Association. The expenses of travel, housing and loss of time<br />
inspecting the books shall be borne by the requesting member.<br />
9.03 Borrowing Power<br />
Upon resolution passed by not less than three-quarters of the Board, the<br />
Association may from time to time:<br />
a) borrow money upon the credit of the Association;<br />
b) issue, reissue, sell or pledge bonds, debentures, notes or other evidence of<br />
indebtedness or guarantee of the Association, whether secured or unsecured;<br />
and<br />
c) mortgage, hypothecate, pledge or otherwise create and interest in or charge<br />
upon all or any property (including the undertaking and rights) of the<br />
Association, owned or subsequently acquired, by way of mortgage,<br />
hypothecate, pledge or otherwise, to secure payment of any such evidence of<br />
indebtedness or guarantee of the Association. Nothing in this section limits or<br />
restricts the borrowing of money by the Association on bills of exchange or<br />
promissory notes made, drawn, accepted or endorsed by or on behalf of the<br />
Association.<br />
9.04 Indemnities To Directors And Others<br />
Every Director or Officer of the Association or other person who has<br />
undertaken or is about to undertake any liability on behalf of the Association<br />
or any company controlled by it and their heirs, executors and administrators,<br />
and estate and effects, respectively, shall from time to time and at all times, be<br />
indemnified and saved harmless out of the funds of the association, from; and<br />
