8.04 Members Votes<br />

Each Team Member, League Member and Umpires' Association Member shall be<br />

entitled to appoint one of their numbers as a Voting Delegate to attend meetings of<br />

members, and only the Voting Delegates so appointed shall attend at meetings of the<br />

members. Team Members may appoint a Voting Delegate only from their<br />

respective rosters of players, coaches and managers. League Members may only<br />

appoint one of their executive members as a Voting Delegate. Umpires' Association<br />

Members may appoint a Voting Delegate only from their respective Umpires'<br />

Association Executive. Each Voting Delegate shall have the right to exercise one<br />

vote at any meeting of the members. Life members are entitled to attend and be<br />

heard at any meetings of members, but are not entitled to vote at any such meetings.<br />

8.05 Voting By Officers<br />

In addition to the Voting Delegates described in paragraph 8.04, the following shall<br />

be entitled to be present and exercise in person one vote at any meeting of the<br />

members;<br />

a) each member of the Board;<br />

b) the Umpire-In-Chief, three (3) Deputy Umpire-In-Chief's and the Master<br />

Coaching Course Conductor; and<br />

c) all Zone Liaisons appointed by the Board.<br />

8.06 No Voting By Proxy<br />

No member or other person entitled to vote at a meeting of members shall be<br />

entitled to vote by proxy.<br />

8.07 Chairman Of Meetings<br />

The Chairman of any meeting of members shall be the President of the Board, or in<br />

his absence any other director of the Association.<br />

8.08 Votes To Govern<br />

Every question raised at any meeting of the members shall, unless otherwise<br />

required by these Bylaws, be determined by the majority of vote’s cast on the<br />

question. In case of an equality of votes, either upon a show of hands or upon a<br />

ballot, the President shall be entitled to cast a vote.<br />

8.09 Show Of Hands<br />

Any question at a meeting of members shall be decided by a show of hands, except<br />

that:<br />

a) the election of directors shall be made by secret ballot; and<br />

b) a secret ballot shall be held upon request of ten (10) voting delegates.<br />

8.10 Quorum<br />

Twenty (20) Voting Delegates present at any meeting of the members shall<br />

constitute a quorum.<br />
