Our share capital consists of 1,007,701,355 shares, with a nominal<br />

value of 0.01 roubles each, which equals 10,077,013.55 roubles.<br />

No additional shares were issued in <strong>2007</strong>.<br />

As of 1 January 2008, 82.37% of our share capital<br />

was directly or indirectly controlled by CEO Alexey Mordashov.<br />

<strong>Severstal</strong>’s institutional investors and employees own the<br />

remaining 17.63%.<br />

Global Depositary Receipts<br />

Sponsored Global Depositary Receipts (GDRs) were issued under<br />

the Reg S and 144A rules. One receipt corresponds to the rights<br />

provided by one regular share. Deutsche Bank Trust Company,<br />

Americas, is the depositary bank, while Deutsche Bank, Moscow,<br />

LLC performs custodian banking functions.<br />

As of 31 December <strong>2007</strong>, 89,220,129 shares, or 8.85% of<br />

the charter capital, were converted into GDRs.<br />

GDR and share price<br />

<strong>Severstal</strong>’s shares and GDRs demonstrated impressive growth<br />

in <strong>2007</strong>, exceeding the benchmark rates of RTS index growth.<br />

GDR and share prices more than doubled over the course of the<br />

year, and our capitalisation grew by 108% – amounting to<br />

US$23.38 billion as of 31 December <strong>2007</strong> (share price of US$23.20<br />

at LSE).<br />

In Russia, our underlying shares are traded on the RTS and on<br />

MICEX stock exchanges. Overseas, they’re traded in the form of<br />

depositary receipts, on the London Stock Exchange and via the<br />

PORTAL trading system in the US.<br />

In March <strong>2007</strong>, <strong>Severstal</strong> shares were included in the<br />

authoritative MSCI Emerging Markets and MSCI Russia indices.<br />

This serves as independent confirmation of the high level of<br />

liquidity of <strong>Severstal</strong>’s stock, and underlines the company’s place<br />

in the aggregate capitalisation of the Russian market.<br />
