4. In the event of one or more valid nominations by petitions for officer(s) are presented, as provided, the Nominations Committee shall prepare a revised report containing all nominations and shall cause the complete report to be provided to each member at annual meeting (Article XVI Paragraph 4). 5. Members of the Nominating Committee are not eligible for office. 6. No person shall be eligible for office or membership on the MAR BOD unless he is a member in good standing of a MC as verified by the MC President and whose club is a member in good standing of the FJMC. 7. The nominated President and Executive Vice President shall have served as President of a MC and shall be from different constituent MCs. 8. The Nominating Committee should strive for geographic balance of officers. 9. Election to any office other than President shall be by a plurality of the eligible votes. 10. Election to President shall be by simple majority of those eligible to vote. 11. Where no additional valid nominations by petition for an officer are presented, the nomination report of the Nomination Committee shall constitute the electoral ballot for such office and election to such office shall be by acclamation. Article XIV – Term and Term Limits 1. Term of office for all officers shall be one year, commencing on July 1st. 2. No person shall be eligible to serve in the following offices for more than the number of consecutive elected one-year terms as indicated, except for special circumstances as determined by the Executive Committee: a. Treasurer ............................................ 4 Article XV – Fiscal Year The fiscal year of MAR shall commence on September1 and terminate on August 31 of the following year. All dates specified in these By-Laws are based on this fiscal year. i6
1. MAR BOD meetings: Article XVI – Meetings a. Shall be held at least four times per year. The President may call special meetings as required; b. At a meeting, for the purposes of voting, eleven (11) eligible voting members of the MAR BOD shall constitute a quorum. For the purposes of a quorum, the Spiritual Advisor cannot be counted; c. Any action taken by the MAR BOD must be approved by a simply majority of its members present. 2. Executive Committee meetings a. Shall be held at least once a calendar quarter. The President may call additional meetings as required. b. At the meeting, a simple majority of the members of the committee shall constitute a quorum. c. Any action taken by the Executive Committee must be approved by a simply majority of its members present. 3. MAR BOT – shall meet annually with the MAR President and discuss the state of the region, in particular, the region’s strength and areas that require strengthening. The President may invite other members of the Executive Committee to this meeting. 4. Standing Committees – shall meet at the discretion of the chairman. 5. Annual a. Shall be held no later than June 15 th at a location designated by the MAR BOD. b. Election of officers shall be held at this meeting. c. At the meeting, eleven (11) eligible voting members of the MAR BOD shall constitute a quorum. d. Only members in good standing of MCs in good standing are eligible to vote. e. Notice of meeting shall be forwarded to the MAR BOD and constituent MCs no later that thirty days prior to the meeting. 6. Officer Transition Meetings – Outgoing officers shall be available to meet with the newly elected officer for his position to facilitate a smooth transition. 7. Meetings may be conducted using any one or more of the following means: a. Physical presence. b. Teleconference. c. Internet Chat room. i7
