unless <strong>the</strong> subordinate knew <strong>of</strong> <strong>the</strong> document's frivolous<br />

character.<br />

[2] When lawyers in a supervisor-subordinate<br />

relationship encounter a matter involving pr<strong>of</strong>essional judgment<br />

as <strong>to</strong> ethical duty, <strong>the</strong> supervisor may assume responsibility for<br />

making <strong>the</strong> judgment. O<strong>the</strong>rwise a consistent course <strong>of</strong> action or<br />

position could not be taken. If <strong>the</strong> question can reasonably be<br />

answered only one way, <strong>the</strong> duty <strong>of</strong> both lawyers is clear and<br />

<strong>the</strong>y are equally responsible for fulfilling it. However, if <strong>the</strong><br />

question is reasonably arguable, someone has <strong>to</strong> decide upon<br />

<strong>the</strong> course <strong>of</strong> action. That authority ordinarily reposes in <strong>the</strong><br />

supervisor, and a subordinate may be guided accordingly. For<br />

example, if a question arises whe<strong>the</strong>r <strong>the</strong> interests <strong>of</strong> two clients<br />

conflict under Rule 1.7 <strong>of</strong> <strong>the</strong>se <strong>Rules</strong>, <strong>the</strong> supervisor's<br />

reasonable resolution <strong>of</strong> <strong>the</strong> question should protect <strong>the</strong><br />

subordinate pr<strong>of</strong>essionally if <strong>the</strong> resolution is subsequently<br />

challenged.<br />

Rule 5.3. RESPONSIBILITIES REGARDING NONLAWYER<br />

ASSISTANTS.<br />

With respect <strong>to</strong> a nonlawyer employed or retained by or associated with<br />

a lawyer:<br />

(a) a partner in a firm who individually or <strong>to</strong>ge<strong>the</strong>r with o<strong>the</strong>r lawyers<br />

possesses comparable managerial authority in a firm, shall make reasonable<br />

efforts <strong>to</strong> ensure that <strong>the</strong> firm has in effect measures giving reasonable assurance<br />

that <strong>the</strong> person's conduct is compatible with <strong>the</strong> pr<strong>of</strong>essional obligations <strong>of</strong> <strong>the</strong><br />

lawyer;<br />

(b) a lawyer having direct supervisory authority over <strong>the</strong> nonlawyer<br />

shall make reasonable efforts <strong>to</strong> ensure that <strong>the</strong> person's conduct is compatible<br />

with <strong>the</strong> pr<strong>of</strong>essional obligations <strong>of</strong> <strong>the</strong> lawyer; and<br />

(c) a lawyer shall be responsible for conduct <strong>of</strong> such a person that<br />

would be a violation <strong>of</strong> <strong>the</strong> <strong>Rules</strong> <strong>of</strong> Pr<strong>of</strong>essional <strong>Conduct</strong> if engaged in by a<br />

lawyer if:<br />

(1) <strong>the</strong> lawyer orders or, with <strong>the</strong> knowledge <strong>of</strong> <strong>the</strong> specific conduct,<br />

ratifies <strong>the</strong> conduct involved; or<br />

(2) <strong>the</strong> lawyer is a partner or has comparable managerial authority in<br />

<strong>the</strong> law firm in which <strong>the</strong> person is employed, or has direct supervisory authority<br />

over <strong>the</strong> person, and knows <strong>of</strong> <strong>the</strong> conduct at a time when its consequences can<br />

be avoided or mitigated but fails <strong>to</strong> take reasonable remedial action.<br />

COMMENTS:<br />

[1] Lawyers generally employ assistants in <strong>the</strong>ir<br />

practice, including secretaries, investiga<strong>to</strong>rs, law student<br />

interns, and paralegals. Such assistants, whe<strong>the</strong>r employees or<br />

independent contrac<strong>to</strong>rs, act for <strong>the</strong> lawyer in rendering <strong>the</strong><br />

lawyer's pr<strong>of</strong>essional services. A lawyer must give such<br />

assistants appropriate instruction and supervision concerning<br />
