Conflicts of interest
The Board has in place a policy
and procedures for the disclosure
and resolution of any matter
which may give rise to actual or
potential conflicts between the
interests of a Director and those
of the Commission.
Risk management
The ATC Board adopts practices
designed to identify significant
areas of business risk and to
effectively manage those risks in
accordance with the company’s
risk profile.
Board Sub-Committees
The Board carries out certain of
its duties by delegation to Board
committees.These committees
meet regularly and make
recommendations to the Board
on issues delegated to them.
The committees operate under
terms of reference approved by
the Board.
Audit and Finance
Sub-Committee:
This sub-committee ensures
that an effective internal control
framework exists across the
ATC.This includes internal
controls to deal with both the
effectiveness and efficiency of
significant business processes.
The sub-committee also reviews
accounting policies, risk
management controls, funds
management and financial
statements.
Human Resources
Sub-Committee:
This sub-committee oversees the
Commission’s human resources
principles, practices and programs
with regard to employee terms
and conditions, management
development, equal employment
opportunity and remuneration.
Public Affairs
Sub-Committee
This subcommittee provides input
into the Commission’s public
affairs activities, including the
strategies for communicating with
key stakeholder groups, such as
industry, media and government.
Record of Board members
and attendance
The Board met seven times
during the year in Sydney, Broome,
Lorne,Tasmania and Adelaide and
had an aggregate attendance of
Directors of 94 per cent, the
same as 2001/02.
Board members also represented
the ATC at both industry and
general forums.
