specifications given below. It shall be moved by road from the factory at Jajpur Road, Dist:
Jajpur, Orissa.

2. The General Bid format and Price Bid format submitted shall be in accordance with
and be subject to the terms & conditions enclosed. These bid formats and the terms &
conditions can be down loaded from the website www.idcorissa.com. On home page of the
website click ‘Tender’ appearing on the top right hand side of the computer monitor screen.
Thereafter, on opening of the new ‘Window’ on monitor screen, click in the table on “SALE
OF HCFC – TENDER CALL NOTICE NO.HCFC/262/10-11”. Bid document is not available
otherwise.
3. Management reserves the right to distribute the quantity amongst the bidders, if
required.

TERMS & CONDITIONS FOR SALE OF VARIOUS GRADES OF HIGH
CARBON FERRO CHORME BY ROAD MOVEMENT.
( MODIFICATION - 1)
1. These terms & conditions are applicable uniformly to all the cases of
competitive sale of any variety or grade of High Carbon Ferro Chrome
(HCFC) to be moved by road from the factory premises of M/s. IDCOL Ferro
Chrome & Alloys Ltd.(IFCAL) situated at Jajpur Road in Jajpur District of
Orissa.
2. These terms & conditions can not be changed (except the telephone
numbers, Fax numbers and designations of the officers of the IDCOL &
IFCAL mentioned in it) without obtaining prior approval of Chairman-cum-
Managing Director, Industrial Development Corporation of Orissa Limited
(IDCOL), Bhubaneswar / Chairman, IDCOL Ferro Chrome & Alloys Ltd.,
Jajpur Road.
3. The Tender document for bidding shall include Tender Call Notice, the terms
& conditions, the General Bid format, Price Bid format.
4. HCFC shall be delivered in hand stitched single gunny bags each weighing
50 Kgs. (approximately). It will be loaded in trucks and moved from the factory
premises situated at Jajpur Road, Dist: Jajpur, Orissa. The tare and gross
weights of the trucks shall be taken by the weighbridge installed inside the
factory premises to arrive at the net weight for the purpose of billing.
5. Samples from each lot of HCFC shall be taken by in-house Laboratory of
IFCAL for chemical and physical examination. These test reports shall
constitute a part of the transaction. The analysis of IFCAL Laboratory is final &
binding on both for all the purposes.
6. The full text of Tender Call Notice with its unique number and other parts of
the tender documents will be placed on the website www.idcorissa.com for
every one to see and consult it before submitting the bids in the prescribed
manner. The Tender Call Notice shall also be advertised in the news papers,
but in a brief form inviting all the intending bidders to visit the website before
submitting the bids.

7. The Bidder has to submit Earnest Money @ Rs.3000/- per each MT of HCFC
quoted for in shape of Crossed Demand Draft drawn in favour of “ The IDC of
Orissa Ltd.” payable at Bhubaneswar on any Nationalised Bank alongwith
the General Bid failing which their General Bid will not be taken into
consideration and Price Bid will not be opened. The EMD of unsuccessful
bidder shall be refunded as early as possible. The EMD of successful bidder
shall be converted into security deposit (interest free) and in the event of
their failure to deposit the sale value as mentioned in the tender
document / sale order, the security deposit thereof shall be forfeited
and the deal will be closed.
8. The bidders will quote the price of HCFC per MT ex-factory (Jajpur Road) in
the prescribed Price Bid formats only. The price quoted shall be valid for a
period of 30 (thirty) days, counted from the last date of submission of bids.
This shall mean that the successful bidder, if called upon within the 30 days,
to pay at the prices quoted, can not refuse the payment. This shall also mean
that the bidders can not withdraw, vary or change their bids unless these 30
days are over.
9. The bidders must mention in their price bids the purchase price per MT in
figures as well as in words without erasings, cuttings and over-writings. The
prices quoted should be legible and have no ambiguity; otherwise the bid
shall be rejected. In case of variation between the price quoted in words and
figures, those quoted in words shall be final.
10. Prices quoted, otherwise than in the manner prescribed above, shall not be
valid and the bid shall be rejected. No replacement bid shall be acceptable.
11. The Excise Duty, Cess, Sales Tax and other levies and duties payable under
the law shall be charged extra at the rate valid and applicable on the date of
billing This date shall be treated as the date of sale in question. If the Excise
Duty, Cess, Sales Tax and other levies & duties payable under the Law are
increased with retrospective effect, the additional burden shall be borne
entirely by the buyer. “C” Forms shall be accepted from the successful
Bidders (or Buyers) having valid Sales Tax or VAT registration and TIN for
charging concessional rate of Sales Tax. Otherwise full Sales Tax shall be
paid by the Bidders/Buyers as per CST scheduled rate. The present rate of
Central Excise Duty including Cess is 10.3%. CST is 4% but it is 2% only
against submission of “C “ Form. Orissa VAT is 4% and is applicable for sale
within Orissa. Inter State (Orissa) entry Tax is 2% but it is 1% against
submission of E-15 Form.

12. This tender document has prescribed a General Bid format and a Price Bid
format enclosed herewith. The Price Bid format duly filled in and signed
shall be submitted in a small sealed envelope, which shall contain
nothing else. This sealed envelope shall be written with the Tender Call
Notice number, last date prescribed for receipt of bids and the name of
bidder, for easy identification in case of any mix up.
Another small sealed envelope shall contain the General Bid format duly
filled in and signed, “terms & conditions“ part of this document signed on
each page and all the other documents and information called for by the
terms and conditions of this tender alongwith EMD as per Clause-7. Both the
small sealed envelopes ( General Bid and Price Bid ) shall be placed in a
bigger sealed envelope. This bigger sealed envelope should also be written
with the Tender Call Notice number, the last date prescribed for receipt of bid
and the name of bidder, for its proper identification.
This bigger sealed envelope shall be submitted :
i) In the office of M/s. Industrial Development Corporation of Orissa
Limited, IDCOL House, Unit-II, Ashok Nagar, Bhubaneswar-751009,
Dist Khurda, Orissa.

So as to reach there before 4.00 PM on the last date prescribed for
receipt of bids and mentioned in the Tender Call Notice advertised.
Bidders may, at their discretion, not submit the “terms and conditions “
part of this document as it is available on the website
www.idcorissa.com for all to see. But they must follow its provisions
and submit all the documents and information required by the “terms
and conditions” part. In any case, if a bid has been submitted, it shall
be presumed that the “terms and conditions” part has been accepted
by the bidder.

13. Tenders (or bids) may be submitted in the office of IDCOL, Bhubaneswar or
as mentioned at Clause-12 by post, courier, personally or otherwise.
However, M/s. IDCOL shall not be responsible for the postal or other delays
in reaching the bids in its above offices. Receipt Section of the office of
M/s.IDCOL or the above Delhi/ Kolkata Office shall issue receipts voluntarily
under proper seal and signature in case of submission of bids in person. All
the bids received, in manner whatsoever, shall be promptly forwarded by
Receipt Section of IDCOL Office to Commerce Department for further
necessary action.
14. The bidders should give their (business entity) full name, address, FAX
number, telephone number and e-mail address in the General Bid format to
be submitted by them. They must submit and/or fill in it faithfully and
accurately all the other information / documents required by this format.
Otherwise, the bids may be rejected. The bids will be rejected if the FAX
number is not given.
15. All the bids received shall be opened as early as possible after the time limit
and date fixed for receipt of bids are over.
16. The Management of IDCOL is not bound to accept the highest bid.
17. The Management of IDCOL is also not bound to sell the entire quantity of
HCFC for which the bids may have been submitted. The management of
IDCOL reserves the right to reduce the quantities of the successful bids.
18. The successful bidders shall be intimated over FAX (and, if feasible,
otherwise also) the acceptance of their bids and the approximate quantity,
which can be supplied to them at the prices quoted by them. They shall also
be intimated to pay full advance within five days from the date of such
communication.
This shall be paid in the form of crossed Demand Draft drawn in favour of
M/s. Industrial development Corporation of Orissa Limited (IDCOL) and
payable at Bhubaneswar and to be submitted in the office of M/s. IDCOL,
IDCOL House, Ashok Nagar, Unit –II, Bhubanesar-751009 (Fax. 0674-
2530518) OR through RTGS as per address given in the Sale Order.
The successful bidders may pay the total amount earlier to get the release
orders also issued earlier. The bidders are, therefore, advised to be in touch
with Head (Commerce), IDCOL at Phone No.(0674)2530036 / 2533459, and
FAX No.(0674) 2530518 to know the fate of their bids. The amount indicated
at this stage will be tentative because the billing for exact amount is not

possible unless the weighment and Chromium analysis are done. The total
tentative amount payable in advance will be slightly more.
19. On receipt of payment of full tentative amount, M/s. IDCOL will issue the
release orders to the successful bidders under intimation to the Managing
Director, IFCAL for further necessary action. A copy of this intimation shall
also be marked to Zonal Manager (Mkt.), IDC of Orissa Limited, K-62 Ground
Floor, Lajpat Nagar-II, New Delhi-110024 and Office of Zonal Manager
(Mkt.), IDCOL Kalinga Iron Works Ltd. ( subsidiary company of IDCOL ), 10
Middleton Row , Ground floor, Kolkata -71 as the case may be for their
information.
20. The aforesaid release order will mention the period within which HCFC shall
be lifted and be removed from the factory premises by the purchasers. Failing
so, the ground rent at a certain rate may be charged from them.
21. Removing the HCFC sold shall be the responsibility of the purchaser. They
shall make their own arrangement for this. They or their authorized transport
agencies shall submit the Registration number of the trucks, name of the
drivers duly authorizing them to lift the sold material from the factory
premises. The management of IFCAL will allow only such trucks and such
drivers inside the factory for loading the material from the concerned lots.
22. The Tare (empty) and gross weights shall be taken on the weigh bridge of
the factory every time the authorized trucks come in and go out with loaded
material. The net weight of HCFC loaded shall be arrived at, accordingly. It
shall be final and binding. Authenticated slips, containing the tare weight,
gross weight and the net weight of the material shall be issued to the drivers
of the trucks. This shall be apart from other formalities required for
dispatching the material.
23. IFCAL shall dispatch the HCFC sold to each customer in the multiples of 9
MTs.
24. The multiples of 9 tons above does not mean that the net weight of the
material in each truck shall exactly be 9 tons. On actual weighment, it may
vary. It may go up or down. This shall be accepted. “Multiples of 9 tons” is
only to facilitate transportation of the full permissible load in the truck.

25. IFCAL must ensure that the total amount payable for the HCFC lifted by any
buyer, should under no circumstances exceed the tentative amount paid by
him in advance.
26. As soon as the entire quantity of HCFC sold to the customers has been lifted
and taken out of the factory premises, M/s. IFCAL shall do the billing. They
shall also refund the balance amount due to that customer. This balance
amount shall not be retained as advance for adjustment in future.
27. In the event of successful bidders failing to make the payments as above
within the stipulated period, the management of IDCOL shall be released of
obligations to sell HCFC to that customer under these terms & conditions,
unless on the written request the stipulated dates for payments have been
extended by the management of IDCOL. It shall mean that the allotted
quantity of HCFC can be sold to others as deemed fit by the management.
The management of IDCOL, may not allow such defaulters to participate in
the bids in future and also retains the right to deduct from their payment or
other dues, if any, the loss suffered in selling the HCFC in question to some
other customers.
28. No interest will be payable either on advance payments or on any retained
amount.
29. M/s. IDCOL (or M/s. IFCAL) shall not bear the transit risk. The risk of IFCAL
ceases, when the material has been loaded on the trucks and the trucks
leave the factory premises.
30. M/s. IDCOL (or M/s. IFCAL) shall not entertain any objection to the quality of
the HCFC once the truck loaded with material leaves the factory premises.
31. All the Demand Drafts submitted for payment shall be endorsed on the back
with the Tender Call Notice number and the name of the payer to avoid any
mix-up.
32. All the refunds shall be made by Demand Drafts drawn in favour of the
beneficiaries after deducting the bank commission paid for obtaining the D.D.
and the postal/courier charges.
33. It shall be the responsibility of bidders to satisfy themselves that they have the
necessary licenses and permissions required under the Law, Rules &
Regulations applicable for purchasing, transportation and for end-using of
HCFC in question. The management of M/s. IDCOL (or IFCAL) shall not be
responsible, if they suffer any loss or damage for any violation in the process
of purchasing, transporting and end-using the HCFC.

34. Authorized representative of the purchaser will be allowed to be present at
the time of weighment and loading of HCFC in to trucks.
35. Arbitration : That in case of disputes between the parties, the matter shall be
referred to the arbitration of Chairman-cum-Managing Director of the
Industrial Development Corporation of Orissa Limited, IDCOL House, Ashok
Nagar, Bhubaneswar or to an arbitrator nominated by the Chairman-cum-
Managing Director of the I.D.C. of Orissa Limited in case the said Chairmancum-Managing
Director for any reason is not in a position to arbitrate. The
award of the arbitrator shall be final, binding and conclusive.
That, in all cases the arbitration proceedings shall be conducted at
Bhubaneswar or in the Factory Site at Jajpur Road and at no other place.
That, all legal proceedings in any manner arising out of or in relation
to the contract between the parties can only be initiated in a court of law
situated within the territorial jurisdiction of the State of Orissa and none of
the parties shall have the liberty of initiating any legal proceedings any
where beyond the territorial limits of the State of Orissa.
36. Force Majeure : This order is subject to force Majeure clauses and the
performance of the contract either wholly or in part will be governed by the
stand and force majeure clauses. Any failure of the contract due to strike,
cyclones etc. and all other causes beyond the control of the Company,
IDCOL / IFCAL shall not be responsible for the same in any manner
whatsoever.
37. No verbal agreement or inference from conversation with any officer or
employee of M/s. IFCAL or M/s. IDCOL either before, during or after the
advertisement for sale shall in any way alter or modify the terms and
conditions prescribed herein.
38. The management of IDCOL reserves the right to cancel the tender, reject any
or all the bids at any stage without assigning any reason. No damage or
compensation shall be payable to any bidder for the alleged loss suffered by
them due to such rejection / cancellation.
39. Management of IDCOL reserves the right to distribute the tendered
quantities amongst all qualified bidders including H1 bidder.
