SECTION 6 – CORRIDOR MANAGEMENT ENTITY(b)The general purposes for which the GREEN MOUNTAIN SCENIC BYWAYCOMMITTEE is formed are to operate exclusively for such charitable, educational,and promotion of social welfare purposes as will qualify it as an exemptorganization under Section 501(c)(3) and of the Internal Revenue Code of 1954,or corresponding provisions of any subsequent Federal Tax Laws.(c)The GREEN MOUNTAIN SCENIC BYWAY COMMITTEE shall not participate orintervene (by publication or distribution of any statement or otherwise) in anypolitical campaign on behalf of any candidate for public office.ARTICLE II: MEMBERSHIPThere shall be a minimum of 3 classes of membership. Additional classes of membershipmay be created by the Board of Directors at a duly noticed meeting. Each member shall beentitled to one vote.1. Regular Memberships: Regular Memberships shall consist of individual persons. Eachregular member is entitled to one vote.2. Corporate Memberships: businesses, partnerships or other organizations maybecome corporate members. Corporate members are entitled to one representativeand one vote on any issue brought before the general membership.3. Governmental and/or Agency Appointees: Lake County and the Town ofMontverde are each entitled to one representative and one vote on any issue broughtbefore the general membership. These appointees are automatically members of theBoard of Directors. They are entitled to one vote on any issue brought before theBoard of Directors.The membership of the GREEN MOUNTAIN SCENIC BYWAY COMMITTEE shall consist of theregular and corporate members, governmental appointees, and such other persons andorganizations as the Board of Directors shall determine from time to time, to admit tomembership in the GREEN MOUNTAIN SCENIC BYWAY COMMITTEE. Admission tomembership shall be based upon such terms and conditions and for such terms as theBoard of Directors shall determine.A. Transferabilitv of Membership. Membership in this GREEN MOUNTAIN SCENIC BYWAYCOMMITTEE is non- transferable and non-assignable.B. Property Rights. No member shall have any vested rights, interest or privileges of, inor to the assets or franchises of the GREEN MOUNTAIN SCENIC BYWAY COMMITTEE.C. Conflict of Interest. In order to assure the fairness and reasonableness of all contractsand transactions of the organization, no member of the Board of Directors or theExecutive Committee shall vote on any contract or other business transaction in which24

In the event of such a conflict of interest, the member shall abstainfrom voting and such abstention shall be noted in the minutes with an identification ofthe member's conflict. The member shall not participate in the discussion of the issue,but the member's presence may be counted for purposes of determining a quorum.D. Termination of Membership. Membership will terminate in the GREEN MOUNTAINSCENIC BYWAY COMMITTEE on one of the following events:1. Receipt by the Board of Directors of the written resignation,executed by such member or director or his/her duly authorizedattorney-in-fact;2. The death of a member or Director;3. For cause inconsistent with membership. Any member, director orofficer so removed for just cause may be removed from office orfrom the Board by a simple majority affirmation vote of a quorumof the Board of Directors, present in person at any regular orspecial meeting called for that purpose, whenever in the Board'sjudgment the best interest of the GREEN MOUNTAIN SCENICBYWAY COMMITTEE would be served thereby. Any such member,director or officer proposed to be removed shall be entitled toappear before and be heard at such meeting, at which time,he/she may present such witnesses and make such defenses ashe/she shall deem advisable. Failure to attend three consecutivemeetings without valid excuse shall constitute cause for removal ofa director.4. Engaging in any conduct that is a violation of the conflict ofinterest provision.5. In the case of Corporate Membership, by voluntary or involuntarydissolution of the business, corporation, firm, partnership,organization or other business entity, the membership will beterminated.ARTICLE III: BOARD OF DIRECTORSThe business, property, and affairs of the GREEN MOUNTAIN SCENIC BYWAY COMMITTEEshall be managed by the Officers and the Board of Directors of the GREEN MOUNTAINSCENIC BYWAY COMMITTEE. The Officers and the Board of Directors shall comprise theCorridor Management Entity for the Green Mountain Scenic Byway.25
