SECTION 6 – CORRIDOR MANAGEMENT ENTITYthe member, the member's employer or the member's family has a financial interestin the outcome. In the event of such a conflict of interest, the member shall abstainfrom voting and such abstention shall be noted in the minutes with an identification ofthe member's conflict. The member shall not participate in the discussion of the issue,but the member's presence may be counted for purposes of determining a quorum.D. Termination of Membership. Membership will terminate in the GREEN MOUNTAINSCENIC BYWAY COMMITTEE on one of the following events:1. Receipt by the Board of Directors of the written resignation,executed by such member or director or his/her duly authorizedattorney-in-fact;2. The death of a member or Director;3. For cause inconsistent with membership. Any member, director orofficer so removed for just cause may be removed from office orfrom the Board by a simple majority affirmation vote of a quorumof the Board of Directors, present in person at any regular orspecial meeting called for that purpose, whenever in the Board'sjudgment the best interest of the GREEN MOUNTAIN SCENICBYWAY COMMITTEE would be served thereby. Any such member,director or officer proposed to be removed shall be entitled toappear before and be heard at such meeting, at which time,he/she may present such witnesses and make such defenses ashe/she shall deem advisable. Failure to attend three consecutivemeetings without valid excuse shall constitute cause for removal ofa director.4. Engaging in any conduct that is a violation of the conflict ofinterest provision.5. In the case of Corporate Membership, by voluntary or involuntarydissolution of the business, corporation, firm, partnership,organization or other business entity, the membership will beterminated.ARTICLE III: BOARD OF DIRECTORSThe business, property, and affairs of the GREEN MOUNTAIN SCENIC BYWAY COMMITTEEshall be managed by the Officers and the Board of Directors of the GREEN MOUNTAINSCENIC BYWAY COMMITTEE. The Officers and the Board of Directors shall comprise theCorridor Management Entity for the Green Mountain Scenic Byway.25
