Profit-sharing certificates<br />
OC <strong>Oerlikon</strong> Corporation AG, Pfäffikon has not issued any profit-sharing certificates.<br />
Limitations on transferability and nominee registrations<br />
There are no restrictions on the transfer of OC <strong>Oerlikon</strong> Corporation AG, Pfäffikon<br />
shares. The company recognizes only those parties entered in the share register as<br />
shareholders or usufructuaries. Fiduciary shareholders and nominees will also be entered<br />
in the share register.<br />
Convertible bonds and options<br />
As at December 31, <strong>2011</strong>, there were no convertible bonds or warrant bonds<br />
outstanding.<br />
In conjunction with stock option plans, employees held a total of 37 128 options<br />
(see page 125, Note 23) on December 31, <strong>2011</strong>, each of which entitles the holder to<br />
subscribe for one registered share in OC <strong>Oerlikon</strong> Corporation AG, Pfäffikon. These<br />
options will be covered by shares acquired in the open market, such that their exercise<br />
will not result in any change in share capital. The aggregate par value of the<br />
shares purchasable via option rights granted to employees is CHF 37 128.<br />
In conjunction with the option rights granted to the Financial Creditors, Financial<br />
Creditors held a total of 16 905 643 options on December 31, <strong>2011</strong>, each of which<br />
entitles the holder to subscribe for one registered share in OC <strong>Oerlikon</strong> Corporation AG,<br />
Pfäffikon. The option rights granted to the Financial Creditors have a maximum term<br />
until June 30, 2014. The exercise price is CHF 6 and must be fully paid in cash. The<br />
options are covered by shares pursuant to Art. 11c of the Articles of Association.<br />
The aggregate par value of the shares purchasable via option rights granted to the<br />
Financial Creditors is CHF 16 905 643.<br />
