Mr.Zhang Jianheng, Vice Chairman, was unable to attend the Meeting dueto work reasons, and has authorised Mr. Wang Zhanchen, Director, tovote on his behalf. Mr. Xie Weiliang, Vice Chairman, was unable toattend the Meeting due to work reasons, and has authorised Mr. DongLianbo, Director, to vote on his behalf. Mr. Zhang Junchao, Director,was unable to attend the Meeting due to work reasons, and hasauthorised Mr. Wang Zhanchen, Director, to vote on his behalf. Mr. ShiLirong, Director, was unable to attend the Meeting due to work reasons,and has authorised Mr. Yin Yimin, Director, to vote on his behalf.The respective financial statements of the Group for the year ended31 December 2012 were prepared in accordance with PRC AccountingStandards for Business Enterprises and with Hong Kong FinancialReporting Standards respectively, and had been audited by Ernst &Young Hua Ming LLP and Ernst & Young, and an unqualified auditors’report has been issued by each of them.Mr. Hou Weigui, Chairman of the Company, Mr. Wei Zaisheng, ChiefFinancial Officer of the Company and Mr. Shi Chunmao, Head ofFinance Division of the Company, hereby declare that they warrant thetruthfulness, accuracy and completeness of the financial reportscontained in this report.In view of the actual operating conditions of the Company, no profitdistribution or capitalisation of capital reserve for 2012 has beenproposed. The aforesaid matter shall require consideration and approvalat the general meeting.This report contains forward-looking statements in relation to subjectssuch as future plans, which do not constitute any specific undertakingsto investors by the Company.
