As of December 31, <strong>20</strong>09, we performed an evaluation under the supervision and with the participation of<br />

our management, including our Chief Executive Officer and Chief Financial Officer, of the effectiveness of the<br />

design and operation of our disclosure controls and procedures (as defined in Rules 13a-15(e) and 15d-15(e) under<br />

the Securities Exchange Act of 1934, as amended (the “Exchange Act”)). Our management recognizes that any<br />

controls and procedures, no matter how well designed and operated, can provide only reasonable assurance of<br />

achieving their objectives and our management necessarily applies its judgment in evaluating the cost-benefit<br />

relationship of possible controls and procedures. Based on this evaluation, our Chief Executive Officer and Chief<br />

Financial Officer concluded that our disclosure controls and procedures are effective as of December 31, <strong>20</strong>09, to<br />

provide reasonable assurance that the information required to be disclosed in filings and submissions under the<br />

Exchange Act, is recorded, processed, summarized and reported within the time periods specified by the Securities<br />

and Exchange Commission’s rules and forms, and that such information related to us and our consolidated<br />

subsidiaries is accumulated and communicated to management, including the Chief Executive Officer and Chief<br />

Financial Officer, as appropriate to allow timely decisions about required disclosure.<br />
