Notice of Meetingh) A new Article 154(A) be inserted as follows:154(A)“Notice to be given to or by a person pursuant to these Articles (other than a notice convening ameeting of the board of Directors or of a committee of the board of Directors) shall be in writing orin an electronic communication and sent or delivered to an address for the time being notified forthat purpose to the person giving the notice.”i) Article 154 be renumbered as Article 154(B) and amended by:a) deleting the word “either” on the first line, and inserting a colon before and a semi colonafter, the word “personally”;b) inserting “; or” after the words “place of address”; andc) inserting the following as a new Article 154(B)(iii) and (iv);ii)“by electronic communication to an address for the time being notified to the Company bythe Member for that purpose; oriii) by any other means authorised in writing by such Member.”j) A new Article 154(C) be inserted as follows:154(C)“A notice of general meeting may, instead of being sent to the Member in any of the ways specified inArticle 154(B), be given to a Member by the Company by publishing the notice on a website, providedthat the following conditions are met:i) the Member and the Company have agreed that notices of general meetings may be accessed bythe Member on a website instead of being sent to the Member in one of the ways specified inArticle 154(B);ANTOFAGASTA PLC Annual Report and Financial Statements 2003ii)the Member is given a notification, in the manner agreed for the time being between the Memberand the Company, containing the following information:a) the fact that the notice has been published on the website;b) the address of the website;c) the place on the website where the notice may be accessed and how it may be accessed;d) a statement that it concerns a notice of general meeting served in accordance with the Act;e) the place, date and time of the general meeting; and94f) whether the general meeting is to be an annual or extraordinary general meeting.
