Part 2 Issuing CompanyThai Beverage Public Company Limited1.1.6 Brand recognition is important for business of the Company and any failure to protect theintellectual property rights of the Company or to defend claims that the Company isinfringing on the rights of others could materially harm its business, financial condition,results of operations and prospects.Brand recognition is critical to attracting new consumers to products of the Company andmaintaining the loyalty of existing customers. The Company’s success depends, in part, on an abilityto protect its current and future products and to defend its intellectual property rights, such astrademarks of the Company’s brands, including Chang, Mekhong and Sangsom. The Company hasregistered numerous trademarks covering its products and has filed, and expects to continue to file,trademark registration applications seeking to protect newly-developed products and to renew currenttrademarks. The Company cannot assure you that the Company will be successful in registering anyof pending trademark registrations. For any existing trademark or new trademark which will beregistered in the future, the Company may not be granted approval for registration or extension or itmay be challenged, invalidated or infringed by competitors of the Company. The Company’s failureto protect the intellectual property rights from infringement or misappropriation could undermine thecompetitive position of its products and could lead to a significant decrease in its sales volumes of itsproducts, which would have an adverse effect on the business, financial condition, results ofoperations and prospects of the Company.The Company also relies on trade secrets, such as the formulae for its beer and brown spiritsproducts and proprietary know-how not protected by patents or trademarks, and continuingtechnological innovation that the Company seeks to protect, in part by confidentiality agreements withsuppliers, employees and consultants. The Company cannot assure you that trade secrets andproprietary know-how of the Company will not be compromised as a result of breaches ofconfidentiality agreements or otherwise become known or be independently developed by itscompetitors or that the Company will not be able to maintain the confidentiality of informationrelating to new products arising from its research.The Company may be required to defend against charges of infringement of trademark orproprietary rights of third parties. These defenses could require the Company to incur substantialexpenses and to divert significant effort of its technical and management personnel, and could resultin its loss of the rights to develop or produce certain products or require the Company to paymonetary damages or royalties to obtain proprietary rights from third parties. An adverse outcome ofany dispute with respect to trademarks or other proprietary rights could adversely affect theCompany’s competitive position and its business, financial condition, results of operations andprospects.1.1.7 The Company’s growth prospects may be harmed if the Company is unable to expand intothe higher-priced segments of the beer and spirits markets.A key element of the Company’s strategy is to broaden its portfolio of brands by launchingnew brands to penetrate the higher-priced segments of the market in order to increase its revenue. TheCompany believes that the higher-priced market segments in Thailand for both beer and spirits offersignificant growth potential and that there has been a shift of consumer behavior from economysegment beers and spirits to these segments. Expanding the Company’s presence into these highlycompetitive segments will require it to invest significantly in consumer marketing, brand promotionand sales and distribution development. The Company has limited experience in these segments. TheCompany launched Blue whisky in October 2005 and Blend 285 in October 2006, which are spirits inthe higher-priced market segments than the current portfolio of the Company’s products. TheCompany also imported Drummer Whisky from Scotland in June 2008, launched Chang Light, ahigher price beer than economy beer in March 2006 and launched Federbräu, a premium beer, inApril 2008.Part 2 Page 6
