Part 2 Issuing CompanyThai Beverage Public Company Limited3.1.8 Intellectual PropertyAs of June 30, 2008, the Company owns 445 trademarks registered with the IntellectualProperty Department of Thailand. The Company most important trademarks include brand names,such as Chang, Sangsom and Mekhong. As of June 30, 2008, all of the Company’s materialtrademarks have been registered in Thailand.The Company primary mark for its beer, drinking water and soda water products is a designof two elephants with a fountain, which has been registered in Thailand and many other countriesglobally (as shown in item 13.1.3). Carlsberg A/S (“Carlsberg”) also registered a trademark of thissimilar elephant design (“Elephant Beer Trademark”) (as shown in item 13.1.3). Consequently, onAugust 31, 2005, the Company’s Subsidiary, Beer Chang Co. entered into an agreement withCarlsberg, under which both parties agreed to terms and conditions for the use of their respectivemarks of “Elephant” (for more information, please see item 13 – Related information).In Thailand, a trademark registration is valid for 10 years, after which it can be renewed foran additional 10-year period. The Intellectual Property Department may refuse to renew registrationof a trademark if, upon application of a third party, it determines that the trademark has lapsed due tolack of use during the previous three years.The Company plan to apply for renewal of registration of all of the Company’s materialtrademarks prior to their expiration. The Company believes that the Company’s significant trademarksare protected in all material respects in the markets in which the Company currently operates.As of June 30, 2008, the Company have registered the Company’s principal trademarks orinitiated trademark registration processes in approximately 50 countries outside of Thailand, includingCambodia, Japan, Laos, Myanmar, the Philippines, Malaysia, Singapore and the United Kingdom, inorder to ensure protection of the names and logos in markets outside Thailand. The Company hasregistered 44 trademarks outside Thailand.3.1.9 Information TechnologyInformation technology systems are important to the Company’s ability to manage theCompany’s business. The Company information technology systems enable the Company tocoordinate the Company’s operations, from order processing, production planning and raw materialordering to customer delivery and invoicing.In 2001, the Company began the implementation of the SAP system, an integrated system ofsoftware applications providing a common framework for accounting, production planning, inventorymanagement, procurement, sale and distribution, plant maintenance, human resources managementand cost management activities for the Company’s breweries. The Company expects to complete thedevelopment and implementation of the SAP applications by 2008 for each part of the Company’sbusiness.3.1.10 Environment and SafetyThe Company is subject to Thai laws and regulations relating to the protection of theenvironment. The Ministry of Natural Resources and Environment regulates and enforcesenvironmental laws in Thailand. The principal environmental law in Thailand is the Enhancement andConservation of National Environmental Quality Act of 1992. In addition, the Factory Act of 1992,Hazardous Substance Act of 1992 and the Public Health Act of 1992 regulate environmental hazards.The Ministry of Industry, the Ministry of Natural Resources and Environment and the Ministry ofPublic Health have promulgated rules regulating water pollution, air pollution, noise pollution, andhazardous substances and have authority to enforce the environmental laws and are empowered toPart 2 Page 60
