ThaiBev, as the shareholder, will appoint its representatives to participate and vote inshareholders meeting in accordance with the guidelines given by the Board of Directors of ThaiBev.In addition, ThaiBev will nominate its representatives to serve as directors of its Subsidiaries.ThaiBev’s representatives will hold at least one-third of the available board seats of its Subsidiaries.The representatives from ThaiBev may consist of its chairman, president, director, senior managementor outside professional whose knowledge and expertise are suitable for the Subsidiaries’ businessesand have no direct conflicts of interest. These representatives will administer the Subsidiaries’operations in accordance with the principles and guidelines stipulated in the articles of association ofThaiBev and Subsidiaries, as well as related laws and regulations.ThaiBev has a policy to maintain its core businesses and hold on to the key assets of theCompany, including assets that relates to the production, marketing and distribution of beers andspirits, as well as businesses and key assets of other related businesses. ThaiBev will not divest any ofits core businesses or assets with an exception that the divestment is for the best interest of ThaiBevand has no material effect on its core businesses. In addition, such divestment cannot be done betweenThaiBev and its Principal Shareholders or related parties of such Principal Shareholders (as defined inthe Notifications of SET and SEC).
