CORPORATE GOVERNANCE AND INTERNAL CONTROL<br />
This chapter includes the sections “Corporate Governance” and<br />
“Internal Control and Risk Management” of the Report of the<br />
Chairman of the Board of Directors as required by articles L. 225-37<br />
and L. 225-51 of the French Commercial Code.<br />
It describes, in the context of the preparation of the financial<br />
statements for the 2008/2009 financial year, the conditions<br />
governing the preparation and organisation of the work performed<br />
by the Board of Directors, the powers entrusted to the CEO by the<br />
Board of Directors, the principles and rules used to determine the<br />
remuneration and benefits of any kind granted to Directors, and the<br />
internal control procedures implemented by <strong>Pernod</strong> <strong>Ricard</strong>.<br />
PERNOD RICARD<br />
Firstly, we inform you that, per article L. 225-100-3 of the French<br />
Commercial Code, the items that may have an impact in the event of a<br />
public offer are detailed in the section “Information on the Company<br />
and its share capital”, under the paragraph “Items that may have an<br />
impact in the event of a public offer”.<br />
This report was approved by the Board of Directors on<br />
2 September 2009.<br />
