Croissance mondiale en berne…<br />
En cette fin d’année 2012, le climat économique reste affecté<br />
par plusieurs incertitudes majeures au premier rang desquelles<br />
le « fiscal cliff » aux Etats-Unis et les développements de la<br />
crise de la dette souveraine dans la zone Euro, sans compter<br />
les évènements politiques en Afrique du Nord et au Moyen-<br />
Orient. Outre les développements de la crise de la dette<br />
souveraine en Europe, les tensions récentes qui ont affecté<br />
les cours du pétrole, nourries surtout par des incertitudes<br />
géopolitiques en Afrique du Nord et au Moyen-Orient,<br />
comportaient un risque pour la croissance, considérant que<br />
l’activité a très nettement ralenti dans la plupart des économies<br />
émergentes, avec des performances plus ou moins ralenties<br />
pour des causes inflationnistes.<br />
L’Algérie : Le cours du brent en hausse !<br />
La croissance devrait rester solide sur le court terme, soutenue<br />
par les prix élevés du pétrole, une forte demande intérieure et<br />
une économie hors hydrocarbures en plein développement. Les<br />
prix mondiaux du pétrole, qui se situaient en moyenne autour de<br />
109,55 dollars américains le baril en 2012, contre 107,46 dollars<br />
américains en 2011 et 77,45 dollars américains en 2010, ont<br />
compensé la baisse de la demande d’exportation d’énergie et<br />
renforcé le positionnement financier de l’Algérie.<br />
Aussi, les réserves de devises étrangères du pays atteignaient,<br />
fin 2012, la somme de 190,7 milliards de dollars américains<br />
contre 182,2 milliards de dollars américains en 2011, créant un<br />
matelas financier pour les programmes de dépenses publiques.<br />
D’ailleurs, l’excédent de la balance courante s’est positionné à<br />
8,2% du PIB à la fin de l’année 2012, mais qui risque de baisser<br />
en 2013 jusqu’à 7,1% en raison d’investissements publics plus<br />
importants. En plus de vouloir stimuler la croissance des secteurs<br />
hors hydrocarbures de son économie, l’une des priorités majeures<br />
de l’Etat algérien en 2013 sera de ramener l’inflation au niveau<br />
recommandé de 4% à 4,5% alors qu’elle a atteint 8,9% en 2012.<br />
Même si le pays est encore dépendant des revenus des secteurs<br />
pétroliers et gaziers, qui représentent encore 97% de l’ensemble<br />
des exportations et contribuent au PIB à hauteur de 30%, ces<br />
secteurs ont connu, en 2012, des changements encourageants<br />
qui ont contribué à assurer des rentrées confortables de recettes<br />
et de capitaux sur le moyen terme. L’Algérie a fait part de son<br />
projet d’investir 80 milliards de dollars américains dans le secteur<br />
de l’énergie sur les cinq prochaines années afin de renforcer la<br />
production et l’exploration.<br />
ABC Algeria : 2012, tous les indicateurs sont au vert<br />
Aussi, et dans ce contexte plutôt favorable, 2012 a été pour<br />
notre Banque marquée par l’amélioration des niveaux de<br />
rentabilité, nous confortant ainsi dans les options choisies.<br />
Renforçant sa position parmi les acteurs majeurs du paysage<br />
financier national et aussi régional, notre Banque a ainsi<br />
enregistré de nettes progressions de l’ensemble de ses<br />
indicateurs de performance. Le total bilan atteint 47,313<br />
milliards de dinars, soit une hausse de 13%, grâce<br />
à l’augmentation combinée des dépôts et des crédits<br />
à la clientèle. Quant au produit net bancaire, il s’accroit de 31%<br />
à 3,191 milliards de dinars, alors que le bénéfice est de 1,313<br />
milliards de dinars, en progression de 44%. Cette évolution<br />
marque bien le dynamisme et l’engagement de toutes les<br />
lignes métiers/corps de la Banque en nous appuyant sur une<br />
démarche de gestion rigoureuse et maîtrise des coûts visant,<br />
surtout, à la satisfaction de notre clientèle.<br />
Dans le même temps, ABC Algeria a été sacrée meilleure<br />
banque en Algérie pour la quatrième année consécutive par<br />
Global Finance grâce à l’expertise conjuguée à la mobilisation<br />
de ses différentes équipes. Durant 2012, nous avons enrichi<br />
notre panel de produits, en particulier en ce qui concerne<br />
l’immobilier.<br />
En effet, notre gamme « Soukna » compte aujourd’hui de<br />
nouveaux sous-produits dont, notamment, l’aménagement<br />
sans hypothèque, le crédit construction/extension et l’achat de<br />
terrains, disponibles sur l’ensemble de notre réseau bancaire<br />
qui s’est élargi par l’ouverture de 5 nouveaux points de vente,<br />
totalisant 23 agences opérationnelles à travers le pays.<br />
Cette année aura également vu la mise en œuvre des<br />
premières phases de grands projets structurants du schéma<br />
directeur des systèmes d’information.<br />
Ainsi, la solution Trade Innovation, qui est une solution de<br />
référence pour le traitement des opérations de commerce<br />
extérieur, a été implémentée pour la partie Lettres de crédit<br />
import. Fort de ce succès, nous devrons, en 2013, aussi utiliser<br />
cette solution pour le traitement des Remises documentaires et<br />
autres garanties (cautions locales et garanties internationales).<br />
Parallèlement à la revue de la gouvernance interne et de<br />
l’organisation des diverses lignes métiers de la Banque, nous<br />
avons, cette année, créé la Division du contrôle permanent afin<br />
de mieux appréhender les risques courants liés aux opérations<br />
bancaires.<br />
Par ailleurs, ABC Algeria a regroupé toutes ses structures<br />
centrales dans un nouvel immeuble, à proximité du siège<br />
historique de l’ABC Bank, ce qui permettra à l’ensemble de nos<br />
équipes de poursuivre les efforts consentis à ce jour dans un<br />
esprit de collaboration constructive.<br />
C’est donc une étape majeure de la vie d’ABC Algeria que nous<br />
avons franchi en 2012, en concrétisant l’ambition de notre<br />
projet de développement.<br />
Et c’est avec un élan renouvelé que nous entamons l’exercice<br />
2013, portés par des équipes reconnues et, surtout, dévouées que<br />
nous entendons consolider sur les fondements de notre stratégie<br />
en l’inscrivant dans une logique de croissance au bénéfice de nos<br />
actionnaires, clients et, surtout, collaborateurs ; et c’est bien à ce<br />
titre que nous leur dédions la réussite de cette année.<br />

Sluggish world growth...<br />
At the end of 2012, the economic climate is still affected by<br />
several major uncertainties, the number one being the fiscal<br />
cliff in the USA and the developing sovereign debt crisis in the<br />
eurozone, not to mention the political events in North Africa<br />
and the Middle East. In addition to the developing sovereign<br />
debt crisis in Europe, recent tensions which have affected oil<br />
prices, particularly enhanced by geopolitical uncertainties in<br />
North Africa and the Middle East, comprised a risk for growth,<br />
considering that business has significantly dropped in most<br />
emerging economies, with performances which have slowed<br />
down more or less due to inflationary causes.<br />
Algeria The price of Brent is on the up!<br />
Growth should remain solid in the short term, supported<br />
by high oil prices, high domestic demand and a booming<br />
economy excluding hydrocarbons. World oil prices, which were<br />
on average around USD109.55 a barrel in 2012, compared to<br />
USD107.46 in 2011 and USD77.45 in 2010 have compensated<br />
for the reduced demand for energy exports and have reinforced<br />
Algeria’s financial position.<br />
In addition, the country’s foreign currency reserves, at<br />
the end of 2012, amounted to USD190.7 billion compared<br />
to USD182.2 billion in 2011, creating a financial cushion for<br />
public expenditure programmes. Furthermore, the current<br />
balance of payments surplus was 8.2% of GDP at the end of<br />
2012, but is likely to drop in 2013 to 7.1% due to larger public<br />
investments. As well as wishing to boost growth in sectors<br />
excluding hydrocarbons of its economy, one of the major<br />
priorities of the Algerian Government in 2013 will be to bring<br />
inflation to the recommended level of 4% to 4.5% whereas<br />
it was 8.9% in 2012. Although the country is still dependent<br />
on revenue from the oil and gas sectors, which still represent<br />
97% of all exports and contribute up to 30% to GDP, in 2012,<br />
these sectors underwent encouraging changes which helped<br />
to ensure comfortable returns and capital in the medium term.<br />
Algeria has announced its plan to invest USD80 billion in the<br />
energy sector over the next five years to reinforce production<br />
and exploration.<br />
ABC Algeria: 2012, all systems go<br />
Also and in this rather favourable context, 2012 for our bank<br />
was marked by improved profitability levels, thus reassuring us<br />
in the decisions made. Reinforcing its position among the major<br />
players on the national and also regional financial landscape,<br />
our bank thus recorded net improvements of all its performance<br />
indicators. The total balance sheet reached DZD47.313 billion,<br />
i.e. a 13% increase, thanks to the combined increase in<br />
deposits and loans to customers. As for total operating income,<br />
it increased by 31% to DZD3.191 billion, whereas net profit was<br />
DZD1.313 billion, up by 44%.<br />
This development clearly shows the dynamism and<br />
commitment of all business segments of the bank, supporting<br />
us in a rigorous management and cost control approach<br />
particularly in view of satisfying our customers.<br />
At the same time, ABC Algeria was awarded best bank in Algeria<br />
for the fourth consecutive year by Global Finance thanks to the<br />
combined expertise of its different teams.<br />
In 2012, we increased our range of products, particularly with<br />
regard to property; indeed our “Soukna” range today has<br />
new sub-products including, in particular, the mortgage-free<br />
arrangement, construction/extension loan and the land purchase<br />
products, available across our banking network which has grown<br />
with the opening of 5 new points of sale, with a total of 23<br />
branches operational across the country.<br />
This year will have also seen the implementation of the first<br />
phases of the major structuring projects of the blueprint for<br />
the bank’s information systems. Thus, the TRADE INNOVATION<br />
solution, which is a reference solution for processing Trade<br />
Finance business, has been implemented for the part of Import<br />
Letters of Credit. Boosted by this success, in 2013 we will also<br />
have to use this solution for processing Documentary Collection<br />
and Guarantees (Local and International Guarantees).<br />
In parallel to the review of internal governance and the<br />
organisation of the various business lines of the bank, this year,<br />
we created the Permanent Control Division, in order to get<br />
a better understanding of the everyday risks related to bank<br />
transactions.<br />
Furthermore, ABC Algeria has brought all its central departments<br />
together in a new building, near the historic headquarters of ABC<br />
Bank, which will enable all our teams to continue the efforts made<br />
to date in a spirit of constructive collaboration.<br />
We therefore overcame a major stage in the life of ABC Algeria in<br />
2012, making the ambition of our development project a reality.<br />
And it is with renewed impetus that we are starting the financial<br />
year 2013, with the support of recognised and above all devoted<br />
teams, with the intention to consolidate the foundations of our<br />
strategy and looking to grow to the benefit of our shareholders,<br />
customers and above all our employees; and it is indeed to them<br />
that we are dedicating this year’s success.<br />

Dr Ali Salem Hebri a à son actif plus de 30 ans d’expérience<br />
dans le domaine des finances. Il occupe le poste de vicegouverneur<br />
de la Banque centrale de Libye. Il a également<br />
occupé les postes de directeur financier de plusieurs<br />
grandes sociétés libyennes et a été président du Conseil<br />
d’administration d’une société industrielle.<br />
Dr. Ali Salem HEBRI has over 30 years’ experience in the<br />
financial sector. He is Vice-Governor of the Central Bank of<br />
Libya and has been Chief Financial Officer of several major<br />
Libyan companies and chairman of an important industrial<br />
company. Dr. Ali Salem HEBRI holds a PHD in Accounting<br />
Science from the University of Strathclyde, Glasgow.<br />
M. Gaby Abdallah Basbous est vice-président, chef de<br />
projets stratégiques du Groupe ABC/chargé de relations<br />
avec ABC Algeria et ABC Tunisie. Il a rejoint le Groupe ABC<br />
en 2009 et a été Directeur général et membre du Conseil<br />
d’administration du Crédit libanais, Bahreïn. Il a à son actif 20<br />
ans d’expérience au Liban et à Bahreïn. M. Gaby BASBOUS<br />
est diplômé de l’Université américaine de Beyrouth. Il suit un<br />
MBA à l’Université de Cumbria-Lancaster. Il a été conférencier<br />
en gestion et économie générale à la Lebanese-Canadian<br />
University, Beyrouth.<br />

durant 19 ans. Il a passé les huit premières années à ABC<br />
International Bank, Londres au commerce extérieur et à la<br />
Direction du Correspondent <strong>Banking</strong>. M. Khaleif est titulaire<br />
d’une licence en Administration des affaires et économie,<br />
option finances et comptabilité de l’Université internationale<br />
américaine de Londres, Richmond College.<br />
Mr. Husam Khaleif is First Vice President and Deputy Head<br />
of Global Trade Finance at <strong>Arab</strong> <strong>Banking</strong> <strong>Corporation</strong> (BSC),<br />
Bahrain. He has been with the ABC Group for 19 years. Prior<br />
to his current position, he spent 8 years at ABC International<br />
Bank, London in the Trade Finance and Correspondent<br />
<strong>Banking</strong> Department. Mr. Khaleif holds a B.A. in Business<br />
Administration and Economics with area of concentration<br />
in Finance and Accounting from “Richmond College”, the<br />
American International University in London.<br />
M. Noreddin Nahawi a rejoint le Groupe ABC en 2003 en<br />
qualité de président du Monde arabe et a occupé depuis les<br />
postes de Directeur général de ABC Jordanie et tout récemment<br />
Directeur général d’ABC Tunis. M. Nahawi a plus de 35 années<br />
de carrière dans neuf pays, dont la France, le Sultanat d’Oman,<br />
le Royaume-Uni, les Emirats arabes unis, Bahreïn, le Liban,<br />
l’Egypte ainsi que son pays natal, la Jordanie. Avant de rejoindre<br />
le Groupe ABC, M. Nahawi a passé plus de 29 années de sa<br />
carrière avec le Groupe BNP Paribas. M. Nahawi est titulaire<br />
d’un master en administration internationale et d’une licence de<br />
Colby College, Waterville (Maine, Etats-Unis d’Amérique).<br />
Mr. Noreddin Nahawi joined ABC Group in 2003 as Head of<br />
<strong>Arab</strong> World Division and has occupied since the positions of<br />
Managing Director of ABC Jordan, and lately Tunisia Country<br />
Manager. Mr. Nahawi’s career spans over 35 years across nine<br />
countries including his native Jordan, France, Oman, the U.K.,<br />
U.A.E., Bahrain, Lebanon, Egypt and most recently Tunisia.<br />
Prior to joining ABC, Mr. Nahawi had spent over 29 years of<br />
his career with BNP Paribas. M. Nahawi holds a Master in<br />
international Administration and a Bachelors of Arts from Colby<br />

M. Hisham A. Mouzughi est responsable du Risque et support<br />
crédit au sein d’ABC Islamic Bank (EC) Bahreïn depuis 2006. Il<br />
a commencé sa carrière professionnelle à la Direction du Crédit<br />
de d’ABC International Bank (Londres) en 1989 où il a occupé<br />
plusieurs postes dont le dernier était celui de chef adjoint du<br />
Crédit à la Direction de gestion des risques. M. Mouzughi est<br />
titulaire d’un MBA de l’Université de Webster, d’un Master of<br />
Science in Business Administration (MSBA) de l’Université de<br />
Boston, d’un diplôme d’études supérieures en comptabilité<br />
et finances délivré par la London School of Economics et<br />
d’un diplôme d’études supérieures en banque islamique et<br />
assurance de l’Institute of Islamic <strong>Banking</strong> & Insurance, Londres.<br />
Mr. Hisham Mouzughi has been the Head of Risk and Credit<br />
Support at ABC Islamic Bank (E.C) Bahrain since 2006. He<br />
started his career in 1989 at ABC International Bank PLC,<br />
London, where his last position was Deputy Head of Credit in<br />
the Risk Management Department.<br />
Mr. Mouzughi holds an MBA from Webster University, a Master<br />
of Science in Business Administration (MSBA), from Boston<br />
University, a Post Graduate Diploma in Accounting and Finance<br />
from London School of Economics, and a Post Graduate<br />
Diploma in Islamic <strong>Banking</strong> and Insurance, from the Institute<br />
of Islamic <strong>Banking</strong> and Insurance, London.<br />
M Patrick Abi Habib est depuis 2010 Chef catalyseur des<br />
affaires des filiales de la Banque, dépendant du bureau du<br />
vice-président Directeur général du Groupe ABC (BSC). Il a<br />
rejoint le Groupe ABC en 2002 au niveau de la Direction du<br />
Crédit et du Risque du Groupe, puis la Direction d’audit interne<br />
du Groupe en 2007. M. Abi Habib est titulaire d’un master en<br />
management du CERAM – ESC Nice-Sofia Antipolis (SKEMA<br />

Organigramme<br />
L’organigramme général d’ABC Algeria a subi quelques<br />
transformations au courant de l’exercice 2012. Le but visé par<br />
ces changements structurels est le regroupement des fonctions<br />
en groupes homogènes suivant les impératifs dévolus à chaque<br />
fonction en fixant, entre autres, les lignes de reporting de<br />
certaines fonctions de contrôle aux divers comités issus du<br />
Conseil d’administration.<br />
De façon plus marquée, le principal changement a trait au<br />
regroupement des fonctions de contrôle permanent au sein<br />
d’une même division ; créée à l’occasion de la revue de<br />
l’organigramme général d’ABC Algeria et approuvé par le<br />
Conseil d’administration.<br />
Un autre changement a trait au regroupement des unités<br />
d’affaires sous la supervision d’un Directeur général adjoint<br />
chargé du <strong>Banking</strong> au lieu d’un divisionnaire comme auparavant<br />
et ce, dans l’objectif de plus de développement et de suivi à un<br />
haut niveau du business d’ABC Algeria.<br />
La fonction Administration générale, supervisée par la Division<br />
Support, s’est vu scindée en deux pôles pour rationnaliser la<br />
conduite des affaires liées à la gestion du patrimoine et aux<br />
diverses dépenses d’ABC Algeria.<br />
Pour atteindre ces objectifs statuaires, le Directeur général<br />
est secondé par deux Directeurs généraux adjoints. L’un pour<br />
les Opérations ; assisté par deux Chefs de divisions : Chef de<br />
division Support et Chef de division Contrôle permanent et<br />
l’autre pour le <strong>Banking</strong>.<br />
Concernant la gestion des ressources humaines, considérant<br />
son rang stratégique, cette fonction continue à être rattachée<br />

Organisation Chart<br />
The general organisation chart of ABC Algeria underwent<br />
a few changes in the financial year 2012. The aim of these<br />
structural changes is the grouping together of functions into<br />
homogeneous groups in accordance with the imperatives<br />
devolved upon each function by determining, inter alia, the<br />
reporting lines of certain control functions through various<br />
Committees under the supervision of the Board of Directors.<br />
In a more marked manner, the main change concerns the<br />
grouping together of the ongoing control functions within<br />
the same division which was created when the general<br />
organisation chart of ABC Algeria was reviewed and approved<br />
by the Board of Directors.<br />
Another change concerns the grouping together of business<br />
units under the supervision of a Deputy Managing Director<br />
responsible for <strong>Banking</strong> instead of a Divisional one as in the<br />
past, in view of greater development and monitoring the<br />
business of ABC Algeria at a senior level.<br />
The General Administration function, supervised by the Support<br />
Division, was split into two units to rationalise the conduct<br />
of business related to asset management and the various<br />
expenses of ABC Algeria.<br />
To achieve these statutory objectives, the Managing Director is<br />
seconded by two Deputy Directors. One for Operations; assisted<br />
by two Division Heads: Head of the Support Division and Head<br />
of the Permanent Control Division, and the other for <strong>Banking</strong>.<br />
As regards Human Resources Management, considering its<br />
strategic position, this function continues to report directly to<br />
the Managing Director.<br />

En 2012, ABC Algeria a élargi sa couverture du marché par<br />

comprenant 23 agences. Ceci, combiné avec le lancement de<br />
nouveaux produits de détail, à savoir achat de terrain, aménagement<br />
sans hypothèque et construction/extension, reflète la foi qu’a ABC<br />
dans le marché de détail en Algérie et l’investissement qu’elle fait<br />
pour aider à la croissance de ce segment.<br />
L’ensemble des indicateurs de performance d’ABC Algeria ont<br />
augmenté en 2012. Ainsi, la marge d’intérêt a atteint 1.501<br />
millions de dinars, soit une progression de 21%, alors que le<br />
produit net bancaire, qui se situe à 3.191 millions de dinars,<br />
a accru de 31% et a permis de dégager un bénéfice net de<br />
1.336 millions de dinars avec une augmentation de 44% par<br />
rapport à 2011. Le total bilan d’ABC Algeria a atteint 47.313<br />
millions de dinars (42.015 millions de dinars en 2011, alors que<br />
le portefeuille de prêts a progressé à 20.047 millions de dinars<br />
(16.319 millions de dinars en 2011), et que les dépôts ont<br />
augmenté à 24.816 millions de dinars (21.495 millions de dinars<br />
en 2011). Ce progrès notable du chiffre d’affaires et l’expansion des<br />
activités de la Banque ont été naturellement accompagnés par des<br />
développements importants dans les fonctions « Support » de la<br />
Banque. Pour ce qui est de l’informatique et des opérations, 2012 a<br />
vu la mise en œuvre, avec l’appui de IT Groupe, de la solution Trade<br />
Innovation afin de soutenir la croissance de l’activité de la Banque.<br />
Par ailleurs, dans une volonté d’améliorer la communication<br />
interne et la transparence et promouvoir une culture de groupe<br />
au sein de la Banque et de l’ensemble de ses sites à travers le<br />
territoire national, ABC Algeria a lancé un bulletin d’information<br />
interne et a ainsi accru ses canaux de communication avec son<br />
personnel. En outre, dans un effort pour améliorer les conditions<br />
de travail de ses employés qui, en 2012 ont vu leur nombre<br />
augmenter de 11%, et de répondre aux besoins futurs de<br />
recrutement et la croissance prévue des activités de la Banque,<br />
ABC Algeria a consolidé deux de ses anciens sites départements<br />
centraux en un seul site à proximité du siège social de la Banque.<br />
Cela reflète, encore une fois, l’intention d’ABC Algeria de faire<br />
tous les investissements nécessaires qui contribueraient à la<br />
réussite de ses activités en Algérie. Enfin, il convient de signaler<br />
la mise en place d’une structure Réseau dont les fonctions<br />
principales sont l’assistance, l’encadrement et le support des<br />
agences d’ABC Algeria. Ainsi, les directions Retail et Corporate<br />
seront totalement focalisées sur les aspects commerciaux.<br />
LES PRINCIPAUX ÉVÈNEMENTS DE LA BANQUE EN 2012<br />
En 2012, une véritable dynamique de transformation a été<br />
engagée, visant l’amélioration de l’efficacité opérationnelle et la<br />
satisfaction de notre clientèle. D’importants projets ont été mis<br />
en œuvre dans le cadre d’une maîtrise optimale des risques,<br />
parmi lesquels :<br />
l Le projet de centralisation des structures centrales de la Banque<br />
dans le même site. En effet, un contrat pour la location d’un<br />
immeuble, mitoyen du siège historique, a été signé pour une durée<br />
de 5 ans en attendant la construction de notre propre siège social.<br />
l Notre réseau bancaire s’est élargi par l’ouverture de 5 nouvelles<br />
agences à Annaba, Béjaïa, Bouira, Sidi Bel Abbès et Chlef, totalisant<br />
un réseau de 23 agences opérationnelles à travers le pays.<br />
l Pour la quatrième année consécutive, notre Banque a été<br />
récompensée « meilleure Banque en Algérie » par Global<br />
Finance. Cette distinction nous encourage à maintenir notre<br />
performance et à garder une forte dynamique de développement<br />
des différents pôles d’activité bancaire en appliquant une<br />
stratégie claire et pertinente, alliant croissance et performance.<br />
l Soucieuse de créer un esprit de synergies positives entre les<br />
différentes entités, qu’elles soient opérationnelles, commerciales<br />
ou de support, ABC Algeria a lancé sa propre Newsletter<br />
mensuelle, ABCA News, en juillet 2012, dédiée à l’information et<br />
à l’actualité de notre Banque.<br />
l Le projet « Trade Innovation », qui rentre dans le cadre de la<br />
standardisation et la centralisation des systèmes bancaires ABC,<br />
est devenu fonctionnel pour la partie Lettres crédit import.<br />
l Un nouveau système RH d’évaluation de performance a été mis en place.<br />
l Deux nouveaux sous-produits immobiliers ont été lancés pour<br />
compléter la gamme Soukna : Crédit Aaménagement sans<br />
hypothèque, achat de terrain et le crédit construction/extension.<br />
l De nombreuses formations pour les managers ont été<br />
initiées et supportées par le Groupe, parmi lesquelles « The<br />
Transformational Leadership Conference, TLC1@ABC - Leading<br />
Self » organisée à Tunis et regroupant une grande partie du<br />
management d’ABC Algeria, ABC Tunisie et ABC Egypt, en<br />
présence de l’équipe des ressources humaines du Groupe,<br />

In 2012, ABC Algeria increased its market coverage by opening<br />

5 new branches to have a network of 23 branches. This,<br />
combined with the launch of new retail products, namely, Land<br />
Purchase, Mortgage-free Arrangement and Construction/extension,<br />
reflects the faith that ABC has in the retail market in Algeria and<br />
the investment it is making to help this segment grow.<br />
All performance indicators of ABC Algeria increased in 2012. Thus,<br />
the interest margin reached DZD1,501 million, i.e. up by 21%,<br />
whereas net receipts from banking, which are around DZD3,191<br />
million, increased by 31% and enabled the bank to make net<br />
profits of DZD1,336 million, up by 44% compared to 2011.<br />
The total balance sheet of ABC Algeria reached DZD47,313 million<br />
(DZD40,015 million in 2011), whereas the loans portfolio increased<br />
to DZD20,047 million (DZD16,319 million in 2011), and deposits<br />
increased to DZD24,816 million (DZD21,495 million in 2011).<br />
This significant increase in revenue and the expansion of<br />
the bank’s activities was naturally accompanied by major<br />
developments in the bank’s support functions. As regards IT and<br />
transactions, 2012 saw the implementation, with the support of<br />
the IT Group, of the Trade Innovation solution in order to support<br />
the growth in the Bank’s business.<br />
Furthermore, with the will to improve internal communication<br />
and transparency and to promote a group culture within the bank<br />
and all its sites across the national territory, ABC Algeria launched<br />
an internal newsletter and thus increased its communication<br />
channels with its personnel.<br />
In addition, in an effort to improve the working conditions of its<br />
employees who, in 2012, saw their number increase by 11%,<br />
and to respond to future recruitment needs and the planned<br />
growth of the bank’s business, ABC Algeria consolidated two<br />
of its old central department sites into one location near the<br />
bank’s headquarters. Once again, this reflects the intention of<br />
ABC Algeria to make all the necessary investments which would<br />
contribute to the success of its business in Algeria.<br />
Finally, it is fitting to report the putting in place of a Network<br />
structure whose main functions are to provide assistance,<br />
supervision and support for the ABC Algeria branches. Thus,<br />
the Retail and Corporate departments will be 100% focused on<br />
business aspects.<br />
l The project to centralise the central structures of the bank in the<br />
same site. Indeed, a lease agreement for a building, next door to<br />
the historic headquarters, was signed for a 5-year term awaiting<br />
the construction of our own head office.<br />
l Our bank structure was increased with the opening of 5 new<br />
branches in Annaba, Bejaia, Bouira, Sidi Belabès and Chlef,<br />
totalling a network of 23 branches operational across the country.<br />
l For the fourth consecutive year, our bank was awarded “Best<br />
Bank in Algeria” by Global Finance. This award encourages us<br />
to maintain our performance and keep a strong dynamic of<br />
development as regards the bank’s different business areas by<br />
applying a clear and pertinent strategy, combining growth and<br />
performance.<br />
l Mindful of creating a spirit of positive synergies between the<br />
different entities, whether they are operational, commercial or<br />
support, ABC Algeria launched its own monthly newsletter “ABC<br />
News” in July 2012, dedicated to information and current news<br />
on our bank.<br />
l The “Trade Innovation” project, which is part of the<br />
standardisation and centralisation of ABC banking systems,<br />
became functional for the Import Letters of Credit part.<br />
l A new HR performance appraisal system was put in place.<br />
l Two new property sub-products were launched to complete the<br />
Soukna range: Mortgage-free Loan Arrangement, Land Purchase<br />
and Construction/Extension Loan.<br />
l Numerous training courses for managers were initiated<br />
and supported by the group, including “The Transformational<br />
Leadership Conference, TLC1@ABC - Leading Self”, organised<br />
in Tunis and bringing together most of the Management of<br />
ABC Algeria, ABC Tunisia and ABC Egypt, in the presence of the<br />
Group’s Human Resources team, concerning Management and<br />

THE BANK’S MAJOR EVENTS IN 2012<br />
In 2012, a real dynamic of transformation was initiated, aimed at<br />
improving operational efficiency and satisfying our customers.<br />
Major projects were implemented in view of having optimum<br />
control of risks, which include:<br />

l attirer la clientèle et la fidéliser pour accroître sa part de marché ;<br />
l conforter et promouvoir le personnel de la Banque pour le fidéliser ;<br />
l offrir de nouveaux produits et assurer une meilleure qualité de service ;<br />
l renforcer l’octroi de crédits aux entreprises ;<br />
l optimiser les moyens humains et logistiques de la Banque ;<br />
l respecter et faire respecter la réglementation et l’orthodoxie<br />
bancaire.<br />
FINANCEMENT DES ENTREPRISES<br />
Par l’ouverture de 5 nouvelles agences, dont une à Annaba et une<br />
autre à Béjaïa, deux pôles industriels et commerciaux majeurs du<br />
pays, nous visons de nouvelles clientèles « Entreprises » en nous<br />
rapprochant d’elles pour leur offrir nos services.<br />
Durant l’année 2012, avec une plus grande orientation vers le<br />
volet business et un appétit plus soutenu, en termes de risque,<br />
ainsi qu’une réorganisation de la direction concernée pour avoir<br />
une plus grande concentration sur le business, le segment<br />
Corporate et, son sous-jacent, le Trade Finance, continuent d’être<br />
une véritable locomotive pour l’activité de la Banque avec la<br />
consolidation de leur position au sein de la Banque.<br />
Le segment Corporate a connu un saut très appréciable de son<br />
niveau d’activité. Ainsi, le volume des crédits a atteint le montant<br />
de 19.092 millions de dinars, contre 12.901 millions de dinars<br />
en 2011. Cet accroissement de ce volume a généré des revenus<br />
de 1.212 millions de dinars alors que leur montant n’était que<br />
de 848 millions de dinars en 2011. Les engagements indirects,<br />
à savoir les avals et autres cautions, ont, de leur côté, progressé<br />
à 13.787 millions de dinars, contre 10.680 millions de dinars<br />
pour 2011. Ce volume a dégagé des revenus de l’ordre de 131<br />
millions de dinars, alors qu’ils n’étaient que de 63 millions de<br />
dinars en 2011. Pour ce qui des secteurs d’activité, l’année 2012 a<br />
été caractérisée par une croissance notable de nos financements<br />
pour les acteurs de l’automobile et la mise en place d’un crédit de<br />

pour une entreprise de promotion immobilière. Aussi, nos<br />
services distinctifs pour les compagnies de crédit-bail ont maturé<br />
pour faire d’ABC Algeria un partenaire de premier choix pour ce<br />
type d’établissements. Enfin, en 2012, la Banque a procédé à<br />
l’ouverture de 1.264 comptes Corporate contre 548 comptes pour<br />
l’année dernière, ce qui traduit un taux de croissance de 131%.<br />
COMMERCE INTERNATIONAL<br />
En 2012, ABC Algeria a eu à ouvrir 2.950 ouvertures Crédits<br />
documentaires pour un volume de 806 millions de dollars<br />
américains, soit une diminution de 2,5% en nombre et 0.5% en<br />
volume. Elle a eu à traiter 3.522 documents pour un montant de<br />
836 millions de dollars et procéder au règlement de 3.670 crédits<br />
documentaires pour un montant de 851 millions de dollars.<br />
Elle a aussi réglé 1.068 remises documentaires pour un volume<br />
de 122 millions de dollars, en nette progression par rapport à<br />
l’année dernière. Pour ce qui est des garanties internationales,<br />
ABC Algeria a reçu 119 pour un volume de 89 millions de dollars,<br />
soit pratiquement le même niveau que l’année 2011 en volume,<br />
mais en régression par rapport au nombre. Elle a, par ailleurs,<br />
émis 11 contre-garanties export pour un montant de 275.000,00<br />
dollars américains. Pour ce qui est des résultats de ce segment, il<br />
a généré, rien que pour les produits directs, 696 millions de dinars,<br />
alors que pour 2011, ils atteignaient de 649 millions de dinars.<br />
BANQUE DE DÉTAIL<br />
ABC Algeria a développé le marché des particuliers depuis 2006.<br />
Elle vise à le dynamiser par la diversité des offres de produits.<br />
Plusieurs démarches ont été initiées afin de répondre à la<br />
demande spécifique de cette catégorie de clientèle.<br />
L’année 2012 a été particulièrement riche en évènements pour<br />
améliorer les crédits immobiliers afin d’offrir une plus large<br />
panoplie de produits, mais aussi faciliter et mieux encadrer<br />
l’octroi de ce type de crédits. Les révisions annuelles des produits<br />
du crédit immobilier (Soukna) et BFS (Sanad) ont également<br />
permis des changements radicaux visant à soutenir une stratégie<br />
de vente à forte intensité pour les années à venir.<br />
Ainsi, la gamme des crédits immobiliers Soukna a été enrichie<br />
par de nouveaux types, notamment l’achat de terrain et la<br />
construction/extension. Aujourd’hui, les produits Soukna<br />
répondent à la quasi-totalité des besoins de financement<br />
de l’immobilier et permettent à ABC Algeria de devenir un<br />
partenaire de choix pour ce type de crédits.<br />

THE BANK’S FUNDAMENTAL OBJECTIVES<br />

its market share;<br />
l To support and promote the bank’s personnel, to make them<br />
loyal staff members;<br />
l To define a medium term 2011/2015 strategy to assure<br />
continuous growth and make significant margins;<br />
l To offer new products and ensure a better quality of service;<br />
l To extend its network and its area of intervention;<br />
l To reinforce the granting of loans to companies;<br />
l To optimise the bank’s human and logistics resources;<br />
l To comply with and ensure compliance with banking ethics and<br />
regulations.<br />
CORPORATE FINANCING – CORPORATE BANKING<br />
By opening 5 new branches, including one in Annaba and<br />
another in Bejaia, two of the country’s major industrial and<br />
commercial centres, we are targeting new “Corporate” customers<br />
by being closer to them to offer them our services.<br />
In the year 2012, with a greater focus on business and a more<br />
sustained appetite in terms of risk, as well as a reorganisation of<br />
the Corporate department to have greater focus on business, the<br />
Corporate segment and, its underlying, Trade Finance, continue<br />
to be a real driving force for the bank’s business, with the<br />
consolidation of their position within the bank.<br />
The Corporate segment saw a very significant increase in its<br />
level of business. Thus, credit volumes reached the amount of<br />
DZD19,092 million, compared to DZD12,901 million in 2011.<br />
This increase in volume generated revenue of DZD1,212 million<br />
whereas this only amounted to DZD848 million in 2011.<br />
Indirect commitments, namely sureties and other guarantees,<br />
for their part, increased to DZD13,787 million, compared to<br />
DZD10,680 million in 2011. This volume generated revenue of<br />
around DZD131 million, whereas it only amounted to DZD63<br />
million in 2011.<br />
TRADE FINANCE<br />
In 2012, ABC Algeria had to open 2,950 Documentary Credits<br />
for a volume of USD806 million, i.e. down by 2.5% in number<br />
and 0.5% in volume. It had to process 3,522 documents for<br />
an amount of USD836 million and settle 3,670 Documentary<br />
Credits for an amount of USD851 million. It also settled 1,068<br />
Documentary Remittances for a volume of USD122 million,<br />

RETAIL BANKING<br />
ABC Algeria has been developing the retail individuals market<br />
since 2006. It aims to boost it by diversifying its range of<br />
products. Several approaches were initiated in order to respond to<br />
the specific demand of this category of customers.<br />
The year 2012 was particularly rich in events to improve property<br />
loans in order to offer a wider range of products, but also to<br />
facilitate and have better control over granting these types of<br />
loans. The annual reviews of the property loan (SOUKNA) and<br />
BFS (SANAD) products also enabled the bank to make radical<br />
changes in view of supporting a high intensity sales strategy<br />
for the coming years. Thus, the range of SOUKNA property loans<br />
was increased with new types, particularly land purchase and<br />
construction/extension. Today, the SOUKNA products respond to<br />
almost all property financing needs and enable ABC Algeria to<br />
become a first-choice partner for these types of loans.<br />
The SOUKNA range has 5 sub-products:<br />

4. Mortgage refurbishment<br />

With Regard to business sectors, the year 2012 was characterised<br />
by a significant growth in our financing for automotive industry<br />
players and the putting in place of a loan of almost DZD4<br />
billion (USD50 million) for a property development company.<br />
Furthermore, our distinctive services for leasing companies<br />
matured to make ABC Algeria a first-choice partner for this type<br />
of establishment.<br />
Finally, in 2012, the bank opened up 1,264 Corporate accounts,<br />
compared to 548 accounts last year, which means a 131%<br />
growth rate.<br />

Le Crédit Sanad demeure l’autre produit phare du Retail, qui est un<br />
crédit dédié aux professionnels et PME. Depuis son lancement, ce<br />
produit a été continuellement révisé et enrichi avec de nouveaux<br />
paramètres pour permettre une meilleure commercialisation.<br />
Actuellement, le produit Sanad permet le financement des activités<br />
professionnelles des petites entreprises et professions libérales<br />
avec une offre spéciale pour le secteur santé.<br />
D’autres mesures, toutes aussi significatives, ont été prises en<br />
2012 pour soutenir un esprit commercial visant à accélérer les<br />
ventes de produits Retail. La mesure principale est sans doute la<br />
mise en place d’une équipe juridique dédiée à l’activité Retail et<br />
qui a amplement boosté la revue des aspects juridiques et réduit<br />
les délais de déblocages. L’autre facteur décisif a été l’installation<br />
d’une structure crédit avec un responsable crédit, qui a fortement<br />
canalisé les efforts des agences et permis l’amélioration<br />
constante et l’enrichissement de la gamme de nos produits.<br />
L’extension du réseau par 5 nouvelles agences a contribué à<br />
l’accroissement considérable du portefeuille clientèle d’ABC<br />
Algeria. Le nombre de comptes chèques a atteint 18.500 (+15%<br />
par rapport à 2011) alors que celui des comptes courants<br />
(labélisés Retail) se situe à presque 2.000 comptes (+74% par<br />
rapport à 2011). Par ailleurs, les comptes épargne ont également<br />
augmenté à 2.600 comptes (+38% par rapport à 2011).<br />
L’autre fait marquant de l’activité Retail est la rentrée en activité<br />
commerciale des cartes interbancaires.<br />
ABC Algeria est aujourd’hui partie prenante du réseau monétique<br />
national. Elle a surmonté tous les obstacles liés à cette activité et<br />
permis le développement de ce canal à très fort potentiel. Durant<br />
2012, 7.322 cartes ont été émises pour les clients de la Banque.<br />
TRÉSORERIE<br />
L’activité de la trésorerie consiste à la supervision de l’adéquation<br />
des ressources par rapport aux emplois de la Banque. Cette<br />
gestion est reportée au Comité de trésorerie (ALCO) chaque mois,<br />
où des orientations sont données sur la politique à suivre.<br />
L’année 2012 a été globalement bénéfique. Au niveau des<br />
placements, nous avons enregistré une légère évolution des<br />
revenus de l’ordre de 0,7% par rapport à l’exercice précédent, soit<br />
en montant 121 millions de dinars, malgré une baisse de près de<br />
30% en moyenne de volume placé.<br />
Pour ce qui est du marché de change, nous avons eu une nette<br />
progression, que ce soit en volume ou en revenus par rapport à<br />
l’année précédente :<br />
l le volume sur les transferts a connu une progression de l’ordre<br />
de 28,7% par rapport à l’année précédente ;<br />
l le volume des rapatriements a progressé de l’ordre de 57,1%<br />
par rapport à l’année précédente ;<br />
l en revenus, l’évolution a été de l’ordre de 57,3% par rapport<br />
aux produits réalisés l’année précédente.<br />
INFORMATIQUE<br />
La Direction technologie (IT) a continué de fournir le support<br />
technologique et les solutions innovantes pour améliorer les<br />
opérations et les processus de la Banque afin de lui permettre<br />
de délivrer une qualité de service distinguée et un avantage<br />
compétitif tangible.<br />
L’année 2012 a été marquée par les réalisations IT listées cidessous<br />
:<br />
l Nouveau système pour le financement du commerce extérieur :<br />
l’implémentation réussie du système « Trade innovation » est<br />
une réalisation majeure ; cette mise en place est alignée avec la<br />
croissance des revenus générés par l’activité commerce extérieur.<br />
Elle permettra un traitement efficient des opérations tout en<br />
limitant considérablement le risque opérationnel inhérent.<br />
l AML et conformité : pour la fonction AML (lutte contre le<br />
blanchiment), IT a développé et implémenté une panoplie d’outils lui<br />
permettant d’accomplir cette mission d’une manière plus efficace. Ces<br />
outils couvrent entre autres : le monitoring des opérations bancaires et<br />
la génération automatique des alertes, la gestion et l’exploitation des<br />
black-lists, la tenue électronique de la fiche KYC, etc.<br />
l Automatisation des états de la Banque d’Algérie : dans la<br />
continuité de l’automatisation des différents processus de la<br />
Banque, la quasi-totalité des reportings produits par la Direction<br />
des opérations pour la Banque d’Algérie a été automatisée afin<br />
d’assurer la fiabilité des déclarations et éviter le risque d’erreur<br />
origine des traitements manuels.<br />
l Infrastructure informatique et connectivité au niveau du<br />
nouveau site ABCA : la Direction IT a été très impliquée dans<br />
le projet de déménagement vers le nouveau bâtiment de<br />
la Banque, en accomplissant dans les délais les installations<br />
nécessaires en termes d’infrastructures et les liaisons<br />
informatiques (lignes spécialisées, Wimax).<br />
l DRC (site de secours informatique) et BCP (plan de continuité<br />
d’activité) : conformément aux procédures de la Banque, les<br />
systèmes de secours informatiques ont été revus et mis à jour et<br />
des tests concluants ont été conduits pour s’assurer de la fiabilité<br />
de notre DRC et son adéquation avec les exigences du plan de<br />
continuité d’activité de la Banque.<br />

The SANAD Loan is still the other star product of Retail <strong>Banking</strong>,<br />
which is a loan dedicated to professionals and SME. Since its<br />
launch, this product has been continuously revised and enhanced<br />
with new parameters so that it can be sold better. Currently, the<br />
SANAD product enables the financing of the professional activities<br />
of small companies and the liberal professions with a special<br />
offering for the health sector.<br />
Other just as significant measures were taken in 2012 to support<br />
a business spirit with the aim of accelerating the sales of Retail<br />
products. The main measure is undoubtedly the putting in place<br />
of a legal team dedicated to the Retail business and which has<br />
amply boosted the review of legal aspects and reduced the time<br />
it takes for funds to be released.<br />
The other decisive factor was the installation of a credit structure<br />
with a credit manager, which has greatly channelled the efforts<br />
of the branches and has meant that our range of products can be<br />
constantly improved and enhanced.<br />
The extension of the network by 5 new branches contributed<br />
towards the considerable increase in the customer portfolio of<br />
ABC Algeria. The number of chequeing accounts reached 18,500<br />
(+15% compared to 2011), whereas the number of current<br />
accounts (Retail) is around 2,000 accounts (+74% compared to<br />
2011). Furthermore, savings accounts increased to 2,600 accounts<br />
(+38% compared to 2011).<br />
Another highlight for the Retail business is the return to<br />
commercial activity of interbank cards. Today, ABC Algeria is part<br />
of the national financial transaction network. It has overcome all<br />
obstacles related to this activity and allowed for the development<br />
of this high potential channel. During 2012, 7,322 cards were<br />
issued for the Bank’s customers.<br />
TREASURY<br />
The Treasury activity consists of supervising the adequacy of the<br />
resources and the uses of the bank’s funds. This management is<br />
reported to the Treasury Committee (ALCO) each month, where<br />
guidelines are given on the policy to be followed.<br />
The year 2012 was overall beneficial. As regards investments, we<br />
recorded a slight increase in revenue of around 0.7% compared<br />
to the previous financial year, i.e. an amount of DZD121 million,<br />
despite an almost 30% reduction on average of the volume<br />
invested.<br />
As regards the foreign exchange market, we had a net increase,<br />
both in volume and in revenue, compared to the previous<br />
financial year:<br />
l The volume of transfers increased by around 28.7% compared<br />
to the previous year;<br />
l The volume of repatriations increased by around 57.1%<br />
compared to the previous year;<br />
l In revenue, the increase was around 57.3% compared to what<br />
was made in the previous year.<br />
INFORMATION TECHNOLOGY<br />
The IT department continues to provide the technological support<br />
and innovative solutions in order to enhance operations &<br />
processes and enable the bank to deliver a distinguished service<br />
quality and tangible competitive advantage.<br />
2012 was marked by the successful implementation and<br />
achievements listed below:<br />
l New trade finance system: The Trade innovation system<br />
successful implementation is a major achievement. This<br />
implementation is aligned with the growth of our trade finance<br />
business revenue It will allow a more efficient processing of<br />
operations while at the same time decreasing considerably<br />
inherent operational risk.<br />
l AML & Compliance: For the AML function, the IT department<br />
developed and implemented a package of tools and systems<br />
(transactions monitoring and alerts, Black list, electronic KYC…)<br />
enabling this function to accomplish its mission in such a better<br />
effective way.<br />
l Central bank reports automation: In the continuity of processes<br />
automation, most of central bank reporting produced the<br />
Operations Department was automated to ensure data accuracy<br />
and avoid manual processing errors.<br />
l New Building infrastructure & connectivity: IT was highly<br />
involved in the new building moving project by accomplishing<br />
in the deadlines the setup of the required IT infrastructure and<br />
connectivity between the historical HQ and the new premises<br />
(Leased lines & Wimax)<br />
l DRC and Business continuity: as per the bank’s procedure, IT<br />
backup systems were reviewed and upgraded and successful<br />
testing was conducted to ensure the readiness of our DRC as per<br />
the business continuity plan.<br />

RESSOURCES HUMAINES<br />
Avec le développement constant d’ABC Algeria et l’ouverture de nouvelles agences, la Direction des ressources humaines se devait<br />
naturellement d’accompagner cette phase de développement tant en matière d’effectifs qu’en termes de développement des<br />
compétences. Cette année, ABC Algeria a enregistré 75 arrivées pour 47 départs, passant ainsi d’un effectif de 364 employés en 2011 à<br />
392 employés à fin 2012, soit une évolution de 7,7%.<br />
La DRH, acteur incontournable dans la stratégie de développement lancée par la Banque, a contribué activement cette année à l’atteinte<br />
des objectifs tracés, en veillant à un équilibre constant des effectifs de la Banque, en développant davantage les compétences de ses<br />
collaborateurs et, enfin, en améliorant et en optimisant les différents processus de management des ressources humaines. Avec des<br />
apports en effectifs qui ont touché divers pôles, ABC Algeria a également offert la chance à 15 jeunes diplômés d’intégrer ses équipes<br />
dans le cadre du Dispositif d’aide à l’insertion professionnelle (DAIP), leur permettant ainsi de s’immerger dans le monde de la Banque<br />
et d’acquérir leur première expérience professionnelle avec, à la clé, une possibilité de recrutement définitif.<br />
Durant l’exercice 2012, la Banque a assuré 117 actions de formation (interne, externe et à l’étranger), intégrant ainsi de nouvelles<br />
compétences imposées par l’évolution rapide de l’environnement, totalisant un volume horaire de 12 809 heures de formation pour un<br />
coût global de 15 millions de dinars.<br />

Aussi, il y a lieu de noter que les cadres d’ABC Algeria ont pu<br />
bénéficier de :<br />
l Pour les cadres les plus importants : les cadres les plus élevés<br />
ont participé au cycle CRCA (Critical Role Competency Analysis)<br />
qui a consisté à identifier les qualifications et les compétences<br />
dont la Banque aura besoin à l’avenir pour ses postes jugés<br />
critiques et essentiels pour les succès futurs de la Banque. Il a<br />
également fourni des détails sur l’ensemble des compétences<br />
qui existent dans le vivier de talents. Ces mêmes cadres ont<br />
bénéficié d’une formation à l’étranger dans le cadre du cycle TLC1<br />
(Transformational Leadership Conference) animé par un expert<br />
international pour renforcer et consolider leurs compétences<br />
comportementales.<br />
l Une quarantaine de cadres du Corporate du crédit ont bénéficié<br />
d’un premier cycle formation Moody’s sur l’analyse financière. Les<br />
autres cycles sont programmés pour 2013.<br />
Ces formations et autres ateliers fondamentaux ont été réalisés<br />
avec le soutien de l’actionnaire principal, ABC Bsc qui a supporté<br />
les dépenses inhérentes.<br />
Cette année a vu aussi la concrétisation de plusieurs projets RH,<br />
notamment l’optimisation de la gestion des présences avec la<br />
mise en place du « Time Management », qui consiste à doter<br />
l’ensemble des sièges et agences de la banque en appareils<br />
digitaux de pointage.<br />
Par ailleurs, le règlement intérieur de la Banque a été révisé et<br />
approuvé, il est applicable depuis le 21 mai 2012.<br />
Enfin, la DRH aura également pour rôle de renforcer l’identité ABC<br />
en véhiculant au mieux les valeurs du Groupe.<br />

HUMAN RESOURCES<br />
With the constant development of ABC Algeria and the opening of new branches, the Human Resources Department naturally had to<br />
support this phase of development both in terms of numbers of personnel and in terms of developing skills.<br />
This year, ABC Algeria recorded 75 newcomers and 47 departures, thus going from a workforce of 364 employees in 2011 to 392<br />
at the end of 2012, i.e. a 7.7% increase.<br />
The HR Department, an essential stakeholder in the development strategy launched by the Bank, actively contributed this year towards<br />
achieving the objectives set by ensuring a constant balance of the bank’s workforce, developing the skills of its employees further and,<br />
finally, improving and optimising the different human resources management processes.<br />
With new personnel in various areas, ABC Algeria also gave 15 young graduates the opportunity to become part of its teams within the<br />
framework of the action plan for employment promotion (Dispositif d’Aide à l’Insertion Professionnelle - DAIP), thus enabling them to<br />
immerse themselves in the banking world and gain their first professional experience with the possibility of permanent recruitment.<br />
During the financial year 2012, the Bank provided 117 training courses (Internal, External and abroad), thus incorporating new skills<br />
imposed by the rapid evolution of the environment, totalling an hourly volume of 12,809 hours of training for a total cost<br />

It is also fitting to note that the executives of ABC Algeria were<br />
able to benefit from:<br />
l Top executives: The most senior executives participated in the<br />
CRCA (Critical Role Competency Analysis) cycle which consisted<br />
of identifying the qualifications and skills the Bank will need<br />
in the future for roles which are deemed critical and essential<br />
for the future success of the Bank. It also provided details on<br />
all skills existing in the talent pool. These same executives<br />
benefited from training abroad within the framework of the<br />
TLC1 (Transformational Leadership Conference) cycle, run by an<br />
international expert to reinforce and consolidate their behavioural<br />
skills.<br />
l About forty executives from Corporate Credit benefited from<br />
a first training cycle by Moody’s on financial analysis. The other<br />
cycles are scheduled for 2013.<br />
the putting in place of “Time Management” which consists of<br />
giving all the head offices and branches of the bank digital time<br />
register devices.<br />
Furthermore, the internal regulations of the Bank were revised<br />
and approved and have been applicable since 21 May 2012.<br />
Finally, the HR Department will also have the role of reinforcing<br />
the ABC identity by driving the group’s values home.<br />
These training courses and other fundamental workshops were<br />
run with the support of the main shareholder ABC Bsc which paid<br />
for the inherent expenses.<br />
This year also saw the formalisation of several HR projects,<br />
particularly the optimisation of time-at-work management with<br />

<strong>Arab</strong> <strong>Banking</strong> <strong>Corporation</strong> Algeria (ABC Algeria) a été créée en 1998 (agréée à exercer par le Conseil de la monnaie et du crédit en<br />
1998). Elle est filiale d’ABC BSC qui détient la plus grande part du capital (voir le tableau ci-dessous).<br />

CONSEIL D’ADMINISTRATION<br />
Le Conseil d’administration supervise la gestion d’ABC Algeria<br />
et exerce sa responsabilité de contrôle périodiquement lors de<br />
ses sessions. Pour optimiser son rôle de supervision, le Conseil<br />
d’administration d’ABC Algeria a procédé à l’instauration de trois<br />
comités où siègent ses différents membres :<br />
l Le Comité de gouvernance et de compensation ;<br />
l Le Comité d’audit ;<br />
l Le Comité du risque.<br />
Ces comités siègent avant la tenue de la réunion du Conseil<br />
d’administration pour examiner d’une manière plus approfondie<br />
la situation d’ABC Algeria, respectivement dans les domaines<br />
suivants :<br />
l la bonne gouvernance (gestion managériale) et la gestion<br />
optimale des ressources humaines et des compensations y<br />

The Board of Directors oversees the bank’s management<br />
and is responsible for controlling the Bank periodically<br />
<strong>Arab</strong> <strong>Banking</strong> <strong>Corporation</strong> - Algeria ( ABC-A) was founded in 1998 (approved to operate by the Monetary and Credit Committee in<br />
1998). It is a subsidiary of ABC-BSC which owns most of its capital (see the table below).<br />
The bank’s registered capital, initially DZD1.183 billion, was increased to DZD2.67 billion in June 2000 and was further increased, pursuant<br />
to a legal obligation, by the exclusive support of its parent company, to go from DZD2.67 billion to DZD10 billion in 2009.<br />

The Board of Directors oversees the bank’s management and<br />

These committees are responsible for ensuring the holding of the<br />
Board meeting to examine in more depth the situation of the<br />
Bank respectively in the following domains :<br />

DIRECTION GÉNÉRALE<br />
La Direction générale, dirigée par M. Noreddin Nahawi, s’organise<br />
pour optimiser son activité en 11 comités actifs :<br />
l Le Comité de Direction générale (Management Committee)<br />
dont la mission principale est de suivre, en fonction de l’évolution<br />
de la conjoncture, la mise en œuvre de la stratégie d’ABC<br />
Algeria, définie par le Conseil d’administration. Il a pour missions<br />
également de suivre les performances des différentes structures<br />
d’ABC Algeria, l’évolution des grands projets structurants et<br />
d’examiner les questions liées aux ressources humaines ainsi que<br />
les dossiers jugés importants. Durant l’année 2012, le mode de<br />
fonctionnement a été redéfini pour une meilleure gouvernance.<br />
l Le Comité de trésorerie (ALCO) qui traite de la gestion de la<br />
trésorerie, du placement des liquidités et des équilibres actifs/<br />
passifs d’ABC Algeria.<br />
l Le Comité central de crédit qui statue en matière d’octroi de<br />
crédit et qui, par ailleurs, traite des créances non per¬formantes<br />
d’ABC Algeria et suit leur évolution.<br />
l Le Comité local des crédits aux particuliers (LCCC) qui est le<br />
comité local supérieur en charge de l’activité Retail et qui opère<br />
avec une délégation du HOCCC (Head Office Consumer Credit<br />
Committee).<br />
l Le Comité de pilotage informatique dont la mission principale<br />
est de s’assurer de l’adéquation des projets, investissements et<br />
services majeurs de la structure Technologie de l’information<br />
d’ABC Algeria avec les besoins des divers départements<br />
de l’organisation d’ABC Algeria et en décide des priorités,<br />
suivant la stratégie globale et en fonction de la valeur ajoutée<br />
escomptée de ces projets investissements et services, au plan<br />
du déploiement du processus métier et des ressources affectées.<br />
Le Comité veille notamment à s’assurer que les risques liés à<br />
ces projets sont gérés de manière appropriée. Durant l’année<br />
2012, les missions du Comité ont été redéfinies pour un meilleur<br />
encadrement des projets, investissements et services majeurs<br />
conduits/développés par la Technologie de l’information.<br />
l Le Comité de sécurité informatique, créé durant l’année 2012,<br />
constitue une plateforme en charge de superviser le programme<br />
de sécurité informatique, d’analyser et d’évaluer l’impact de la<br />
mise en œuvre des stratégies de sécurité sur l’organisation d’ABC<br />
Algeria. Le Comité est en charge, entre autres, d’approuver les<br />
stratégies et les initiatives en matière de sécurité informatique.<br />
l Le comité de gestion des risques chargé de superviser la<br />
gestion globale des risques et de s’assurer que les politiques,<br />
procédures et contrôles sont efficacement mis en œuvre.<br />
l Le Comité de validation des politiques et des procédures est la<br />
plateforme mise en place pour examiner les projets de politiques<br />
et de procédures élaborées pour les divers pôles d’activité d’ABC<br />
Algeria et d’en approuver l’implémentation. Durant l’exercice<br />
2012, la composition du Comité s’est élargie à la présence du<br />
responsable du Risque et du responsable de la Coordination<br />
des politiques et des procédures dans l’objectif d’améliorer le<br />
processus de décision du Comité.<br />
l Le Comité des nouveaux produits, mis en place en 2012, est la<br />
plateforme habilitée à formuler un avis obligatoire, en prmière<br />
instance du circuit d’approbation des nouveaux produits, sur tout<br />
projet de lancement d’un nouveau produit ; révision des produits<br />
existants et retrait d’un produit de la gamme des produits d’ABC<br />
Algeria.<br />
l Le Comité d’achat est la plateforme chargée d’examiner<br />
et d’approuver, à compter d’un seuil défini, la sélection de<br />
prestataires et/ou fournisseurs d’ABC Algeria comme il a la<br />
charge de valider les cahiers des charges lorsque la rédaction<br />
d’un cahier des charges est requise pour la sélection d’un<br />
fournisseur et/ou d’un prestataire en réponse à des besoins<br />
spécifiques.<br />
l Le Comité plan de continuité de l’activité (Business Continuity<br />
Plan Committee) qui, comme son nom l’indique, prévoit et met<br />
en place les mesures nécessaires pour assurer la continuité de<br />
l’activité en cas de survenance d’un désastre tel qu’un incendie,<br />
un séisme, une émeute populaire, etc.<br />
CONTRÔLE PERMANENT<br />
La Division du contrôle permanent a la charge d’assurer la<br />
coordination et l’efficacité des dispositifs du contrôle permanent.<br />
Cette nouvelle division, qui a été créée en 2012, et qui englobe<br />
les métiers de conformité, juridique, de procédures, de sécurité<br />
informatique et de continuité d’activité, a pour rôle de s’assurer<br />
de la conformité, de la sécurité, de la validation des opérations<br />
réalisées, du respect de toutes les orientations, instructions,<br />
des procédures internes et de toutes autres diligences liées à<br />
la surveillance des risques de toute nature, conformément au<br />
règlement n° 11-08 du 28 novembre 2011 de la Banque d’Algérie.<br />
A ce titre, elle est destinataire de l’ensemble des instructions de<br />
l’exécutif, orientations de l’organe délibérant et des résolutions<br />
des tous les comités de gouvernance de la Banque.<br />
A titre non exhaustif, les missions principales de la division sont :<br />
l Evaluation des risques et mise à jour des référentiels des risques<br />
et des contrôles : il centralise et tient à jour des référentiels<br />
des risques et des contrôles. Dans ce cadre, il fixe un cadre<br />
méthodologique et apporte son assistance pour l’identification<br />
et l’évaluation des risques et pour le choix des contrôles<br />
permanents de 1 er niveau les mieux adaptés.<br />
Il s’assure de l’élaboration de procédures opérationnelles et de<br />
contrôle intégrant ces contrôles permanents.<br />
l Coordination et/ou réalisation des contrôles permanents de<br />
2 e niveau visant à s’assurer de la réalité et du respect du dispositif<br />
de contrôle permanent prévu. Le pôle Contrôle permanent anime<br />
toute la filière composée des contrôleurs dédiés. Il exploite<br />
les différents rapports de contrôle et états de reporting qui lui<br />
sont adressés. Enfin, il assure les relations avec les instances de<br />
régulation et prépare le rapport annuel de contrôle interne à<br />
l’intention de la Banque d’Algérie.<br />
l Identification des risques et mise en œuvre du dispositif de contrôle<br />
adapté : il s’assure, en s’appuyant sur ses propres collaborateurs<br />
et sur les correspondants locaux qui lui sont fonctionnellement<br />
rattachés, que les différents responsables ont identifié leurs risques<br />
et mis en œuvre un dispositif de contrôle adapté.<br />
l Suivi des recommandations : il centralise toutes les<br />
recommandations émises lors de mission d’audit et de contrôle<br />

SENIOR MANAGEMENT<br />
Senior managment, led by Mr. Noreddin Nahawi, is organized to<br />
optimize its activity in 11 active committees:<br />
l The Management Committee whose main mission is to monitor,<br />
depending on the economic situation, the implementation of ABC<br />
Algeria’s strategy, as defined by the Board of Directors. It also<br />
has the mission of monitoring the performances of the different<br />
structures of ABC Algeria, the progress made with the major<br />
structuring projects and examining the issues related to human<br />
resources as well as cases deemed important. In 2012, the<br />
operating mode was redefined for better governance;<br />
l The Asset and Liability Committee (ALCO) which is responsible<br />
for managing the cash flow, the investment of liquid assets and<br />
balanced assets/liabilities of ABC Algeria;<br />
l The Central Credit Committee which makes decisions in terms of<br />
granting loans and which, further, deals with the non-performing<br />
debts of ABC Algeria and monitors their evolution;<br />
l The Local Consumer Credit Committee (LCC) which is the<br />
supreme local committee in charge of the Retail business and<br />
which operates with a delegation from the HOCCC (Head Office<br />
Consumer Credit Committee);<br />
l The IT Steering Committee whose main mission is to ensure that<br />
the projects, investments and major services of the Information<br />
Technology structure of ABC Algeria are in line with the needs<br />
of the various departments of the ABC Algeria organisation and<br />
decides on their priorities in accordance with the overall strategy<br />
and depending on the expected added value of these projects,<br />
investments and services, as the business process is rolled out,<br />
and the resources affected. The Committee ensures in particular<br />
that the risks related to these projects are managed appropriately.<br />
In 2012, the missions of the Committee were redefined for better<br />
supervision of the projects, investments and major services<br />
conducted/developed by Information Technology.<br />
l The IT Security Committee, created in 2012, is a platform in<br />
charge of supervising the IT security programme, of analysing<br />
and evaluating the impact of the implementation of security<br />
strategies on the organisation of ABC Algeria. The Committee is<br />
responsible, inter alia, for approving the strategies and initiatives<br />
in the field of IT security.<br />
l The Risk Management Committee is responsible for supervising<br />
the overall management of risks and assuring that the policies,<br />
procedures and controls are effectively implemented.<br />
l The Policies and Procedures Validation Committee is the<br />
platform put in place to examine the planned policies and<br />
procedures drawn up for the various business areas of ABC<br />
Algeria and to approve their implementation. In 2012, the<br />
composition of the Committee was extended to include the Head<br />
of Risk and the Head of Policies and Procedures Coordination in<br />
view of improving the decision-making process of the Committee.<br />
l The New Products Committee, put in place in 2012, is the<br />
platform authorised to formulate a mandatory opinion, at 1st<br />
instance of the new products’ approval circuit, on any plan to<br />
launch a new product; it reviews the existing products and<br />
withdraws a product from the product range of ABC Algeria.<br />
l The Purchasing Committee is the platform responsible for<br />
examining and approving, from a defined threshold, the selection<br />
of service providers and/or suppliers of ABC Algeria and is also<br />
responsible for validating the briefs when the drafting of a brief<br />
is required for selecting a supplier and/or service provider to<br />
respond to specific needs.<br />
l The Business Continuity Plan Committee which, as its name<br />
indicates, plans and puts in place the necessary measures to<br />
ensure continuity of business in case of the occurrence of a<br />
disaster such as a fire, an earthquake, a riot, etc.<br />
PERMANENT CONTROL<br />
Permanent Control Division is responsible for ensuring the<br />
coordination and efficiency of permanent control.<br />
This division was created in 2012 and encompasses the areas<br />
of compliance, legal, procedures, and IT security and business<br />
contintuity.<br />
Its mission is to ensure compliance, security, validation of<br />
transactions, compliance with all guidelines, instructions, internal<br />
procedures and any other procedures related to the monitoring of<br />
all risks in accordance with Regulation No. 11-08 of 28 November<br />
2011 of CBA.<br />
As such, this division is the recipient of all instructions of<br />
the Management, Board orientations and resolutions of all<br />
governance committees.<br />
The following is a non-exhaustive list of the main tasks of this<br />
division:<br />
l Risk assessment and update repositories and risk controls:<br />
It centralizes and maintains standards and risk controls. In<br />
this context, it sets a methodological framework and assists<br />
in identifying and evaluating risks and in selecting the most<br />
appropriate permanent controls of the 1st level. It ensures the<br />
development of operational procedures and control incorporating<br />
these permanent controls.<br />
l Coordination and / or implementation of permanent controls<br />
2nd level to ensure the effective adherence to the permanent<br />
controls in place. The division leads the whole chain composed<br />
of dedicated controllers. It exploits various audit reports<br />
and reporting statements sent to it. Moreover, it maintains<br />
relationships with regulatory authorities and prepares the annual<br />
internal control report for the Bank of Algeria.<br />
l Risk identification and implementation of suitable control<br />
systems: it ensures, based on its own staff and local<br />
correspondents that are functionally related, that the different<br />
managers have identified risks and implemented adequate<br />
control measures.<br />
l Follow up recommendations: it centralizes all the<br />
recommendations of internal and/or external audits (Permanent<br />
Control, Internal Audit, Audit HO, Regulatory Authorities, External<br />
auditors, CAC etc..) and ensures their implementation by the<br />
operational departments concerned in a reasonable timeframe.<br />

internes et/ou externes (contrôle permanent, audit interne,<br />
autorités de régulation, commissaires aux comptes, etc.) et<br />
s’assure de leur mise en œuvre par les directions opérationnelles<br />
dans les délais raisonnables.<br />
l Le Plan de continuité d’activité : il est chargé d’élaborer le plan<br />
et les procédures de continuité d’activité. Il procède régulièrement<br />
à des tests de bon fonctionnement de ce plan.<br />
l Mise en œuvre du dispositif de contrôle interne dans la filiale<br />
ALC : le périmètre d’activité du contrôle interne est élargi à<br />
toutes les sociétés apparentées (contrôlées intégralement ou<br />
conjointement) ; de ce fait, il veille à la mise en œuvre des<br />
dispositifs au sein de l’entreprise et intègre les résultats de ces<br />
contrôles dans les rapports périodiques.<br />
CONFORMITÉ<br />
ABC Algeria s’est définitivement engagée à respecter toutes les<br />
dispositions réglementaires en vigueur en Algérie et de faire<br />
siennes la bonne pratique et les normes applicables au secteur<br />
des finances. Pour ce faire, le Compliance Officer se charge de :<br />
l élaborer et tenir à jour le dispositif juridico-légal en vigueur au<br />
sein de ABC Algeria ;<br />
l veiller en permanence à la conformité des actes et de gestion<br />
de la Banque à ce dispositif ;<br />
l effectuer des contrôles de conformité et fournir assistance aux<br />
différentes structures de la Banque ;<br />
l mettre en œuvre les actions de lutte antiblanchiment et de<br />
financement du terrorisme ;<br />
l s’assurer que les procédures sont en conformité avec les lois et<br />
règlements, avant d’être approuvées par le Comité de validation<br />
des procédures (approbation de la conformité) ;<br />
l informer la Division du contrôle permanent et la Direction de<br />
l’audit interne de toutes lois ou règlements (nouveau texte ou<br />
mise à jour) ;<br />
l coordonner la transmission du rapport annuel du contrôle<br />
interne à la Banque d’Algérie.<br />
ABC Algeria a élaboré des politiques et des procédures contenant<br />
des directives précises à l’endroit de son personnel en termes de<br />
conformité, de sanctions internationales, d’acceptation de la clientèle,<br />
de traitement de plaintes et réclamations de la clientèle et de<br />
bonne application des lois en vigueur et au respect des normes les<br />
plus strictes. Elle a adopté également un Code de conduite et de<br />
déontologie qui reprend toutes les règles d’éthique imposables dans<br />
les métiers de la Banque.<br />
Le Compliance Officer est également en charge du volet «lutte<br />
contre le blanchiment d’argent et du financement du terrorisme».<br />
Il est nommé Money laundering Reporting Officer (MLRO) et<br />
rapporte directement au Group MLRO, au Senior Management et<br />
au Conseil d’Administration. Parmi ses tâches principales, notons<br />
celles qui consistent à transmettre les déclarations de soupçon à la<br />
CTRF, mettre en place les systèmes, les contrôles, les politiques et<br />
les procédures AML, ainsi que la programmation d’une formation<br />
adéquate en faveur des employés. Il se charge également d’assurer<br />
une adhérence aux principes internationaux dans ce volet.<br />
La Direction de la conformité/AML s’est attelée cette année<br />
à renforcer les acquis des années précédentes et à contribuer<br />
par la mise en place de nouvelles politiques et procédures dans<br />
la prévention de la Banque contre toute menace ou défaut de<br />
non-conformité, notamment après la promulgation du nouveau<br />
règlement 11-08 du 28 novembre 2011, relatif au contrôle interne<br />
des banques et établissements financiers, le règlement<br />
12-03 relatif à la prévention et à la lutte contre le blanchiment<br />
d’argent et le financement du terrorisme et l’instruction 03-2012<br />
fixant la procédure relative au droit au compte. Le contrôle étant<br />
aujourd’hui l’affaire de tous, les employés sont régulièrement<br />
sensibilisés sur la nécessité de s’intéresser à toutes les transactions<br />
effectuées par la clientèle aux fins de parvenir à en identifier celles<br />
qui sortent de l’activité normale du client.<br />
Pour ce faire, la Banque a intensifié les actions de formation et de<br />
sensibilisation au profit de son personnel, en mettant en place un<br />
programme ambitieux qui a vu l’organisation de cinq actions de<br />
formation en externe et dix en interne, dont une formation sur le<br />
blanchiment d’argent « On line », en collaboration avec la maison<br />
mère et la société Thomson Reuters.<br />
Cette année a également connu l’intensification des missions de<br />
conformité au niveau des agences de l’intérieur du pays, missions<br />
ponctuées par des formations sur le blanchiment d’argent en<br />
faveur des employés desdites agences et la mise en place de<br />
nouvelles applications informatiques, à l’image de la fiche KYC<br />
électronique et les rapports d’alerte sur les transactions suspectes.<br />
AUDIT INTERNE<br />
La Direction de l’audit interne est rattachée administrativement au<br />
Directeur Général et hiérarchiquement au Comité d’Audit d’ABC<br />
Algeria (sous-comité du Conseil d›Administration). L’étendue des<br />
travaux de l’audit interne comprend l›examen des procédures de<br />
gestion des risques, des systèmes de contrôle interne, d›information<br />
et du processus de gouvernance pour atteindre les buts et objectifs<br />
fixés dans son plan annuel et cela à travers l’examen :<br />
l de la fiabilité et l›intégrité des informations financières et des outils<br />
de gestion ;<br />
l des dispositifs mis en place pour s’assurer de la conformité de la<br />
Banque aux politiques, procédures, lois et règlements et susceptibles<br />
d’avoir un impact significatif sur les opérations et les reporting ;<br />
l de l’existence de actifs de la Banque et des moyens mis en place<br />
pour leur protection ;<br />
l de l’efficacité des dispositifs de gestion des risques ;<br />
l de l’efficacité dans la mise en place des recommandations des<br />
divers corps de contrôle.<br />
En sus des dispositions réglementaires locales traitant de l’audit<br />
interne notamment le règlement 11-08 du 28 novembre 2011<br />
relatif au contrôle interne des banques et établissements financiers,<br />
la Direction d’Audit Interne adhère aux divers codes, aux normes<br />
et meilleures pratiques professionnelles de l’Institut des Auditeurs<br />
Internes (IIA) ainsi qu’aux rapports et recommandations du Comité<br />
de Bâle sur le Contrôle bancaire.<br />

l The Business Continuity Plan: It is responsible for developing<br />
the plan and procedures for business continuity. It regularly tests<br />
functioning of this plan.<br />
l Implementation of internal control in the subsidiary ALC: The<br />
scope of activity of internal control is extended to all related<br />
companies (wholly or jointly controlled), thus it ensures the<br />
implementation of systems control within the affiliate and<br />
integrates the results of these checks in the periodic reports.<br />
COMPLIANCE<br />
ABC Algeria is fully committed to complying with all regulatory<br />
provisions in force in Algeria and to adopting best practices and<br />
the standards applicable to the finance sector. To do this, the<br />
Compliance Officer is responsible for:<br />
l drawing up and keeping updated the legal mechanism in force<br />
within ABC Algeria;<br />
l ensuring constant compliance of the acts and management of<br />
the bank with this mechanism;<br />
l carrying out compliance checks and providing assistance to the<br />
bank’s different structures;<br />
l implementing anti-money laundering and the financing of<br />
terrorism actions;<br />
l assuring that the procedures comply with the law and<br />
regulations, before being approved by the Procedure Validation<br />
Committee (compliance approval);<br />
l informing the Ongoing Audit and Internal Audit Departments of<br />
all laws or regulations (new text or update);<br />
l coordinating the sending out of the annual internal control<br />
report to the Bank of Algeria.<br />
ABC Algeria has drafted policies and procedures containing<br />
specific guidelines for its personnel in terms of compliance,<br />
international sanctions, acceptance of customers, dealing with<br />
complaints and claims made by customers and the correct<br />
application of the laws in force and compliance with the strictest<br />
standards. It has also adopted a Code of Conduct and Ethics which<br />
contains all rules of ethics which can be imposed in the business<br />
areas of the bank.<br />
The Compliance Officer is also responsible for the “fighting against<br />
money laundering and the financing of terrorism” function. He<br />
is appointed Money Laundering Reporting Officer (MLRO) and<br />
reports directly to the Group MLRO, to the Senior Management<br />
and to the Board of Directors. His main tasks include notions<br />
which consist of sending suspicious transaction reports to the<br />
CTRF and putting in place the AML procedures, policies, controls<br />
and systems as well as scheduling appropriate training for<br />
employees. He is also in charge of assuring compliance with the<br />
international principles on this matter.<br />
This year, the Compliance/AML Department set about reinforcing<br />
what has been learned from the previous years and contributing<br />
to the implementation of new policies and procedures so that<br />
the Bank can be protected against any threat or lack of noncompliance,<br />
particularly after the promulgation of the new<br />
Regulation 11-08 of 28 November 2011 on the internal audit<br />
of banks and financial institutions, the Regulation 12-03 on the<br />
prevention and the fight against money laundering and the<br />
financing of terrorism and the Instruction 03-2012 establishing<br />
the procedure as to the right to an account.<br />
As audit today is everyone’s job, employees are regularly<br />
informed as to the need to look into all the transactions carried<br />
out by customers in order to identify those which are not part<br />
of the normal activity of the customer. To do this, the bank has<br />
intensified the training and awareness-raising actions of its<br />
personnel by putting in place an ambitious programme which has<br />
seen the organisation of five external training courses and ten<br />
internal ones, including an on-line course on money laundering in<br />
collaboration with the parent company and Thomson Reuters.<br />
This year has also seen the intensification of compliance missions<br />
in the branches inside the country; these missions are supported<br />
by training courses on money laundering given to the employees<br />
of these branches and the putting in place of new computer<br />
applications such as the electronic KYC sheet and the warnings<br />
reports on suspicious transactions.<br />
INTERNAL AUDIT<br />
The Internal Audit Department reports administratively to the<br />
Managing Director and hierarchically to the Audit Committee of<br />
ABC Algeria (sub-committee of the Board of Directors).<br />
The extent of the internal audit works includes the examination<br />
of the risk management procedures, the internal audit systems,<br />
the information systems and the governance process in order to<br />
achieve the goals and objectives fixed in its annual plan through<br />
examining:<br />
l the reliability and integrity of the financial information and<br />
management tools;<br />
l the mechanisms put in place to assure that the Bank complies<br />
with the policies, procedures, laws and regulations and those<br />
likely to have a significant impact on operations and reporting;<br />
l the existence of the Bank’s assets and the means put in place<br />
to protect them;<br />
l the effectiveness of the risk management mechanisms;<br />
l the effectiveness in the implementation of the<br />
recommendations of the various audit bodies.<br />
In addition to the local regulatory provisions as to internal audit<br />
particularly the Regulation 11-08 of 28 November 2011 on the<br />
internal audit of banks and financial institutions, the Internal<br />
Audit Department adheres to the various codes, standards and<br />
best professional practices of the Institute of Internal Auditors<br />
(IIA) as well as the reports and recommendations of the Basel<br />
Committee on Bank Audit.<br />

La gestion du risque à ABC Algeria est en constante évolution ;<br />
les outils d’identification, de mesure et d’analyse des risques sont<br />
continuellement revus et améliorés pour être en conformité avec<br />
les contraintes réglementaires et les directives du Groupe.<br />

A ce titre, une méthode uniforme de classification des risques est<br />
mise en place.<br />
Les risques sont globalement gérés au sein de trois comités :<br />
l Comité central de crédit et le Local Consumer Credit Committee<br />
qui veillent notamment au respect de la politique de crédit,<br />
chacun pour le type de clientèle qui le concerne.<br />
l Comité ALCO chargé de définir la stratégie à moyen et long<br />
terme ainsi que les actions à court terme pour une gestion<br />
prudente de l’actif/passif.<br />
l Comité de gestion des risques dont l’objectif global est la revue<br />
des risques encourus par la Banque, qu’il s’agisse de risques<br />
réglementaires, de conformité ou de risques opérationnels.<br />
Additivement à ces trois comités, et conformément à la<br />
réglementation en vigueur et aux recommandations du Groupe,<br />
un comité des nouveaux produits a été mis en place en juin<br />
2012. Ce comité a pour principale mission de s’assurer que<br />
l’ensemble des risques ont été identifiés, cernés et maîtrisés<br />
avant le lancement d’un nouveau produit. Il se prononce<br />
également sur la révision d’un produit existant ou le retrait d’un<br />
produit de la gamme de produits offerts par la Banque.<br />
La Division crédit et risque, sous la responsabilité hiérarchique<br />
du Directeur général, a à sa charge la politique de crédit et<br />
les politiques de gestion du risque ainsi que les procédures<br />
y afférentes. La Direction du crédit se charge de la gestion<br />
du risque crédit et la Direction du risque suit les risques<br />
opérationnels, retail, liquidité et veille au respect des procédures<br />
en matière de sécurité informatique.<br />
GESTION DU RISQUE<br />
1. Risque opérationnel<br />
Durant l’année 2012, la gestion du risque opérationnel a<br />
poursuivi le développement de son approche. Ainsi, des<br />
questionnaires mensuels sont collectés des diverses structures de<br />
la Banque, visant ainsi à améliorer le dispositif de remontée de<br />
l’information. Dans le même ordre d’idées, des correspondants<br />
risque opérationnel (championships) ont été désignés pour les<br />
structures les plus sensibles, en agence et en central.<br />
Ces correspondants viendront renforcer la première ligne de<br />
défense de la Banque et participeront à la mise en place et au<br />
suivi des initiatives de risque opérationnel.<br />
Risk Control Self Assessment<br />
Par ailleurs, après avoir finalisé les RCSA (Risk Control Self<br />
Assessment) par ligne métier, le département risque opérationnel<br />
se charge, en collaboration avec les différents départements<br />
de la Banque, d’établir des RCSA par processus permettant, à<br />
terme, d’avoir une vision globale du profil de risque des lignes<br />
métiers et des processus clés de la Banque. Parallèlement à cela,<br />
des standards de contrôle proposés par le Groupe sont au fur<br />
et à mesure mis en place, tout en étant adaptés à la nature et<br />
au volume de l’activité. Le Comité de gestion des risques, qui a<br />
été mis en place en 2011, poursuit ses missions de supervision<br />
des risques (opérationnels, réglementaires, de conformité…). Sa<br />
périodicité a néanmoins été revue. Il se tient une fois tous les<br />
deux mois, et plus au besoin. Six comités ont été tenus en 2012.<br />
2. Sécurité informatique (ITSO)<br />
L’activité du département Sécurité informatique s’est articulée<br />
autour de :<br />
l BCP : le plan de continuité d’activité (Business Continuity Plan)<br />
a connu durant cette année la mise en œuvre de la procédure<br />
de secours applicable aux agences ainsi que la mise à jour des<br />
procédures de secours propres aux structures centrales.<br />
l Gestion des habilitations : il s’agit de réglementer l’accès au parc<br />
applicatif de la Banque. Ainsi, la politique générale a été validée<br />
ainsi que deux autres procédures pour les applications SWIFT et<br />
IMAGECHEQUE.<br />

Risk Management in ABC Algeria is being constantly developed;<br />
risk identification, measurement and analysis tools are<br />
continually reviewed and improved in order to comply with the<br />
regulatory constraints and the instructions of the Group.<br />
Risk Management in ABC Algeria is being constantly<br />

Group. To this end, a uniform risk classification method has been<br />
adopted.<br />
The risks are managed overall within three committees:<br />
l The Local Credit Committee and the Local Consumer Credit<br />
Committee which particularly ensure compliance with the credit<br />
policy for each type of customer concerning it.<br />
l The ALCO committee responsible for defining the medium and<br />
long term policy as well as the short-term actions for prudent<br />
management of assets and liabilities.<br />
l The Risk Management Committee whose overall objective is to<br />
review the risks incurred by the bank whether these pertain to<br />
regulatory risks, compliance risks or operational risks.<br />
In addition to these three committees, and in accordance with<br />
the regulations in force and the recommendations of the Group,<br />
a new products committee was put in place in June 2012. The<br />
main mission of this committee is to ensure that all risks have<br />
been identified, detected and controlled before launching a new<br />
product. It also makes decisions on the revision of an existing<br />
product or the withdrawal of a product from the range of<br />
products offered by the Bank.<br />
The Credit and Risk Division, which reports directly to the Deputy<br />
CEO, is responsible for the credit policy and the risk management<br />
policies as well as the related procedures. The Credit Department<br />
is responsible for managing the credit risk and the Risk<br />
Department monitors the operational, retail and liquidity risks and<br />
ensures compliance with the procedures in terms of IT security.<br />
will participate in the implementation and the monitoring of the<br />
operational risk initiatives.<br />
Risk Control Self Assessment<br />
Further, after finalising the RCSA (Risk Control Self Assessment)<br />
by business line, the operational risk department, in collaboration<br />
with the different departments of the Bank, is responsible for<br />
setting up the RCSAs by process which, eventually, will enable<br />
it to have an overall view of the risk profile of the business lines<br />
and the key processes of the Bank.<br />
In parallel to this, audit standards proposed by the Group are<br />
progressively put in place whilst being adapted to the nature and<br />
to the volume of the business.<br />
The risk management committee which was put in place 2011<br />
is continuing its risk supervision missions (operational risk,<br />
regulatory risk, compliance, etc.). Its frequency has however been<br />
revised. It is now held once every two months and more when<br />
need be. 6 committees were held in 2012.<br />
2. IT Security and Business Continuity Management<br />
The activity of the IT Security Department is focused around:<br />
l BCP: the Business Continuity Plan this year saw the<br />
implementation of the back-up procedure applicable to the<br />
branches as well as the updating of the back-up procedures<br />
specific to the central structures;<br />
l Management of authorisations: this means regulating access<br />
to the bank’s applications. Thus, the general policy has been<br />
validated as well as two other procedures for the SWIFT and<br />
IMAGECHEQUE applications;<br />
RISK MANAGEMENT<br />
1. Operational Risk<br />
In 2012, management of the operational risk pursued the<br />
development of its approach. Thus, monthly questionnaires are<br />
collected from the various structures of the Bank thus aiming<br />
to improve the information feedback mechanism. Likewise,<br />
operational risk champions have been appointed for the most<br />
sensitive structures, both in the branches and centrally. These<br />
champions will reinforce the Bank’s front line of defence and<br />

3. Risque de liquidité<br />
ABC Algeria, à l’instar des autres banques du pays, est en<br />
situation de surliquidité depuis de nombreuses années. La<br />
décision de l’autorité monétaire d’augmenter le capital minimum<br />
des banques à 10 milliards de dinars a accentué ce phénomène<br />
bien que la Banque d’Algérie ait mis en place des moyens pour<br />
éponger cette surliquidité tels que la reprise de liquidité<br />
et la facilité de dépôt rémunérée.<br />
Le risque de liquidité reflète la capacité de la Banque à satisfaire<br />
les demandes de retraits de sa clientèle et de s’acquitter de ses<br />
diverses obligations envers ses créanciers sur une période de<br />
court terme. Afin de vérifier cette capacité, la direction du risque<br />
se charge de suivre le niveau des réserves obligatoires maintenu,<br />
des ratios réglementaires de liquidité et d’établir des scénarios<br />
de stress tests trimestriellement. Ces scénarios sont par la suite<br />
communiqués au comité ad hoc. Par ailleurs, la Banque dispose<br />
d’une politique de gestion de la liquidité dans laquelle sont<br />
mentionnés les obligations réglementaires à respecter, les outils<br />
de gestion, de suivi et de contrôle. La politique précise également<br />
les modalités de gestion d’une crise éventuelle de liquidité.<br />
GESTION DU CRÉDIT<br />
Les principales missions de la Direction du crédit sont de :<br />
l Approuver/recommander les crédits après s’être assurée :<br />
– de l’acceptabilité du risque dans les normes de rentabilité ;<br />
– de la conformité au processus de crédit tel que défini par<br />
la réglementation BA et la politique du Groupe.<br />
l Se doter d’outils de pilotage des risques et d’un MIS<br />
(Management Information System) performant.<br />
l Mener les diligences nécessaires en termes de suivi et de<br />
surveillance continus des risques, et veiller, en cas de besoin, à<br />
leur classement et à la constitution de provisions.<br />
l Tracer les orientations et directives permettant à la Banque une<br />
gestion efficace des risques et de la rentabilité des crédits.<br />
l Organiser et suivre l’exécution du recouvrement contentieux en<br />
étroite collaboration avec le Département des affaires juridiques.<br />
l Veiller à la mise en œuvre de politiques claires en matière de crédit<br />
en conformité avec la réglementation BA et la politique du Groupe.<br />
l Assurer une stricte adhésion aux politiques et procédures de<br />
crédit.<br />
l Approbation des crédits, conformément aux limites autorisées<br />
et aux pouvoirs délégués, suivi des crédits, révisions annuelles,<br />
classification et niveaux de provisions, etc.<br />
l Assurer la formation crédit.<br />
1. Distribution des engagements par rating (qualité du<br />
portefeuille)<br />
Comme on peut le constater dans le tableau ci-dessous, ABC<br />
Algeria a réussi à maintenir un portefeuille de qualité en 2012,<br />
sachant que plus de 99% du portefeuille sont considérés de<br />
qualité satisfaisante, et plus. A noter que ce taux était de 97%<br />
en 2011 et de 95% en 2010.<br />

l Training and awareness-raising: in addition to the awarenessraising<br />
messages dedicated to IT security, ONLINE training,<br />
initiated by the group, was launched in December 2012.<br />
3. Liquidity risk<br />
ABC Algeria, just like the country’s other banks, has been in a<br />
situation of surplus liquidity for many years. The decision of the<br />
monetary authority to increase the minimum capital of banks to<br />
ten billion dinars has accentuated this phenomenon, although<br />
the Bank of Algeria has put in place means to reduce this surplus<br />
liquidity, such as the liquidity reversal and the compensated<br />
deposit facility.<br />
The liquidity risk reflects the Bank’s capacity to satisfy the<br />
withdrawal requests of its customers and to pay its various<br />
obligations to its creditors in the short-term. To check this capacity,<br />
the risk management department is responsible for monitoring the<br />
level of the mandatory reserves held, the regulatory liquidity ratios,<br />
and for establishing stress tests scenarios on a quarterly basis.<br />
These scenarios are then notified to the ad hoc committee. Further,<br />
the Bank has a liquidity management policy which mentions<br />
the regulatory obligations to be respected the management,<br />
monitoring and audit tools. The policy also specifies the terms of<br />
managing a potential liquidity crisis.<br />
CREDIT MANAGEMENT<br />
The main missions of the Credit Department are:<br />
l To Approve / Recommend loans after being assured:<br />
– Of the acceptability of the risk in the return standards<br />
– Of compliance with the credit process such as defined by<br />
the Central Bank and the Group’s policy.<br />
l To have risk management tools and a performing MIS<br />
(Management Information System);<br />
l To carry out the necessary monitoring in terms of continuous<br />
supervision and overseeing of risks, and ensuring, where need<br />
be, that provisions are made;<br />
l To outline guidelines and instructions enabling the bank to<br />
have effective management of risks and returns on loans;<br />
l To organise and monitor the recovery of bad debts in close<br />
collaboration with the Legal Department;<br />
l To ensure the implementation of policies in terms of lending in<br />
accordance with the Central Bank and the Group’s policy;<br />
l To assure strict compliance with the lending procedures and<br />
policies.<br />
l Approval of loans in accordance with the limits authorised<br />
and powers delegated, monitoring of loans, annual revisions,<br />
classification and levels of provisions, etc.<br />
l To assure credit training.<br />

4. Recovery<br />
In terms of recovery, the bank achieved, at the end of 2012, the amount of DZD128 million in debts recovered:<br />
- With regard to corporate, the amount recovered is DZD93 million, of which DZD59 million in principal, and DZD12 million in interest,<br />
while provision reversals were DZD22 million.<br />
- With regard to Retail, the amount covered is DZD35 million, of which DZD 4million in principal, and DZD 1million in interest, while the<br />

Conformément aux dispositions légales, notamment le Code de Commerce et la Loi sur la Monnaie et le Crédit, nous avons examiné<br />
les états financiers de ARAB BANKING CORPORATION <strong>ALGERIA</strong>, tel qu’il s’établissaient au 31 décembre 2012, selon la forme des<br />
documents de synthèse prévus par les règlements n°09-04 du 23 juillet 2009, et n°09-05 du 18 octobre 2009 de la Banque<br />
d’Algérie. Notre mission a été effectuée conformément aux normes d’audit généralement admises. Nos contrôles ont consisté à<br />
examiner, sur la base de tests, les éléments justifiant les montants présentés dans les états financiers. Un audit consiste également à<br />
évaluer les principes comptables appliqués et les estimations significatives faites par la Direction, ainsi que la présentation des états<br />
financiers dans leur ensemble.<br />
L’audit inclut l’examen, par sondages, des justifications des montants et des informations rapportées dans les états financiers. L’audit<br />
inclut également l’appréciation des principes comptables utilisés et les estimations significatives faites par la Direction, de même que<br />
l’évaluation de la présentation globale des états financiers.<br />
Nous certifions que les comptes annuels de ARAB BANKING CORPORATION-<strong>ALGERIA</strong> sont au regard des règles et principes comptables<br />
applicables en Algérie et qu’ils donnent une image fidèle du résultat arrêté au 31 décembre 2012 ainsi que la situation financière et<br />
du patrimoine.<br />

as of December 31, 2012, the income statement, the statement of changes in equity, the cash flow statement for the year then<br />
ended, and a summary of significant accounting policies and other explanatory information.<br />
Management Responsibility for the Financial Statements<br />
The Management is responsible for the préparation of these financial statements in accordance with the Algerian generally accepted<br />
accounting principles, as well as for the internai control that the Management considers necessary to enable the préparation of<br />
financial statements that are without any material misstatement, whether due to fraud or error.<br />
Auditor’s Responsibility<br />
Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance<br />
with International Standards on Auditing. Those standards require that we comply with ethical requirements and that we plan and<br />
perform the audit to obtain reasonable assurance about whether the financial statements are without any material misstatement.<br />
An audit involves performing procédures to obtain audit évidence about the amounts and disclosures in the financial statements.<br />
The selected procédures dépend on the auditor’s judgment, including the assessment of the risks of material misstatement in the<br />
financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers the internai control<br />
relevant to the préparation of the financial statements by the entity, in order to design audit procédures that are appropriate under<br />
the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s internai control. An audit also<br />
includes evaluating the appropriateness of the accounting policies used and the reasonableness of accounting estimâtes made by the<br />
Management, as well as evaluating the présentation of the financial statements.<br />
We believe that the audit évidence we hâve obtained is sufficient and appropriate to provide a basis for our audit opinion.<br />

1. Règles et méthodes comptables<br />
La tenue de la comptabilité ainsi que l’établissement des états<br />
financiers d’ABC Algeria sont effectués aux normes édictées par<br />
la loi 07-11 portant Système comptable financier et les textes pris<br />
pour son application.<br />
Elle est également régie par les normes sectorielles spécifiques,<br />
notamment le règlement Banque d’Algérie 09-04 portant plan de<br />
comptes bancaires et règles comptables applicables aux banques<br />
et établissements financiers, le règlement Banque d’Algérie<br />
09-05 relatif à l’établissement et à la publication des états<br />
financiers des banques et établissements financiers, le règlement<br />
Banque d’Algérie 09-08 relatif aux règles d’évaluation et de<br />
comptabilisation des instruments financiers par les banques et<br />
établissements financiers et le règlement Banque d’Algérie 94-18<br />
portant comptabilisation des opérations en devises.<br />
Les opérations sont comptabilisées en respectant le principe de la<br />
séparation des exercices : les intérêts et commissions assimilées<br />
sont enregistrés au compte de résultat prorata temporis ; les<br />
autres commissions ainsi que les autres revenus sont enregistrés<br />
lors de leur encaissement ou de leur paiement.<br />
Les engagements de financement sont inscrits en hors bilan à<br />
mesure qu’ils sont contractés et sont transférés au bilan au fur et<br />
à mesure des déblocages de fonds pour la valeur nominale.<br />
La commission d’étude ou de gestion est prise en compte en<br />
totalité parmi le résultat à l’issue du premier déblocage.<br />
Les revenus des prêts à intérêts précomptés sont pris en compte,<br />
à l’échéance convenue, dans un compte de créance rattachée<br />
de régularisation et sont portés en résultat au prorata temporis<br />
à chaque arrêté comptable. Les revenus des prêts à intérêts post<br />
comptés sont pris en compte en résultat à mesure qu’ils sont<br />
courus. Les intérêts relatifs aux prêts classés parmi les créances<br />
courantes, au sens de l’instruction Banque d’Algérie 74- 94<br />
modifiée et complétée, sont portés au résultat à mesure qu’ils<br />
sont courus. Toutefois, les intérêts courus ou échus et non encore<br />
encaissés relatifs aux prêts et créances classés parmi les créances<br />
très risqués (catégorie 3) ou créances compromises (catégorie<br />
4), au sens de l’instruction Banque d’Algérie 74- 94, sont inscrits<br />
en actif sous le poste « agios réservés ». Ces intérêts sont pris en<br />
compte en résultat lors de leur encaissement effectif.<br />
Les actifs de la Banque sont évalués au coût historique hormis<br />
les créances sur clients qui sont évaluées, conformément au<br />
règlement 09-08 suscité. Les provisions sur créances classées<br />
sont calculées conformément à l’instruction 74-94 relative à<br />
la fixation des règles prudentielles de gestion des banques et<br />
établissements financiers.<br />
Les actifs immobilisés sont évalués, à leur date d’entrée dans<br />
le patrimoine, au coût d’acquisition égal au prix d’achat majoré<br />
des frais et accessoires nécessaires à la mise en état d’utilisation<br />
du bien. Les dépréciations des éléments d’actif immobilisé sont<br />
constatées par l’amortissement.<br />
Les opérations en devises sont enregistrées en comptabilité,<br />
selon les méthodes et règles d’évaluation définies par le<br />
règlement 94-18 portant comptabilisation des opérations en<br />
devises. Ces opérations sont constatées dans des comptes<br />
distincts ouverts dans chacune des devises utilisées.<br />
Les soldes des comptes sont convertis en dinars, à la date de<br />
chaque arrêté comptable, sur la base du cours moyen achat/<br />
vente de la Banque d’Algérie de chaque devise.<br />
Les comptes « positions de change » et « contre-valeur position<br />
de change » sont ouverts dans chacune des monnaies pour<br />
l’enregistrement des opérations devise/dinar. La différence<br />
résultant des soldes de position de change et contrevaleur<br />
position de change est constatée dans le compte de résultat.<br />

APPENDIX NO. 5 - APPENDICES TO THE FINANCIAL STATEMENTS<br />
1. Accounting Methods and Rules<br />
The accounts are held and the financial statements of ABC Algeria<br />
are drawn up in accordance with the standards set forth by the<br />
law 07-11 relating to the Financial Accounting System and the<br />
texts taken for its application.<br />
It is also governed by the specific sectoral standards particularly<br />
the Bank of Algeria regulation 09-04 relating to bank accounting<br />
and accounting rules applicable to banks and financial institutions,<br />
the Bank of Algeria regulation 09-05 relating to the drawing up<br />
and publication of the financial statements of banks and financial<br />
institutions, the Bank of Algeria regulation 09-08 relating to the<br />
rules of evaluating and accounting financial instruments by the<br />
banks and financial institutions and the Bank of Algeria regulation<br />
94-18 on the accounting of transactions in foreign currencies.<br />
The transactions are accounted in accordance with the principle<br />
of separating financial years: the interest and related commission<br />
are recorded in the profit and loss account pro rata temporis; the<br />
other commission as well as other revenue are recorded at the<br />
time of their collection or payment.<br />
The financing commitments are registered off-balance sheet as<br />
they are entered into and are transferred to the balance sheet as<br />
the funds are released for the nominal value.<br />
The study and management commission is taken into account in<br />
its entirety in the result at the end of the first release of funds.<br />
Income from pre-discounted loans is taken into account, on<br />
the agreed maturity date, in a debt account attached to an<br />
adjustment account and are added to the bottom line prorata<br />
temporis on each accounting statement.<br />
Income from post-discounted loans is taken into account in the<br />
bottom line as accrued. Interest related to loans categorized as<br />
short-term debts, within the meaning of the order of the Bank<br />
of Algeria 74-94 as amended and completed, is added to the<br />
bottom line as accrued. However, the interest accrued or due and<br />
not yet collected related to loans and debts categorized as high<br />
risk debts (category 3) or compromised debts (category 4) within<br />
the meaning of the Bank of Algeria order 74-94 are recorded<br />
under assets in the item «reserved premiums».<br />
This interest is taken into account on the bottom line when<br />
actually collected.<br />
The bank’s assets are evaluated at the historic cost apart from<br />
debts to customers which are evaluated in accordance with the<br />
aforementioned regulation 09-08. Allowances for categorized<br />
debts are calculated in accordance with the order 74-94 on the<br />
setting down of prudential management rules for banks and<br />
financial institutions.<br />
Fixed assets are evaluated, on the date they become part of<br />
assets, at the purchase price equal to the purchase price plus fees<br />
and incidentals required for rendering the asset ready for use.<br />
Depreciation of fixed assets is done through amortisation.<br />
Transactions in foreign currencies are recorded in the accounts<br />
using the evaluation rules and methods defined by the regulation<br />
94-18 on the accounting of transactions in foreign currencies.<br />
These transactions are recorded in different accounts opened in<br />
each of the currencies used.<br />
The account balances are converted into dinars, on the date of<br />
each account statement, on the basis of the average bid/offer<br />
rate of the Bank of Algeria for each currency.<br />
The «foreign exchange positions» and «foreign exchange position<br />
counter-value» accounts are opened in each of the currencies<br />
for the recording of currency/dinar transactions. The difference<br />
resulting from the foreign exchange position and foreign<br />
exchange position counter-value balances is reported in the profit<br />
and loss account.<br />

7. Gestion des risques<br />
L’organisation et la gestion des risques<br />
Dans l’exercice de ses activités, la Banque se retrouve confrontée, selon le cas, à une multitude de risques gérés à travers un ensemble<br />
d’outils et de procédures périodiquement suivis.<br />
La gestion des risques est ainsi un outil de pilotage opérationnel et d’aide à la décision stratégique. Une gestion efficace des risques peut<br />
aider à améliorer les performances de la Banque, en contribuant notamment à simplifier les prises de décisions et éviter les dépenses<br />
inutiles, faciliter la gestion du changement et optimiser l’utilisation des ressources.<br />
Pour se faire, la Banque se dote de stratégies claires retranscrivant son degré de tolérance aux risques et d’un corps de procédures<br />
détaillées arrêtant, entre autres éléments, les modalités d’identification, de mesure, de suivi et de contrôle des risques.<br />

7. Risk management<br />
Risk management and organisation<br />
When performing its activities, the Bank is, depending on the case, faced with a multitude of risks managed through a series of tools<br />
and procedures that are periodically monitored. Risk management is thus an operational management tool which also helps in strategic<br />
decision-making.<br />
Effective risk management can help to improve the Bank’s performance by contributing in particular to simplifying the decisions made<br />
and avoiding pointless expenditure, facilitating change management and optimising the use of resources. To do this, the Bank has put<br />
in place clear strategies which set out its degree of tolerance to risks, and a series of detailed procedures which set out, amongst other<br />
information, the means of identifying, measuring, monitoring and controlling risks.<br />

Typologie des risques<br />
Les principaux risques gérés par la Banque peuvent se résumer comme suit :<br />
– Le risque lié aux opérations de crédit : il est défini comme étant le risque encouru en cas de défaillance d’une contrepartie.<br />
– Le risque opérationnel : qui est défini comme étant le risque résultant d’insuffisances de conception, d’organisation et de mise en<br />
œuvre des procédures d’enregistrement dans les système d’information de l’ensemble des événements relatifs aux opérations traitées<br />
par la Banque.<br />
– Le risque juridique : qui matérialise tout litige avec une contrepartie résultant de toute lacune ou insuffisance d’une quelconque nature<br />
susceptible d’être imputable à la Banque.<br />
– Les risques liés aux opérations de trésorerie : il s’agit du risque de marché, de taux d’intérêt global et de règlement. Le premier est<br />
encouru en cas de variation des taux d’intérêt du fait de l’ensemble des opérations de bilan et de hors bilan ; le deuxième est celui de<br />
variation des prix des titres de propriété, du risque de règlement/contrepartie et de change et enfin le troisième a trait aux opérations<br />
de change.<br />
– Le risque de liquidité : défini comme étant le risque de ne pas disposer des fonds nécessaires pour faire face à ses engagements à leur<br />
échéance.<br />
Risque de crédit<br />
Le risque crédit est géré à travers un dispositif et des procédures claires, notamment en matière de :<br />
– Critères de sélection des opérations :<br />
A cet effet, l’acquisition de logiciels et d’applications informatiques performantes sont destinés à renforcer le dispositif d’analyse et de<br />
suivi du risque déjà en place, notamment une application de notation (rating) basée sur un modèle interne développé par une agence<br />
internationale de notation.<br />
Ainsi, l’analyse du risque et son rating se font, non seulement sur la base de données quantitatives liées à la situation financière du<br />
client, mais aussi sur la base d’aspects qualitatifs inhérents aux dirigeants et système de gouvernance de l’entreprise et qui sont intégrés<br />
dans l’évaluation.<br />
– Délégations de pouvoirs<br />
Un système de délégation de pouvoirs est en place comprenant un ensemble de comités habilités, selon des critères bien définis.<br />
– Surveillance et suivi des limites d’engagement<br />
Les limites d’engagement par bénéficiaire représentent au maximum 25% des fonds propres nets de la Banque.<br />
Le bénéficiaire peut être un client individuel ou un groupe de clients, suivant la définition de l’instruction 74/94 du 29 novembre 1994<br />
de la Banque d’Algérie.<br />
Les crédits sous forme de découvert sont limités, pour leur part, à 15 jours du chiffre d’affaires du bénéficiaire.<br />
L’évolution de la qualité des engagements/crédits de la Banque est analysée régulièrement, et le reclassement des créances est réalisé<br />
conformément à l’instruction 74/94 du 29 novembre 1994 fixant les règles prudentielles de gestion des banques et établissement<br />
financiers.<br />
– Suivi du risque de concentration par contrepartie, par secteur…<br />
Dans le cadre de son activité d’octroi de crédits, ABC A est dotée d’un dispositif de gestion et de suivi des limites par contrepartie à<br />
travers une politique de crédit et des procédures bien définies.<br />
Les montants maximums octroyés par entreprise et/ou groupe sont limités à 25% du montant des fonds propres nets de la banque. Il<br />
s’agit, bien entendu, de montants pondérés, conformément aux instructions et orientations de la Banque d’Algérie.<br />
De la même manière, un suivi rigoureux est assuré pour le risque de concentration sectorielle dans la mesure où une analyse est<br />
trimestriellement établie et discutée lors du Comité des risques.<br />
– Information de l’organe dirigeant et délibérant<br />
Divers reportings de suivi et de mesure du risque sont mis en place et régulièrement transmis à la Direction générale, aux Comités de<br />
crédit et de risques et à l’organe exécutif.<br />
Risque opérationnel<br />
Le suivi des risques opérationnels a été effectif à travers la mise en place d’un dispositif englobant trois outils de gestion et de suivi<br />
décrits plus bas. Le premier outil de gestion du risque opérationnel a été mis en place à ABC-A en 2007 après la création de la fonction<br />
ORM (Operational Risk Management) au Head Office en mars 2006.<br />

Types of risks<br />
The main risks managed by the Bank can be summarised as follows:<br />
– The risk related to Credit operations: This is defined as being the risk incurred in case of default of a counterparty.<br />
– The Operational risk: Which is defined as being the risk resulting from insufficiencies in the design, organisation and implementation of<br />
data input procedures in the information system of any event related to the transactions processed by the Bank.<br />
– The legal risk: Which means any dispute with a counterparty resulting from any shortcoming or insufficiency of any nature likely to be<br />
attributable to the Bank.<br />
– The risks related to cash flow transactions: This is the Market, interest rate and settlement risks. The 1st is incurred in case of change in<br />
interest rates for all balance sheet and off-balance sheet transactions, the 2nd is in case of a change in the prices of titles of ownership<br />
and finally the third relates to foreign exchange transactions.<br />
– The liquidity risk corresponds to the risk that the bank’s assets would be insufficient to deal with major withdrawals in the short term.<br />
Credit risk<br />
The credit risk is managed through clear procedures and a mechanism particularly in terms of:<br />
– Operation selection criteria:<br />
To this end, the purchase of performing software and computer applications is designed to reinforce the risk analysis and monitoring<br />
mechanism already put in place; in particular a rating application based on an internal model deve¬loped by an international rating<br />
agency. Thus, the risk and its rating are analysed not only on the quantitative database linked to the customer’s financial situa¬tion, but<br />
also on the basis of qualitative aspects inherent in the managers and the corporate governance system and which are incorporated in<br />
the evaluation.<br />
– Delegation of powers<br />
A delegation of powers’ system is in place containing a series of authorised committees in accordance with clearly defined criteria.<br />
– Supervision and monitoring of commitment limits<br />
The commitment limits by beneficiary represent a maximum of 25% of the Bank’s net equity funds.<br />
The beneficiary may be an individual customer or a group of customers following the definition of the order 74/94 of 29 November<br />
1994 of the Bank of Algeria. Loans in the form of overdrafts are limited, for their part, to 15 days’ turnover of the beneficiary.<br />
The evolution in the quality of the bank’s portfolio is analysed regularly and loans and advances are reclassified in accordance with the<br />
order 74/94 of 29 November 1994 setting down the prudential management rules of Banks and Financial Institutions.<br />
– Monitoring the risk of concentration by counterparty, by industry, etc.<br />
Within the framework of its credit activity, ABC Algeria has a mechanism for managing and monitoring limits by coun¬terparty through a<br />
credit policy and clearly defined procedures.<br />
The maximum amounts granted by company and/or group are limited to 25% of the amount of the bank’s net equity. These are of<br />
course weighted risks, in accordance with the instructions and guidelines of the Bank of Algeria.<br />
Likewise, strict monitoring is assured for the industry concentration risk insofar as an analysis is performed on a quar¬terly basis and<br />
discussed during the Risk Committee.<br />
– Information for the managing and deliberating body<br />
Various risk measurement and monitoring reports are put in place and regularly sent to the Senior Management, to the Credit and Risk<br />
Committees and to the executive body.<br />
Operational Risk<br />
Monitoring operational risks has been effective through the implementation of a mechanism encompassing three management and<br />
monitoring tools described below. The first operational risk management tool was put in place in ABC Algeria in 2007, after the creation<br />
of the ORM (Operational Risk Management) function at the Head Office in March 2006.<br />

Le système de mesure et de surveillance du risque opérationnel comprend trois outils/composantes :<br />
– La base incident : Elle se présente sous forme de reporting qui reprend tout incident lié à un risque opérationnel et permet son suivi à<br />
travers l’allocation de pertes financières pour chaque incident survenu.<br />
– Les indicateurs de risques : ce sont des alertes précoces sur l’augmentation du risque sur une perte future. Ce sont des indicateurs/<br />
points de surveillance utiles du risque qui sont traduisibles dans des mesures quantitatives.<br />
– Le système d’autoévaluation du risque et du contrôle : c’est une approche structurée pour les unités opérationnelles permettant<br />
d’identifier les risques clés et de s’assurer de l’efficacité des contrôles en place.<br />
Les types de risques opérationnels auxquels la Banque fait face sont classés en sept catégories :<br />
– fraude interne ;<br />
– fraude externe ;<br />
– réclamation des employés (ou pratiques en matière d’emploi et sécurité sur les lieux de travail) ;<br />
– réclamations de la clientèle et des parties tierces (ou pratiques concernant les clients, les produits et l’activité commerciale) ;<br />
– dommages aux biens physiques ;<br />
– interruption d’activité et panne de systèmes ;<br />
– erreurs et/ou omissions dans l’exécution des transactions (ou exécution des opérations, livraisons et processus).<br />
Par ailleurs, un Comité local de gestion des risques a été mis en place en 2011 dans le but de définir la stratégie globale de gestion des<br />
risques de la Banque et de s’assurer que les politiques, procédures et systèmes sont efficacement mis en œuvre.<br />
Risque de liquidité<br />
La surveillance, suivi et gestion de la liquidité sont sous la responsabilité du Trésorier de la Banque. Le suivi et la gestion du risque de<br />
liquidité sont sous la responsabilité de la Direction du risque. L’organisation interne à ABC-A prévoit deux entités de veille où le Trésorier<br />
de la Banque doit rendre compte régulièrement au staff dirigeant :<br />
1. Comité de gestion Actif-Passif (Asset Liability Management Committee) :<br />
Ce comité est chargé de :<br />
– superviser la liquidité de la Banque ;<br />
– mettre en œuvre la politique de liquidité et la stratégie de la Banque en la matière ;<br />
– surveiller la liquidité du bilan en termes de concentration des dépôts et les dépendances, actifs liquides et l’inadéquation des<br />
échéances ainsi que le stress test mené pour répondre aux risques potentiels d’événements défavorables du marché.<br />
2. Trésorier du Groupe ABC :<br />
La surveillance de la liquidité se fait au quotidien au niveau de la Direction de la trésorerie. Ceci grâce à un tableau de bord de gestion<br />
quotidienne qui récapitule tous les flux de la trésorerie de la Banque.<br />
La Direction du risque se charge du suivi et de la gestion du risque de liquidité à travers le suivi des ratios réglementaires et la réalisation<br />
de stress tests trimestriels présentés par la suite au Comité des risques.<br />
La politique de la Banque est de veiller au respect de la réglementation en vigueur et de maintenir une liquidité au-delà du minimum<br />
réglementaire exigible. Il est important d’identifier les signaux d’alerte d’une crise de liquidité potentielle et de prendre les mesures<br />
appropriées pour éviter la dégradation de la situation. La politique de liquidité qui a été mise en place par la Banque définit l’ensemble<br />
de ces exigences.<br />
Autres risques<br />
Le risque de règlement : ce risque sur le marché Interbancaire des changes est quasiment nul. Les opérations de couverture du<br />
commerce extérieur sont traitées exclusivement en spot. La levée des fonds intervient à 48 heures et la réservation des fonds est opérée<br />
lors du dépôt de l’ordre d’achat auprès de la Banque d’Algérie. Le cumul des opérations est suivi quotidiennement par le biais de l’arrêté<br />
journalier de la situation de trésorerie à travers le solde du compte de règlement Banque d’Algérie. Le reporting est établi à la fin de<br />
chaque journée et transmis à la Direction générale pour information.<br />
Risque lié aux opérations de commerce extérieur et des mouvements des capitaux de et vers l’Algérie :<br />
La Banque a instauré depuis la promulgation de l’instruction 03-07 du 31/05/2007, relative à la procédure de déclaration et de<br />
suivi des dossiers de domiciliation des transactions à l’importation et l’exportation, et ce dès l’ouverture de compte, à la réalisation<br />
financière de l’opération à son apurement ainsi que toutes les étapes du suivi des dossiers à partir du guichet domiciliataire à la structure<br />
centrale chargée de la déclaration et de la conservation des dossiers apurés et des dossiers en excédents de règlement pour l’import et<br />
insuffisance de rapatriement pour l’export hors hydrocarbures.<br />

The operational risk measuring and supervision system has three tools / components:<br />
– The Loss Data: This is presented in the form of reporting which includes any incident related to an operational risk and enables it to be<br />
monitored through the allocation of financial losses for each incident that occurs;<br />
– Key risk indicators: these are early warning signals as to the increase of the risk on a future loss. These are useful risk indicators /<br />
monitoring points which can be translated into quantitative measures;<br />
– Risk and Control Self-Assessment: This is a structured approach for the operational units enabling the key risks to be identified and the<br />
effectiveness of the controls put in place to be assured.<br />
The types of operational risks faced by the Bank fall into seven categories:<br />
– Internal fraud;<br />
– External fraud;<br />
– Employee complaints (or practices in terms of employment and safety at work);<br />
– Complaints from customers and third parties (or practices concerning the customers, products and sales activity);<br />
– Damage to tangible assets;<br />
– Business interruption or system failure;<br />
– Errors and/or omissions in the execution of transactions (or execution of operations, deliveries and processes).<br />
Further, a local risk management committee was put in place in 2011 with the aim of defining the Bank’s overall risk management<br />
strategy and assuring that the policies, procedures and systems are effectively implemented.<br />
Liquidity Risk The supervision, monitoring and management of liquidity is the responsibility of the Bank’s Treasury. The monitoring and<br />
management of the liquidity risk is the responsibility of the Risk Department.<br />
The internal organisation of ABC Algeria provides for two overseeing entities where the Bank’s Treasury has to report regularly to<br />
managerial staff:<br />
1. Asset Liability Management Committee:<br />
This committee is responsible for:<br />
– Supervising the Bank’s liquidity;<br />
– Implementing the liquidity policy and the Bank’s strategy in this domain;<br />
– Overseeing balance sheet liquidity in terms of concentration of deposits and dependencies, liquid assets and the inadequacy of<br />
maturity dates as well as the stress test performed to respond to the potential risks of unfavourable market events.<br />
2. The ABC Group’s Treasury:<br />
Liquidity is supervised on a daily basis in the Treasury Department. This is done using a daily management chart which summarises all of<br />
the Bank’s cash flows.<br />
The Risk Department is responsible for monitoring and managing the liquidity risk by monitoring the regulatory ratios and performing<br />
quarterly stress tests which are then presented to the Risk Committee.<br />
The bank’s policy is to ensure compliance with the regulations in force and to maintain liquidity above the minimum regulatory<br />
requirement. It is important to identify the warning signals of a potential liquidity crisis and to take appro¬priate measures to avoid a<br />
worsening of the situation. The liquidity policy which has been put in place by the Bank defines all these requirements.<br />
Other risks<br />
Settlement risk: this risk on the Interbank foreign exchange market is almost zero. Foreign trade hedging transactions are entirely spot.<br />
Funds are raised in 48 hours are reserved using purchase deposits with the Bank of Algeria.<br />
Total transactions are monitored via the daily cash flow log through the Bank of Algeria’s settlement account.<br />
The reporting is drawn up at the end of each day and sent to the Senior Management for information.<br />
Risk related to trade finance transactions and movements of capital from and to Algeria:<br />
Since the promulgation of the Order 03-07 of 31/04/2007, on the procedure for declaring and overseeing import and export<br />
transactions, the Bank has set about the financial realisation of the transaction, from the time of opening an account, its clearance as<br />
well as all the file monitoring stages from the domiciliary branch to the central structure responsible for the declaration and filing of<br />
cleared files and files still awaiting settlement for importing and lack of repatriation for exporting excluding hydrocarbons.<br />

Risques liés au blanchiment d’argent et financement du terrorisme :<br />
En tant qu’unité d’un groupe bancaire international, ABC-A s’est dotée en 2001 d’une cellule qui a pris en charge tout le volet de la lutte<br />
contre le blanchiment d’argent et le financement du terrorisme. Cette cellule s’est développée au fil des années pour devenir aujourd’hui<br />
une structure à part entière, chapeautée par la Direction de la conformité et intégrée dans le dispositif du contrôle interne.<br />
La Banque, s’inspirant de ce qui se pratique au sein du Groupe, a bâti toute sa stratégie de lutte contre le blanchiment d’argent sur le<br />
Manuel de Politique et Procédures AML qui définit la politique et les procédures de la Banque en la matière.<br />
Risques liés à la sécurité technique et opérationnelle :<br />
– Intrusion personne étrangère : ce paramètre est pris en considération par la Banque en mettant en place un système de<br />
télésurveillance (caméras).<br />
– Endommagement des équipements et systèmes : Afin de pallier cette éventualité, la Banque dispose des solutions de Backup<br />
pour tous ces systèmes, le site principal est à Bir Mourad Raïs et le site Backup est à Dely Brahim ; les deux sites sont synchronisés<br />
quotidiennement. Des sauvegardes quotidiennes de ces backups sont quotidiennement faites.<br />
– Coupures des connexions et liaisons : elles sont maîtrisées par l’introduction des liaisons de secours, lignes spécialisées…<br />

The Senior Management constantly ensures compliance with the reporting deadlines to the Bank of Algeria.<br />
Risks related to money laundering and the financing of terrorism:<br />
As part of an international banking group, in 2001 ABC Algerian set up a unit which is responsible for fighting against money laundering<br />
and the financing of terrorism. This unit has developed over the years to become today a structure in its own right, headed up by the<br />
Compliance Department and incorporated into the internal control framework.<br />
The Bank, taking inspiration from what is practised within the Group, has built its entire anti-money laundering policy on the «AML<br />
Procedures and Policy Manual» which defines the Bank’s policy and procedures in this respect.<br />
Risks related to technical and operational security:<br />
– Unauthorised intrusions: this parameter is taken into consideration by the Bank by putting in place a remote sur¬veillance system<br />
(cameras);<br />
– Damaging of equipment and systems: To deal with this eventuality, the Bank has back-up solutions for all these systems; the main site<br />
is based in Bir Mourad Rais and the back-up site is in Dely Brahim. Both sites are synchronised daily. These back-ups are saved on a daily<br />
basis.<br />
– Loss of connections and links: This is controlled by the introduction of back-up links, specialised lines, etc.<br />
