3.1 Quellen der Liquidität 3.1 Sources of Liquidity<br />
sind. Der Aufbau einer sinnvollen Liquiditätslinie muss<br />
Faktoren wie die erwartete Höhe <strong>und</strong> den Zeitpunkt des<br />
Geldbedarfs oder die Leistungsfähigkeit des Liquiditätsanbieters<br />
widerspiegeln.<br />
• Fällige Kapitalanlagen: Obwohl man geneigt sein könnte,<br />
Kapitalbindungen in kurzfristigen Mitteln beizubehalten,<br />
wird eine solche Vorgehensweise dem Gesamtertrag wahrscheinlich<br />
eher schaden. Um höhere Erträge erzielen zu<br />
können, müssen die Cashflows vorausgesehen <strong>und</strong> mit<br />
einer Struktur mit derselben Fälligkeit abgeglichen werden.<br />
Aufgr<strong>und</strong> des unsicheren Zeitplans kann eine Fälligkeitsstruktur<br />
nur über eine beschränkte Übereinstimmung verfügen.<br />
• Veräußerungen: Durch ein solches Ungleichgewicht<br />
erhöht sich das Risiko der Zahlungsunfähigkeit. Deshalb<br />
können Barmittel nicht nur durch fällige Anlagen beschafft<br />
werden, manchmal müssen auch Positionen verkauft werden.<br />
Um das durch Marktschwankungen verursachte<br />
Verlustpotenzial zu begrenzen, müssen strenge Richtlinien<br />
<strong>für</strong> die Eignung von Kapitalanlagen in jeglichen<br />
Reservepositionen gelten.<br />
• Verkauf von Anteilen an einem <strong>Private</strong> <strong>Equity</strong> Fonds:<br />
<strong>Private</strong> <strong>Equity</strong> Fonds sind illiquide Kapitalanlagen. Eine<br />
frühe Auszahlung ist normalerweise nicht gestattet. Den<br />
Limited Partners ist es im Allgemeinen untersagt, ihre<br />
Beteiligungen an dem <strong>Private</strong> <strong>Equity</strong> Fonds zu übertragen,<br />
abzutreten, zu verpfänden oder anderweitig zu veräußern<br />
oder sich ohne die vorherige Zustimmung der General<br />
Partners aus der Gesellschaft zurückzuziehen. Diese könnnen<br />
ihre Zustimmung nach eigenem Ermessen gewähren<br />
oder versagen. Es gibt allerdings einen wachsenden<br />
Sek<strong>und</strong>ärmarkt, an dem bewährte Fondsinvestitionen<br />
liquide gemacht werden können. Eine Veräußerung von<br />
Anteilen an einem <strong>Private</strong> <strong>Equity</strong> Fonds, um an liquide<br />

• Realisations: With such a mismatch the risk of illiquidity<br />
increases. Therefore cash cannot be only provided by maturing<br />
assets but requires occasionally a realisation of positions.<br />
To limit the potential for losses resulting from market<br />
fluctuations strict criteria for eligibility of investments<br />
in any reserve accounts have to be applied.<br />
• Sell-off of Limited Partnership Shares: <strong>Private</strong> equity<br />
f<strong>und</strong>s are illiquid investments and an early redemption is<br />
usually not allowed. Limited partners are generally prohibited<br />
from transferring, assigning, pledging or otherwise<br />
disposing of their limited partnership interests or withdrawing<br />
from the partnership without the prior consent of the<br />
general partners. They can grant or withhold consent in<br />
their sole discretion. However, there is a growing secondary<br />
market where seasoned f<strong>und</strong> investments may be liquidated.<br />
But a realisation of limited partnership shares to get<br />
liquidity is problematic. It takes considerable time to identify<br />
buyers and negotiate the transaction; if there is time<br />
pressure, heavy loss is nearly certain.<br />
• Distributions from <strong>Private</strong> <strong>Equity</strong> F<strong>und</strong>s: A reinvestment<br />
plan should be established that takes into account the<br />
uncertainty inherent in the timing and magnitude of distributions<br />
of capital. As investments in private equity f<strong>und</strong>s<br />
are speculative and require a long-term commitment there is<br />
no certainty regarding timing and amounts of distributions.<br />
It is also possible that part or all of the return is received as<br />
„distribution-in-kind“ in form of marketable restricted<br />
securities. Consequently, planning with reinvestments<br />
exposes the f<strong>und</strong>-of-f<strong>und</strong>s to considerable liquidity risks.<br />
• Limited Partner Default: If several capital calls cannot be<br />
met simultaneously, the last resort for a f<strong>und</strong>-of-f<strong>und</strong>s is<br />
