(c) any money or accounts belonging to the previous corporation to be<br />

delivered to the Guardians; penalty for failure to do so; certificates of<br />

settlement and bonds of security to remain at the house of industry<br />

(Sections 5 – 7)<br />

(d) Guardians to confirm their qualifications upon oath before acting as such;<br />

female Guardians may vote by proxy; present Directors of the <strong>Poor</strong> and<br />

officers of the previous corporation to remain in post until successors<br />

were appointed; 12 of the Guardians to be elected as Directors; a<br />

Treasurer and Clerk to be appointed along with officers for the daily<br />

running of the house of industry (Sections 8 - 10)<br />

(e) provision for the Guardians to hold quarterly meetings; vestries to be held<br />

annually in each parish to elect a Director from that parish; replacement of<br />

Directors on their death or removal from office; exemption from the office<br />

of Director; Overseers to deliver lists of persons nominated as Directors;<br />

provision for retirement/election of Directors by rotation; procedure for<br />

election of replacements if a person elected refused or neglected to take<br />

office; alternative procedure for election of Directors should the Overseers<br />

fail to submit a list of Guardians; Directors’ oath of office; penalty for<br />

refusing to act as a Director; penalty for acting as a Director without being<br />

qualified; no act of the Directors to be invalidated due to unqualified<br />

Directors; Justices may act as such under this Act even if they are also<br />

Guardians (Sections 11 - 21)<br />

(f) provisions for weekly and special meetings of the Directors; all business<br />

of the Directors to be carried out at meetings held in pursuance of this Act<br />

with the requisite quorum; a chairman to be chosen at each meeting to<br />

have the casting vote; provision for adjourning meetings; Directors to form<br />

committees to make or repeal rules for the better regulation of the<br />

Guardians and the poor in the house of industry; penalty on Directors for<br />

failure to attend meetings and committees (Sections 22 - 29)<br />

(g) Guardians and Directors to pay their own expenses; Directors to appoint a<br />

Chaplain, a Treasurer and a Clerk and other officers for the daily running<br />

of the house of industry; such officers to be paid a salary; office of Clerk<br />

and Treasurer not to be held by the same person; Directors may appoint<br />

special constables (Sections 30 - 34)<br />

(h) Justices to act on complaints of the Directors as if made by Overseers;<br />

lawful for the Directors to make alterations or additions to the house of<br />
