Matters for Inclusion in the Statement of Corporate
Governance
The following is an indicative list of matters that a GBE may include when making the
corporate governance statement required under paragraph 2.11 of these arrangements:
(a) whether individual directors, including the Chair, are executive or non-executive
directors;
(b) the names and positions in relation to the GBE of the members of the Board
Nomination and Remuneration Committee;
(c) the main procedures for establishing and reviewing the compensation
arrangements for the directors of the GBE;
(d) the main procedures by which the Board, or members of it, can seek independent
professional advice, at the GBE’s expense, in carrying out their duties;
(e) the Board’s approach to identifying areas of significant business risk, and to
putting arrangements in place to manage them; and
(f) the GBE’s policy on the establishment and maintenance of appropriate ethical
standards.
