MANAGEMENT REPORT<br />

In addition, as far as the Company is aware, all members of the Supervisory Board comply<br />

with all legal requirements regarding multiple directorships. The list of positions held by<br />

each member is disclosed in the Group’s <strong>2007</strong> annual <strong>report</strong>.<br />

• Conditions of preparation of the work of the Supervisory Board<br />

Prior to each of its meetings, the Supervisory Board is provided by the Management Board<br />

with all necessary information and documents to prepare their meetings, in the form of a<br />

file covering all items of the agenda.<br />

Each member of the Supervisory Board is also provided throughout the year with all of the<br />

company’s corporate communications.<br />

Works Council representatives also benefited from the same information as Supervisory<br />

Board members, within the same timeframes.<br />

• Supervisory Board’s meetings<br />

Notices of meeting are sent in writing by the Chairman, on average ten days before the date<br />

of the meeting. Several days prior to a meeting, a detailed file is sent by the Management<br />

Board to each member, which presents the Group’s operations over the past quarter as<br />

well as the various projects submitted for approval to the Supervisory Board.<br />

In <strong>2007</strong>, the Supervisory Board met five times in compliance with the quarterly legal<br />

framework and the schedule of decisions submitted to it for approval.<br />

The overall attendance rate of its members was 80% in <strong>2007</strong>, and at least one Works<br />

Council representative attended each meeting.<br />

Lastly, Statutory Auditors were requested to attend two meetings of the Supervisory Board<br />

in which annual and interim financial statements were considered.<br />

• Supervisory Board’s internal regulations<br />

At its first meeting in June 2000, the Supervisory Board adopted its own internal regulations,<br />

which primarily organise arrangements for Board meetings, how the Board exercises its<br />

powers, as well as membership, purpose and attributions of its committees (Audit and<br />

Remuneration Committees).<br />

A summary of significant items of internal regulations is provided in the Group’s <strong>2007</strong><br />

annual <strong>report</strong>.<br />
