Transactions with executive officers<br />

and directors<br />

The remuneration paid in <strong>2007</strong> to members of the Management Board amounted to<br />

€ 2,975,628, of which € 1,878,573 was fixed and € 1,097,055 variable.<br />

Members of the Supervisory Board were paid attendance fees amounting to € 111,929<br />

and they held 1,800 Group shares at 31 December <strong>2007</strong>.<br />

75,500 options relating to the share purchase plan of 2 May <strong>2007</strong> were allocated to<br />

members of the Management Board during the financial year at a price of € 27.52.<br />

No Management Board member exercised any share subscription options during the<br />

financial year.<br />

25,167 free shares were granted to Management Board members on 2 May <strong>2007</strong>,<br />

exercisable on 3 June 2009 subject to them still being employed by the Company at that<br />

date and to the achievement of performance criteria. Due to the fact that plan objectives<br />

have been exceeded, the number of shares to be issued on 3 June 2009 may total<br />

25,490.<br />

The 43,440 free shares allocated as part of the plan of 2 June <strong>2007</strong> were transferred to<br />

Management Board members on 3 June <strong>2007</strong>.<br />

In addition, in this respect and in accordance with the same conditions as Group employees,<br />

the members of the Management Board may benefit from a legally binding end of career<br />

payment. The overall cost and terms and conditions of determination are described in note<br />

4.14.<br />

Subsequent events<br />

On 13 February 2008, <strong>M6</strong> Éditions acquired the 50% stake in Femmes en Ville previously<br />

held by the founder of the magazine and financial shareholders.<br />

On 26 February 2008, <strong>M6</strong> acquired the company Hugo Films in full. With Hugo Films, a<br />

film production company that owns a catalogue of feature films, the Group consolidated<br />

its position in the Audiovisual Rights distribution business.<br />

On 5 March 2008, The Council of State cancelled the addendum to the Edi TV (W9)<br />

agreement, negotiated with the CSA prior to the effective launch of DTT in March 2005.<br />

This addendum was the subject of a claim by competing channels (TF1 and NRJ groups)<br />

since 2005.<br />

The decision by the Council of State did not related to adjustments made to the framework<br />

of the addendum, considering they conform to the law, and thus had no effect on the<br />
