“An attendance register is kept and signed by Supervisory Board members participating<br />

at each meeting. The minutes are drawn up and copies or extracts of the decisions<br />

taken are certified as being in accordance with the law, and detail the names of the<br />

Supervisory Board members who have participated by means of video-conference or<br />

by telephone”.<br />

A new, paragraph 4, is added:<br />

“Other than in cases specifically excluded by legal provisions and applicable regulations,<br />

members of the Supervisory Board who participate at a meeting of the Board by videoconference<br />

or telephone are deemed as having been present for the calculation of the<br />

quorum and the majority, thereby permitting their identification and their effective participation,<br />

and whose nature and applicable conditions are determined by legal provisions<br />

and regulations in force”.<br />

The rest of the Article remains unchanged.<br />

- to complete the list of compulsory information for inclusion in the notice of a general<br />

meeting, in compliance with paragraph 1 of Article R 225-66 paragraph 1 of the Commercial<br />

Code, Article 27 paragraph 7 of the bylaws previously read as follows:<br />

“These notices specify the place, date and time of the meeting, as well as the nature of<br />

the meeting and the questions entered in the agenda”.<br />

And from now on will read as follows:<br />

“These notices specify the information required by legal provisions and relevant regulations<br />

and in particular, the place, date and time of the meeting, as well as the nature of<br />

the meeting and the questions recorded in the agenda.”<br />

The rest of the Article remains unchanged.<br />

Article 28 paragraph 3 of the bylaws previously read as follows:<br />

“The General Meeting may only discuss questions recorded in the agenda. It may, however,<br />

in any circumstance, dismiss one or more directors and proceed with their replacement”.<br />

And from now on will read as follows:<br />

“The General Meeting may only discuss questions recorded in the agenda. It may, however,<br />

in any circumstance, dismiss one or more members of the Supervisory Board, and<br />

proceed with their replacement”.<br />
