The amended Decree of 9 November 1978 states that an order of the<br />
Budget Minister sets out the terms under which the company carries<br />
out its tasks in accordance with the objectives mentioned in Article 1<br />
of the Decree, which relate to the pr otection of the public and social<br />
order. The Budget Minister determines how the stakes collected are<br />
distributed, taking into account the statutory levies on gaming (stamp<br />
duty until 13 May 2010, levy to nance fi the national sports development<br />
programme (CNDS), social security debt retirement tax (CRDS),<br />
supplementary social security tax (CSG) and tax and social security<br />
levies on sports betting). In particular, the Minister sets the share of<br />
player stake to be applied against the cost of the organisation and<br />
operation of games by la <strong>Française</strong> <strong>des</strong> <strong>Jeux</strong> (and its network). The<br />
games are distributed via a network of intermediaries, sale agents and<br />
retailers, bound by contract to la <strong>Française</strong> <strong>des</strong> <strong>Jeux</strong>.<br />
Act No. 2010-476 of 12 May 2010 opened up the betting and<br />
lottery games sector to competition and regulation, and authorised<br />
and set the conditions for the operation of online sports betting,<br />
horse race betting and poker games. Operators must fi rst obtain<br />
approval from the authority in charge of regulating online games<br />
and bets (Autorité de Régulation <strong>des</strong> <strong>Jeux</strong> En Ligne, or “ARJEL”). La<br />
<strong>Française</strong> <strong>des</strong> <strong>Jeux</strong> obtained a licence to operate online sports betting<br />
games (ParionsWeb offer) on 8 June 2010 and for the operation of<br />
online poker (via LB Poker, the joint venture with Groupe Lucien<br />
Barrière) on 26 July 2010.<br />

Decree No. 2006-174 of 17 February 2006, which amended the<br />
1978 Decree, established, under the Budget Minister, an “Advisory<br />
Committee for the Implementation of Gaming Policy and Responsible<br />
Gaming” (Comité consultatif pour la mise en œuvre de la politique<br />
d’encadrement <strong>des</strong> jeux et du Jeu Responsable , or “COJER”), composed<br />
of qualifi ed experts and representatives from the French Ministries of<br />
Health, the Interior, Youth and Sport, in addition to a representative of<br />
the Budget Minister.<br />
This Committee is responsible for advising the Minister on the gaming<br />
policy for la <strong>Française</strong> <strong>des</strong> <strong>Jeux</strong>. Among other things, it gives its opinion<br />
on the approvals that the Minister must issue for the company’s gaming<br />
programme and the action plans implemented to meet the objectives<br />
set forth by the Decree, as well as the statutory obligations in combating<br />
money laundering. Since 1 October 2004, la <strong>Française</strong> <strong>des</strong> <strong>Jeux</strong> has<br />
been subject to the “obligations relating to the fi ght against money<br />
laundering and the fi nancing of terrorism” set out in the French<br />
Monetary and Financial Code.<br />
In matters of control, the company, like all limited companies, has<br />
an independent auditor. It is further subject to the state control of public<br />
sector entities pursuant to Decree No. 53-707 of 9 August 1953,<br />
business and fi nancial audits pursuant to Decree No. 55-733 of 26 May<br />
1955, and audits conducted by the French National Audit Offi ce (Cour<br />
<strong>des</strong> Comptes) and inspections by the General Financial Inspectorate<br />
