audit committeereportg) To review any related party transaction and conflict ofinterest situation that may arise within the Company orGroup including any transaction, procedure or course ofconduct that raises questions of management integrity;h) To do the following in relation to the internal auditfunction:-- review the adequacy of scope, functions andresources of the internal audit department and that ithas the necessary authority to carry out its work;- review the internal audit programme;- ensure coordination of external audit with internalaudit;- consider the major findings of internal auditinvestigations and management’s response, andensure that appropriate actions are taken on therecommendations of the internal audit function;- review any appraisal or assessment of theperformance of the staff of the internal auditfunction;- approve any appointment or termination of seniorstaff members of the internal audit function;- keep itself informed of resignations of internalaudit staff members and provide the resigning staffmember an opportunity to submit his/her reason forresignation;- to monitor related party transactions entered intoby the Company and its subsidiaries, and to ensurethat the Directors report such transactions annuallyto shareholders via the annual report;- to review and monitor the effectiveness of internalcontrol systems and to evaluate the systems withthe external auditors;i) To carry out such other responsibilities, functions orassignments, as may be defined jointly by the Committeeand the Board from time to time;j) In compliance with Paragraph 15.17 of the ListingRequirements of BMSB, where the Committee is of theview that a matter reported by it to the Board has notbeen satisfactorily resolved resulting in a breach of theListing Requirements, the Committee must promptlyreport such matter to BMSB.Annual Report 2006Berjaya Land Berhad (201765-A)24
