notes to thefinancial statements30 April 20061 CORPORATE INFORMATIONThe principal activities of the Company are investment holding and the provision of management services to its subsidiary companies.The principal activities of the subsidiary companies consist of:(i) property development and investment in properties;(ii) development and operation of vacation time share, hotels and resorts and water theme park;(iii) operating of casinos; and(iv) investment holding.There have been no significant changes in the nature of the Group’s activities during the financial year.The Company is a public limited liability company, incorporated and domiciled in Malaysia, and is listed on the Main Board of BursaMalaysia Securities <strong>Berhad</strong>.The registered office of the Company is located at Lot 13-01A, Level 13 (East Wing), <strong>Berjaya</strong> Times Square, No.1 Jalan Imbi, 55100Kuala Lumpur. The principal place of business of the Company is located at Level 12, <strong>Berjaya</strong> Times Square, No.1 Jalan Imbi, 55100Kuala Lumpur.The penultimate and ultimate holding companies of the Company are <strong>Berjaya</strong> Group <strong>Berhad</strong> (“BGB”) and <strong>Berjaya</strong> <strong>Corporation</strong> <strong>Berhad</strong>(“BCorp”) respectively. Both companies are incorporated in Malaysia and BCorp is listed on the Main Board of Bursa MalaysiaSecurities <strong>Berhad</strong>. BGB ceased to be the ultimate holding company during the financial year following the completion of a voluntaryscheme of arrangement of BGB (“BGB Scheme”). As a result of the BGB Scheme, BGB became a wholly-owned subsidiary of BCorpand its listing status was transferred to BCorp.Related companies in these financial statements refer to member companies of the BCorp group of companies other than subsidiarycompanies of the Company.The number of employees in the Group and in the Company at the end of the financial year were 5,017 and 102 (2005: 5,150 and111) respectively.The financial statements were authorised for issue by the Board of Directors in accordance with a resolution of the Directors on22 July 2006.2 SIGNIFICANT ACCOUNTING POLICIES(a) Basis of PreparationThe financial statements of the Group and of the Company have been prepared under the historical cost convention unlessotherwise indicated in the accounting policies below and comply with the provisions of the Companies Act, 1965 and applicableApproved Accounting Standards in Malaysia.(b) Basis of ConsolidationThe consolidated financial statements incorporate the financial statements of the Company and all its subsidiary companiesmade up to the end of the financial year.Subsidiary companies are those entities controlled by the Company. Control exists when the Company has the power, directlyor indirectly, to govern the financial and operating policies of an enterprise so as to obtain benefits from its activities.
