7ProposedOTHER LEGAL AND FINANCIAL INFORMATIONresolutions to be put to the Combined General MeetingSixteenth resolutionThe General Meeting, after having heard the Directors’ report,decides to update the bylaws, specifi cally:3 to bring Article 9 bis of the bylaws, “IDENTIFICATION OFHOLDERS OF SECURITIES”, into alignment with the provisionsof Article L. 228-2 of the French Commercial Code and to amendit as follows, the rest of the article remaining unchanged:“The Company is entitled, at any time and at its own expense, inaccordance with current law and regulations, to ask the centraldepository to supply the name or, if the holder is a legal entity,the corporate name, nationality, year of birth or, if the holder isa legal entity, the year of incorporation and address of holdersof securities that immediately or subsequently grant the right tovote at its meetings, together with the quantity of securities heldby each of them and, where applicable, the restrictions that mayapply to such securities.”;3 to bring paragraph 7 of Article 17 of the bylaws, “AGREEMENTSBETWEEN THE COMPANY AND ANY OF ITS DIRECTORS ORGENERAL MANAGERS”, concerning ordinary agreements, intoalignment with the provisions of Article L. 225-39 of the FrenchCommercial Code, as amended by law no. 2011-525 of May 17,2011, and to amend it as follows, the rest of the article remainingunchanged:“Agreements relating to current operations and concluded undernormal conditions are not subject to legal authorization andapproval procedures.”Seventeenth resolutionThe General Meeting vests the bearer of an original or a copy of,or an extract from, the minutes of the present meeting with fullpowers to proceed with all legal or administrative formalities, to fi leall documents and to make all public announcements required bycurrent legislation.170BOURBON - 2011 Registration Document
