Corporate Governance
TSAM’s commitment to good corporate
citizenship is underpinned by governance
structures and systems that address all aspects
of sustainability across all operations. TSAM’s
core values demonstrate the integration of
sustainability within everyday business.
International standards such as the King
Code and Sarbanes-Oxley provide TSAM’s
governance framework, supported by the
internally developed Code of Conduct and
the principles embedded in Hoshin Kanri (a
strategic planning methodology that helps
TSAM to focus on a shared goal, communicate
that goal to all leaders, involve all leaders
in planning to achieve the goal and holds
people accountable for achieving their part of
the plan). In 2007, all managers were trained
in the application of Sarbanes-Oxley.
TSAM has a number of systems, policies
and codes of practice in place, through which
the Board and its subcommittees oversee
sustainable development performance.
These include the Toyota Environmental
Management System, Employment Equity
Plan and Policy, Broad Based Black Economic
Empowerment Procurement Programme, the
Masibambane Pact (between workers and
management) and the Code of Conduct.
