FOURTH: The Articles of Amendment and Restatement as hereinabove set forth were approved
by the members of the Corporation at said meeting by the affirmative vote of two-thirds of the
members of the Corporation entitled to vote thereon.
FIFTH: Said Articles of Amendment and Restatement have been duly advised by the Board of
Directors and approved by the members of the Corporation.
IN WITHNESS WHEREOF, Maryland Nurses Association, Incorporated has caused these presents
to be signed in its name and on its behalf by its President and its Corporate Seal to be hereunto
affixed and attested by its Secretary on November 7, 1967 .

of the members of said Corporation at which the Articles of Amendment and Restatement of the
Charter of the Corporation therein set forth was approved and that the matters and facts set forth
