In 2001, Fiat Gesco S.p.A. partnered with KPMG to<br />
establish KeyG Consulting S.p.A., a company that<br />
specializes in administrative consulting and process<br />
reengineering.<br />
The aggregate revenues generated by this Unit totaled<br />
294 million euros.<br />
❚ I.C.T. – Information and Communication Technology.<br />
In 2001, this Unit, which encompasses the most innovative<br />
services offered by Business Solutions, established a 50-50<br />
joint venture with IBM. Each partner contributed to the new<br />
company its technology infrastructure management and<br />
applications software activities (ITS and GSA from Business<br />
Solutions; Intesa, SAP Consulting Italia, Proxima and ACG<br />
from IBM).<br />
The joint venture has spawned a group of new companies<br />
that, operating under the common name of Global Value,<br />
offer a complete range of services to small, medium-size<br />
and large businesses.<br />
The Sector is also present in the ICT field through eSP<strong>IN</strong><br />
S.p.A. This company, whose stockholders include Oracle<br />
and Cap Gemini-Ernst & Young, specializes in supplying<br />
web-based applications and e-business products. In 2001,<br />
eSP<strong>IN</strong> purchased 100% of Ciaoservice S.p.A., thereby<br />
broadening its product spectrum even more.<br />
Also in 2001, Business Solutions added a new element to<br />
its product portfolio by acquiring control of Teleclient S.p.A.,<br />
a call/contact center specialist.<br />
In addition, it holds an interest of about 30% in Atlanet<br />
S.p.A., a provider of communications and general<br />

connectivity services, which is also owned by Telefonica,<br />
a Spanish group, and Acea.<br />
The Unit’s aggregate revenues totaled 566 million euros.<br />
❚ Procurement and Diversified Services. The Unit’s<br />
procurement and related activities are handled by Fast<br />
Buyer S.p.A., a specialist in sourcing, e-procurement<br />
and marketplace services, which it delivers using both<br />
traditional methods and online technologies.<br />
The providers of diversified services include Investimenti e<br />
Gestioni S.p.A., a real estate company whose mission is to<br />
maximize the value of the Fiat Group’s real estate portfolio,<br />
and Sestrieres S.p.A., which operates the lift facilities at the<br />
Via Lattea ski area, future site of the 2006 Winter Olympics.<br />
This Unit generated revenues of 146 million euros in 2001.<br />
RESULTS FOR <strong>THE</strong> YEAR<br />
Because 2001 was the Sector’s first year of operation,<br />
comparisons with last year are not available.<br />
The Sector had revenues of 1,805 million euros in 2001,<br />
with non-captive customers accounting over 40% of the total,<br />
roughly in line with expectations.<br />
Operating income reached 73 million euros (4% of revenues),<br />
significantly exceeding expectations.<br />
The sale of Fenice and the transfer of ITS and GSA to the<br />
joint venture with IBM, combined with other smaller financial<br />
transactions, generated a net extraordinary gain of about<br />
567 million euros.<br />
Net income totaled 497 million euros, after taxes of<br />
104 million euros. The Sector’s interest in net income<br />
was 491 million euros.<br />
Cash flow amounted to 567 million euros.<br />
The mission of Business Solutions is to offer customers both<br />
inside and outside the Fiat Group a complete, integrated line<br />
of corporate services, thanks to its unique proprietary expertise<br />
or the expertise of its partners, and to deliver these services<br />
from offices in all of the major world markets.<br />
