DESCRIPTION OF THE <strong>BANK</strong><br />

Introduction<br />

Investkredit Bank <strong>AG</strong> (the “Bank” or “Investkredit”) is a specialist bank based in Vienna, which offers<br />

financial services exclusively to corporate customers. Investkredit offers a wide range of products<br />

designed to meet the financing and financial asset management needs of its customers. Over more<br />

than 45 years, Investkredit has developed into the second-largest provider of long-term loan finance<br />

for medium- and large-scale enterprises in Austria. As a specialist bank, Investkredit offers a<br />

combination of lending, asset management and treasury services and is an active equity investor.<br />

Investkredit’s shares are listed on the prime market of the Vienna Stock Exchange. The majority of<br />

Investkredit’s shares are held by major Austrian banks and other shareholders which include<br />

industrial enterprises, insurance companies, private shareholders and employees of the Bank.<br />

Investkredit and its associates position themselves strategically as a specialist banking group for<br />

the corporates, local government and real-estate segments. The Investkredit Group (the “Group”)<br />

includes INVEST EQUITY Beteiligungs-<strong>AG</strong> (“INVEST EQUITY”) (private equity fund), Europa<br />

Consult GmbH (consulting, mergers & acquisitions advice), Kommunalkredit Austria <strong>AG</strong><br />

(“Kommunalkredit”) (local government finance) and Europolis Invest Group (real-estate business).<br />

As at 30 September 2002, total Group assets amounted to EUR 13.8 billion, loans and advances to<br />

customers and financial investments stood at EUR 10.2 billion and total capital, calculated in<br />

accordance with Section 23 of the Austrian Banking Law, was EUR 639 million. The total capital<br />

ratio was 11.3 % (31 December 2001: 10.4%).<br />

Moody's Investors Service currently rates Investkredit as A1 and Kommunalkredit as Aa3. The Fitch<br />

rating of Kommunalkredit is currently AA-.<br />

History<br />

Investkredit was established in 1957, on the initiative of the Federal Government and the International<br />

Bank for Reconstruction and Development (formerly the World Bank), as a specialist bank<br />

for the business sector and in particular industry, to make long-term capital available to investing<br />

corporates.<br />

The Bank was incorporated as a joint stock company under private law. Historically Investkredit has<br />

lent predominantly on the basis of long-term fixed-interest loans at its own risk.<br />

As a specialist bank with a general orientation towards the promotion of capital investment,<br />

Investkredit was formally involved in the implementation of industrial and economic policy in Austria.<br />

While retaining its macro-economic role in the financing of capital investment in Austria, the Bank<br />

has developed a range of services to suit customer and market requirements.<br />

In addition to classical loan financing, Investkredit now offers a wide range of medium- and longterm<br />

bank services for corporate customers.<br />

In 2001 the first representative and branch offices were opened in Prague and in Frankfurt am<br />

Main. A representative office in Warsaw followed in 2002.<br />

With the acquisition of a majority holding in Kommunalkredit in 1986, the Group’s product range<br />

was extended to include local government financing in Austria. In recent years, the Group has<br />

expanded its activities for local authorities in Central and Eastern Europe jointly with the Franco-<br />

Belgian Dexia group, the other strategic shareholder in Kommunalkredit.<br />
