special purpose entity (vehicle); SPE (SPV) – a legal entity<br />
formed for a limited purpose; in securitization, it serves to hold<br />
the legal rights to the assets transferred from the originator. In<br />
the U.S., SPEs facilitate securitization by enabling the use of<br />
bankruptcy remote structures. See "bankruptcy remote<br />
structure."<br />
special servicer – See "servicer."<br />
structured finance; structured products – usually synonymous<br />
with "securitization;" sometimes used in a broader sense to<br />
include project finance (i.e., financing of roads, airports, and<br />
other major public projects that will generate tolls or user fees to<br />
repay bonds) and certain types of non-ABS equipment financing<br />
such as equipment trust certificates (ETCs).<br />
structured settlement receivable – a series of payments over<br />
time, typically resulting from settlement of personal injury<br />
claims. In the U.S., personal injury claimants who have been<br />
awarded structured settlements sometimes sell their structured<br />
settlement receivables for lump sum cash payments. The<br />
companies that purchase structured settlement receivables may<br />
then package the receivables into ABS.<br />
sub-servicer – see "servicer."<br />
subordinate class – tranche in a senior/subordinate structure<br />
that has the lowest priority in credit risk, thereby protecting the<br />
senior class(es) from credit losses on the underlying securitized<br />
assets.<br />
tax lien – a lien against a parcel of real estate for the nonpayment<br />
of real estate taxes. Some U.S. cities, including New<br />
York, Washington, and Philadelphia, have securitized their tax<br />
lien receivables. In some cases, a private-sector company<br />
purchases tax liens from across the country and then executes<br />
a securitization backed by a widely diversified pool. Tax lien<br />
securitizations present a wide variety of issues because the<br />
priority and enforceability of the underlying tax liens is controlled<br />
by idiosyncratic local laws. For example, liens relating to earlier<br />
tax years have higher priority in some locales (e.g., New York)<br />
while the opposite is true in others (e.g., Washington).<br />

tranche – from French, meaning slice; in the context of a<br />
securitization, refers to one class of securities issued in a<br />
transaction that created multiple classes issued simultaneously.<br />
In a deal that uses the senior/subordinate structure, the senior<br />
and subordinate classes are the tranches of the deal. Such a<br />
deal is described as using "credit tranching." A CMO can<br />
include dozens of tranches. Sequential pay structures in CMOs<br />
are an example of "time tranching."<br />

路 、 空 港 その 他 の 公 益 事 業 で 通 行 料 金 などを 債 務 返 済 にあてるも<br />
の)や、 設 備 信 託 証 書 (ETC) 等 の ABS には 含 まれない 一 部 の 設 備<br />
融 資 を 含 む 場 合 もある。<br />
ストラクチャード・セトルメント 債 権 - 人 身 傷 害 の 補 償 金 など、 一 定<br />
期 間 にわたって 支 払 われる 予 定 の 支 払 金 のこと。 米 国 では、 人 身 傷<br />
害 補 償 の 受 取 人 が 債 権 を 売 却 して 現 金 一 括 払 いを 受 け 取 ることが<br />
あり、こうしたストラクチャード・セトルメントを 買 い 取 った 会 社 はこれ<br />
らの 債 権 を 集 めて ABS を 発 行 する。<br />
サブ・サービサー - 「サービサー」の 欄 を 参 照 。<br />
劣 後 クラス - 優 先 劣 後 構 造 の 中 で 信 用 リスクの 優 先 順 位 が 最 も 下<br />
位 に 位 置 し、 裏 付 資 産 の 信 用 損 失 から 優 先 クラスを 保 護 しているト<br />
ランシェのこと。<br />
租 税 リーエン 債 権 - 不 動 産 税 の 滞 納 に 関 して、 不 動 産 の 一 部 に 付<br />
されるリーエンのこと。 米 国 では、ニューヨーク、ワシントン、フィラデ<br />
ルフィアなどの 都 市 で 租 税 リーエン 債 権 が 証 券 化 されている。また、<br />
民 間 の 会 社 が 米 国 各 地 で 租 税 リーエンを 購 入 して 分 散 化 した 債 権<br />
プールを 組 成 し、これを 裏 付 けとして 証 券 化 を 行 なう 場 合 もある。 租<br />
税 リーエン 証 券 化 では、プールに 含 まれる 各 個 の 租 税 リーエンの 優<br />
先 順 位 や 法 的 取 扱 いが 各 都 市 の 法 律 によって 異 なるため、 様 々な<br />
問 題 が 関 連 してくる。 例 えば、ニューヨークなどでは 課 税 年 度 が 早 い<br />
方 が 優 先 順 位 が 高 いのに 対 し、ワシントンではその 逆 となっている。<br />

トランシェ<br />
- 「スライス」を 意 味 するフランス 語 が 語 源 。 証 券 化 では、<br />
同 時 に 発 行 される 複 数 クラスの 中 の 一 つを 指 す。 優 先 劣 後 構 造 を 持<br />
つディールでは、 優 先 クラスと 劣 後 クラスの 各 債 券 がそれぞれトラン<br />
シェとなる。こうした 形 態 は「 信 用 トランシェ 分 け(credit tranching)」と<br />
言 われる。CMO では 数 十 種 類 のトランシェが 組 成 されることもある。<br />
一 方 、CMO のシークエンシャル・ペイ 構 造 は「 時 間 的 トランシェ 分 け<br />
(time tranching)」と 呼 ばれる。<br />
