<strong>Borussia</strong> Dortmund<br />

In the most recent financial year, gross revenue<br />

increased slightly by EUR 44 thousand, while the net<br />

profit for the year ended 31 December <strong>2006</strong> amounted<br />

to EUR 57 thousand (previous year: EUR 149<br />

thousand).<br />

<strong>BVB</strong> Beteiligungs-GmbH<br />

The newly formed <strong>BVB</strong> Beteiligungs-GmbH was<br />

entered in the commercial register on 2 May <strong>2006</strong>.<br />

The company holds 5.1% of the shares in <strong>BVB</strong><br />

Stadion GmbH.<br />

<strong>BVB</strong> Stadion GmbH<br />

Following the buyback of the stadium shares, the<br />

holding company for SIGNAL IDUNA PARK is<br />

almost wholly-owned by the <strong>BVB</strong> <strong>Group</strong>. B.V.<br />

<strong>Borussia</strong> 09 e.V. Dortmund holds 5.1% of the shares<br />

in <strong>BVB</strong> Beteiligungs-GmbH, which, in turn, holds<br />

5.1% in <strong>BVB</strong> Stadion GmbH. Therefore the club has<br />

an indirect 0.26% holding in <strong>BVB</strong> Stadion GmbH as<br />

a minority shareholder. The remaining 99.74% is<br />

held by the <strong>BVB</strong> <strong>Group</strong> via goool.de sportswear<br />

GmbH and <strong>BVB</strong> Beteiligungs-GmbH.<br />

<strong>BVB</strong> Stadion GmbH is the legal successor company<br />

to Westfalenstadion Dortmund GmbH & Co. KG.<br />

On 29 June <strong>2006</strong>, the company entered into a lease<br />

agreement with <strong>Borussia</strong> Dortmund GmbH & Co.<br />

<strong>KGaA</strong> for the use of SIGNAL IDUNA PARK with a<br />

fixed term until 30 June 2027.<br />

<strong>BVB</strong> Stadion GmbH concluded a profit and loss<br />

transfer agreement with goool.de Sportswear GmbH<br />

on 3 August <strong>2006</strong>. The net loss for the financial year<br />

from 1 July <strong>2006</strong> to 30 June <strong>2007</strong> determined in<br />

accordance with IFRS amounted to EUR -3.4 million<br />

before profit and loss transfers (previous year:<br />

EUR -9.9 million).<br />

As a result of the profit and loss transfer agreement<br />

entered into on 24 August <strong>2006</strong>, the loss amounting<br />

to EUR -0.3 million, caused by the costs of financing<br />

the shareholding, will be transferred to goool.de<br />

sportswear GmbH.<br />

ORGANISATION OF MANAGEMENT<br />

AND CONTROL<br />

The general partner, <strong>Borussia</strong> Dortmund Geschäfts -<br />

führungs-GmbH, is responsible for management and<br />

representation of <strong>Borussia</strong> Dortmund GmbH & Co.<br />

<strong>KGaA</strong>. This limited liability company (“GmbH”) is in<br />

turn represented by its Managing Directors Hans-<br />

Joachim Watzke and Thomas Treß; its sole shareholder<br />

is Ballspielverein <strong>Borussia</strong> 09 e.V. Dortmund.<br />

The remuneration of the Managing Directors is made<br />

up of fixed and performance-related components, with<br />

the latter based on the consolidated net profit for the<br />

year before income taxes.<br />

The following chart shows the structures and responsibilities<br />

as between Ballspielverein <strong>Borussia</strong> 09 e.V.<br />

Dortmund, <strong>Borussia</strong> Dortmund GmbH & Co. <strong>KGaA</strong><br />

and <strong>Borussia</strong> Dortmund Geschäftsführungs-GmbH.<br />
