<strong>Westchester</strong> <strong>County</strong> in a sum equal to ten percent (10%) of the estimated annual<br />

payment for the first year to ensure the faithful performance of the contract and<br />

for the payment of all persons performing labor and furnishing materials in<br />

connection with the contract. In the alternative, the <strong>County</strong> shall retain 10%<br />

of the payments due the Operator up to a maximum of 10% of the estimated<br />

annual payment due the Operator for the first year until the Operator has<br />

satisfactorily completed its obligations under the contract. The estimated<br />

annual payment for the first year of service shall be calculated based on the<br />

Price Offer Form. An updated performance bond, payment retainage,<br />

irrevocable letter of credit, or certified check shall be submitted annually 30 days<br />

prior to the commencement of the contract term beyond one year and the option<br />

year of the contract. If at any time the surety shall be or become unsatisfactory<br />

to the <strong>County</strong>, then in that case the provider shall, upon ten (10) days notice<br />

thereof in writing from the <strong>County</strong>, furnish a new and additional bond in place of<br />

the original bond.<br />

18.0 Liquidated Damages<br />

The final contract between the <strong>County</strong> and the Provider will provide for liquidated<br />

damages. The liquidated damages will be assessed for non-compliance with<br />

service specifications. Please refer to the sample Operating Agreement for<br />

detailed information on the liquidated damages.<br />

19.0 Notice of Award<br />

The successful Proposer will be notified of the award of contract in writing by the<br />

<strong>County</strong>. All firms submitting a proposal in response to this RFP will be notified of<br />

the <strong>County</strong>’s selection of the successful Proposer. The <strong>County</strong> reserves the right<br />

to reject any and all proposals. No contract becomes valid until it has been<br />

approved by the <strong>County</strong> Attorney and signed by the <strong>County</strong> Executive or his<br />

designee.<br />

20.0 Negotiations with Selected Firm<br />

The <strong>County</strong> will negotiate with the selected firm to establish a contract. If<br />

unsuccessful, the <strong>County</strong> may elect to proceed with the next most highly rated<br />

firm until an agreement in the <strong>County</strong>’s best interest has been reached or all<br />

efforts are exhausted.<br />
