During the year, the Group increased its stake in the Company from 49% to 100%. Accordingly, this has been reclassified to investments in subsidiaries (note 27). Prior to the Group’s acquisition of controlling stake in UBA Capital Europe Limited, there were no significant restrictions on the ability of the associate to transfer funds to the Group in the form of cash dividends, or repayment of loans and advances. Following the approval by Shareholders at an extra-ordinary general meeting held in December 2012, UBA Metropolitan Life Insurance Limited has been spun-off from the Group post-year-end. Accordingly, the investment has been reclassified to non-current assets held for distribution. See note 18. There are no contingent liabilities relating to the Group’s interest in joint venture and no contingent liabilities of the venture itself.
