The European Union, represented by the European Commission, represented for the<br />

purpose of signing this Agreement by Mr Roland Schenkel, Director-General of the<br />

Joint Research Centre (hereinafter referred to as "the JRC"),<br />

on the one part,<br />

xxxxxxxxxxxxx, having its seat at xxxxxx, xxxx, xxxxx (xxxx), xxxxx, registered under<br />

the number xxxxxx at xxxxxxx, represented for the purpose of signing this Agreement<br />

by xxxxxxx, xxxxxx and legal representative, in his offi cial capacity (hereinafter referred<br />

to as “xxxxxx” or “the Licensee”)<br />

EUROPEAN UNION and XXXXXXX individually referred to as the "Party" and<br />

collectively as the "Parties”<br />

WHEREAS<br />

Pursuant to European Commission Decision of 12th September 2001 SEC (2001)1397<br />

Article 13 the European Union has the mandate to exploit technologies resulting from<br />

the programmes and activities under its responsibility, grant licences thereto and<br />

promote technology transfer.<br />

According to article 8 of Regulation (EC) No 683/2008 of the European Parliament and<br />

the Council of 9 th July 2008 on the further implementation of the European satellite<br />

navigation programmes (EGN<strong>OS</strong> and <strong>Galileo</strong> (GNSS Regulation)), the “Community<br />

shall be the owner of all tangible and intangible assets created or developed under<br />

the programmes, to which effect agreements shall be concluded with third parties,<br />

wherever appropriate, with regard to existing ownership rights”.<br />

According to article 12 of the GNSS Regulation the European Commission shall be<br />

responsible for the EGN<strong>OS</strong> and <strong>Galileo</strong> Programmes.<br />
